Academic License Agreement
Este Contrato de Licencia Academica (Academic License
Agreement - ALA) se celebra entre Novell, Inc., una sociedad
comercial de Delaware, con oficinas principales en 1800
South Novell Place, Provo, Utah 84606 {"Novell"}, y la entidad
cliente que firma a continuaci6n
("Cliente").

This Academic License Agreement (ALA) is entered into by
Novell, Inc., a Delaware corporation with headquarters at
1800 South Novell Place, Provo, Utah 84606 ("Novell"), and
the customer entity signing below ("Customer"). This ALA
consists of these Terms and Conditions, the Annual Fee
Worksheet and the End User License Agreements of the
Software covered under this program.

1.
Definiciones. Los terminos en mayusculas utilizadas

Definitions. Capitalized terms used in the ALA are
defined as follows.
1.1
Cuota de Licencia ALA significa la cuota de licencia
establecida en la Hoja de Trabajo de Cuotas Anuales del ALA
que el Cliente debera pagar para obtener una licencia conforme
a este ALApara utilizarel Software. La Cuota de Licencia ALAes
un pago anual que debe ser pagado Gada ano durante la
vigencia del ALA.
1.1
ALA License Fee means the license fee set forth in
the attached ALA Annual Fee Worksheet that Customer must
pay to be licensed under this ALA to use Software. The ALA
License Fee is an annual payment that must be paid each
year during the ALA term.
1.2
Periodo Anual significa el perfodo que inicia el primer
dia del mes posterior a la Fecha de Vigencia y que termina un
anodespues, asi como cada periodo de un ano consecutivo en

Us ua rios Autorizados

organizaci6n para la cual se ha abonado la Cuota Anual de
Licencia.
1.4
Cliente significa una organizaci6n educativa que haya
sido autorizada por Novell y que haya firmado este ALA. EI
Cliente que firmeeste ALA sera responsable por las acciones,
105actos yomisiones de/todas las escuelas, organizaciones
administrativas,educativas
u otras entidades con respecto alas
obligaciones conforme a este ALA.
1.5
Fecha de Viaencia significa la fecha en la que el ALA
sea firmado por un representante autorizado de N6vell, misma
que sera posterior a la firma del Cliente.
1.6
Uso Interno significa el uso por parte de (a) Usuarios
Autorizados para las operaciones internas del Cliente, y (b) en
tanto que realiza tareas 0 trabajos para el Cliente en las
instalaciones
del Cliente, todo consultor y contratista del
Cliente. EI uso defSoftware por 105aulumnos 0 estudiantes se
limita al uso sobre equipo en propiedad de 0 alquilados per el
Cliente.
1.7
Software Maestro significa medios maestros mediante
105cuales el Cliente podra instalar el Software.

1.2
Annual Period means the period beginning on the
first day of the month following the Effective Date and ending
one year thereafter, and each consecutive one-year period
thereafter during the term of the ALA.
1.3
Authorized Users means for each organization for
which the Annual License Lee has been paid, (a) students
currently enrolled in Customer, and (b) Customer's faculty
and administrative personnel.
1.4
Customer means an educational organization that
has been approved by Novell and has signed this ALA. The
Customer signing this ALA will be liable for the actions and
omissions of all schools, educational administrative
organizations, or other entities with respect to obligations
under this ALA.
1.5
EffectiveDate means the date on which the ALA is
signed by an authorized Novell representative, which will
follow Customer's signing.
1.6
Internal Use means use by (a) Authorized Users for
Customer's internal operations, and (b) while performing
work for Customer on Customer's premises, Customer's
consultants and contractors. Student use of the Software is
restricted to use on equipment owned or leased by
Customer.
1.7
Master Software means master media from which
Customer may install Software.

1.10

2.
Licencias. Sujeto alas disposiciones del presente

aplicable, Novell concede yel Cliente acepta una licencia no
exclusiva y no transferible para copiar y distribuir el Software

su Use Interne per parte de Usuaries Autorizados en Estaciones
de Trabajo del Cliente. Unicamente IDs Usuaries Autorizados
pueden copiar y/o utilizar el Software.
2.1
Estaci6n de Trabaio oor Deoartamento. No obstante
toda disposici6n del ALAen contrario, si el Cliente compra el
ALApara menDs de una organizaci6n completa, dicha compra
se de be efectuar utilizando el Precio de Estaci6n de Trabajo per
Departamento

2.2
Garantfa Limitada vTermines Adicionales. La Licencia
Academica esta sujeta a IDs terminos y limitaciones de licencia
establecidas en el docunlento de Condiciones de Licencia
aplicable
que acompana un producto de Software. Este
documento de Condiciones de Licencia describe la garantia
limitada y las renuncias a garantfas para Software ALA, y se
incorpora al presente ALA En caso de producir~e conflictos
entre una disposici6n del documento de Condiciones de
Licencias y el presente ALA, regiran las disposiciones del
presente ALA.
2.3
Remoci6n de la Lista de Pr.ecios. En el caso de todo
Software licenciado en virtud del presente ALAque Novell retire
de la Lista de Pregios de Productos Novell,el Cliente no puede
hacer copias adicionales del producto despues de producida
dicha remocion, a menos que Novell autorice por escrito 10
contrario.
2.4
Licencia de Buzon GrouoWise. EI Cliente debe incluir
como parte de la Hoja de Trabajo de Cuotas Anuales un reporte

Software means (collectively or individually, as the
context requires) the Novell software licensed under this ALA.
1.9
Uoorade means any new version of a Software
product which bears the same product name, including
version changes evidenced by a number change
immediately to either the right or left of the decimal (for
example, GroupWise 5.1 to 5.2 or GroupWise 4.0 to 5.0). If a
question arises as to whether a product offering is an
Upgrade or a new product, Novell's opinion will prevail,
provided Novell treats the product offering the same for its
end user customers generally.
1.10
Workstation means any single-user computer or
workstation, attached to a network, that is owned or leased
and operated by Customer at Customer's location.
2.
Licenses. Subject to the provisions of this ALA, for
the term of the ALA only, and conditional upon Customer
paying the applicable annual ALA License Fee, Novell grants
and Customer accepts a non-exclusive, non-transferable
license to copy and distribute the software identified on the
ALA Annual Fee Worksheet for Internal Use by Authorized
Users on Customer's Workstations. Only Authorized Users
may copy and/or use the software.
2.1
Deoartment Workstation. Despite any provision in
the ALA to the contrary, if Customer purchasesthe ALA for
less than an entire organization, such purchase must be
made using Department Workstation pricing, and only
Authorized Users within the department or organizational unit
for which the Workstation price was paid are licensed to use
the Software.
2.2
Limited Warrantv and Additional Terms. The
Academic License is subject to the license terms and
restrictions set forth in the applicable License Terms
document that accompany a Software product. This License
Terms document describes the limited warrantyand warranty
disclaimers for ALA Software, and is incorporated into the
ALA. If there is a conflict between a provision of the License
Terms document and this ALA, the ALA provisions will
govern.
2.3
Removal from Price List. For any Software licensed
under the ALA which Novell removes from the Novell Product
Price List, Customer may not make additional copies of the
product after such removal occurs, unless Novell agrees in
writing otherwise.
2.4
GrouoWise Mailbox License. Customer must
include as part of the Annual Fee Worksheet a report
showing the number of GroupWise Mailboxes (accounts for

2.5
Productos Especiales. Los productos entregados al

Novell, productos de evaluacion, 0 productos que requieren

Cliente elige obtener licencias para utilizar dichos productos, y
dichos productos prodrian no estar disponibles conformea este

2.4.1
Remote Access. A Mailbox License for the use of
faculty or staff will include the right to remote access.
A GroupWise Mailbox license used by a student can
only be used with remote access if (a) Customer
agrees to track all Master Software created for
installation of student workstations (b) Customer
ensures students given remote access agree to the
license terms of the Software and (c) Customer
accepts liability for students actions in regard to the
software license. Should Customer choose not to
accept the above student remote access terms,
Customer may implement a GroupWise Mailbox
License for student use that provides remote
access only through GroupWise Web Access.
2.5
Special Products. Products delivered under the ALA
to Customer that include non-Novell products, evaluation
products, or products requiring key activation, may require
additional purchase if Customer chooses to be licensed to
use such products, and such products may not be available
under this ALA on a site license basis.
2.6

2.6
Third-Partv Rovalties. The use and copying of some
Novell software products under the ALA may require payment
of royalties to third-party licensors. If such products are made
available hereunder, and if Customer elects to use such
products, Customer must report (in a form and manner
specified by Novell) Cust'omer's copying and use of all such
products and must pay the required royalties, provided that
Novell gives Customer written notice of the royalty obligation
at or before the time Customer makes copies of such
products under this ALA.

3.2

Delivery of Software Media and Documentation.
3.1
Software Media. Novell will provide Customer one
(1) set of software media for software ordered under the ALA.
Novell will make available to Customer, either directly or
through third parties, additional sets of software media at the
prices listed in the Novell Academic Price List (or the ALA
Price List). Customer must keep a written record of the
location of Master Software it receives under the ALA. Upon
ALA termination, Customer's right to use Master Software
terminates, and Customer must return all Master Software to
Novell (see Section 8.4.1 below). Master Software is not
available in all regions; in such regions Novell will fulfill ALA
orders using other media.
3.2
Deliverv. Delivery in the United States will be made
F.O.B. Novell's Dock, Customer's carrier. For delivery outside

to the port of entry and will prepay and bill Customer for
applicable shipping and handling charges. Customer will be
responsible for all applicable import duties and value added
tax, goods and services tax, or other similar taxes and fees.
For shipments from Ireland, delivery terms are Carriage Paid
To (CPT) destination, as defined in INCOTERMS 1990.

Title & Risk of Loss. For shipment within the United
States, title to any deliverables, exclusive of Novell's rights to
intellectual property, and risk of loss will pass to Customer
upon delivery to Customer's carrier. For shipments from the
U.S. to outside the U.S., title to and risk of loss will remain
with Novell until the shipment arrives at the importing
country's entry port (or at a bonded warehouse within
Canada or Mexico if Customer so requests shipment). For
shipments originating in Ireland, title to and risk of loss
passes to Customer at the Irish shipment point.
Notwithstanding the above provisions, no title to Master
Software is transferred to Customer.

Customer may make and install Software copies from the
Master Software for Internal Use (including an archival or
backup copy for each Software product licensed). All copies

up to the number of licenses purchased, for use with the

Customer's Responsibilitv. Customer agrees to
track all Master Software and duplicated Master Software and
to return or destroy all Master Software and any such copies
upon termination or expiration of the ALA. Customer will not
allow Master Software to be used in any instance for anything
but Customer's Internal Use.

available any Upgrades released during the ALA within a
reasonable period of time after they become commercially
available. Upgrades to non-Novell products delivered with
ALA software may not be available from Novell. Nothing in
this ALA will be construed to warrant or imply that any
Upgrades will be produced for any product.

Within at least 15 days priorto theendof each
Annual Period, Customer will submit to Novell a new
ALA Annual Fee Worksheet certifying either (a) the
total number of Customer workstations or (b) the
total number of Customer Full-Time Equivalent
(FTE) faculty, staff and$!udents. Customer will
submit the applicable annual ALAlicense Fee with
the ALAAnnual Fee Worksheet.
6.2
Minimum Order. The minimum Annual License Fea
is US$5.000.
6.3
Price and Product Changes. NoveUmay revise the
ALA prices at any time to (a) change the prices for Software
iiCMSGSor otherdeliverables,or (b)addor deleteavailable
products or other offerings. Any price increase made to a
Software product license which Customer has previously
purchased under the ALA will only apply to subsequent
license purchases. Ifthe ALAprices change less than 120
days prior to the and of a contract term, Customer may
choose to terminatethe ALA by giving written notice to NoveU
within 30 days of NoveUproviding Customer with the prica
change notification.

Separate from Customer's Academic
License Fee purchases, Customer may purchase
$tandard NoveUlicenses available on the Academic
Price list at the published educational discount.
The ALA's Upgrade Protection and Ownership
Registration provisions willnot apply to such
purchases,

Annual License Fee. Customer may obtain Software
by submitting to Novelia completedand signedALAAnnual
Fee Worksheet with a Customer purchase order for the
amount of the annual fee. The tota], non-refundable annual
licensefee winbe payable in a lump sum net 300days from
the date of invoica. Customer must select either Pricing by
Workstationor PricingbyFull-timeEquivalent(FTE) at the
time of ordering and that selection wiHapply during the term
of the ALA.

6.5
Paaos Atrasados. Los pagos hechos despues de la
fecha de vencimiento de la factura acumularan intereses desde
la fecha de vencimiento hasta la fecha de page, segun 10que
resulte menor de una tasa anual del doce per ciento (12%) 0 la
tasa mas alta permitida per la ley aplicable. EI Cliente pagara
IDs costos yhonorarios de abogados razonables si serequiere
que Novell adopte medidas de cobranza contra el Cliente.

Paaos. Todos IDs honararios se pagaran en D61ares
de IDsEstados Unidos.

Intermediario.EI Cliente y Novell deberan designar
un Intermediario mediante la confecci6n y suscripci6n del
Anexo de Intermediario adjunto al presente Contrato. Los
terminos y condiciones de dicho Anexo contienen las
obligaciones respectivas del Cliente, Novell yellntermediario.

Late Pavments. Payments made later than the
invoice due date will accrue interest from the date due to the
date paid at the lesser of the rate of twelve percent (12%) per
annum or the highest rate allowed by applicable law.
Customer will pay reasonable costs and attorney's fees if
Novell is required to undertake collection measures against
Customer.

Pavments. All fees are owed in U.S. dollars.

Fulfillment Agent. Customer and Novell must
designate a Fulfillment Agent by completing and signing the
Fulfillment Agent Addendum attached to this Agreement. The
respective obligations of the Customer, Novell and the
Fulfillment Agent are contained in the terms and conditions
of that Addendum.
8.
Vigencia y Terminaci6n.
Novell America Latina
allowed as a credit against U.S. income taxes of Novell such
as a withholding tax on a royalty payment made by Customer
where such withholding is required by law. If Customer is
required to withhold taxes, Customer will furnish Novell all
required receipts and documentation substantiating such
payment. If Novell is required by law to remit any tax or duty
on behalf, or for the account, of Customer upon the delivery of
Software, Customer will reimburse Novell within 30 days
after Novell notifies Customer in writing of such remittance.
Customer will provide Novell with valid tax exemption
certificates in advance of any remittance otherwise required
to be made by Novell on behalf of, or for the account of,
Customer where such certificates are applicable.
Term and Termination.
8.1
Term. The term of this ALA will begin on the Effective
Date and will remain in effect for a period of three years after
the first day of the month following the Effective Date. The ALA
will be automatically renewed for one year periods until either
party gives written notice at least ninety (90) days prior to the
end of the ALA term.
8.2
Termination for Cause. Either party may terminate
the ALA upon written notice for the substantial breach by the
other party of any material term, if such breach is not cured
within 30 days following receipt of written notice of breach
from the non-breaching party. If Customer terminates the
ALA for cause, Novell will refund Customer a prorated portion
of the annual fees paid for the period beyond termination.
8.3
Termination for Convenience. Either party may
terminate the ALA solely for convenience at the end of any
annual period by giving the other party written notice at least
ninety (90) days prior to the end of the annual period. If Novell
terminates for convenience, Novell will refund Customer an
amount, prorated on a monthly basis, of the ALA License Fee
to cover the unexpired term.

after expiration of the ALA under the previous

provision below and the terms of the applicable End
User License Agreements govern Customer's use

Ownershic Reaistration: Installed Base Ucarade.
Upon execution of the ALA, Customer may list on the
Installed Base Upgrade Form all software licenses owned by
Customer prior to ALA execution which bear the same
product name as the products Customer requests on the
ALA Annual Fee Worksheet. Proof of ownership of such
licenses may be required. During the initial three terms of
the ALA, upon payment of an ALA annual license fee
Customer will be licensed to any Upgrades to such licenses
for one-third of the software licenses listed; this one-third of
the Installed Base licenses is covered under the Upgrade
Protection terms of the ALA. Customer's rights to use these
licenses will continue upon contract termination or expiration.

RESPONSABLE ANTE EL CLiENTE 0 ANTE TERCERAS
PARTES POR PE:RDIDAS 0 DANOS INDIRECTOS,
ESPECIALES, INCIDENTALES 0 CONSECUENTES DE
NINGUNA CLASE (INCLUYENDO PERDIDA DE LUCRO,
NEGOCIOS, 0 DATOS) RELACIONADOS CON 0 DERIVADOS
DE ESTE ALA, YA SEA EN UNA ACCI6N QUE TUVIERA SU
ORIGEN EN EL QUEBRANTAMIENTO DE GARANTfA,
VIOLACI6N DE CONTRATO, NEGLIGENCIA,
RESPONSABILIDAD ESTRICTA 0 DE OTRA CLASE.

EN LA MEDIDA P~RMITIDA POR LA LEY APLICABLE,
LA RESPONSABILIDAD DE NOVELL ANTE UN CLiENTE POR

records showing (a) amounts due and paid, (b) copying and
use ofthe Software, and (c) the total number of workstations,
computers or other devices connected to a network which
uses Novell's Software. During this time period Novell will
have the right, at its expense and upon no less than 3
working days prior written notice, to audit Customer's use of
the Software and records related to this use and ALA
payments. Such audit may be conducted by Novell or its
authorized representative, will not interfere unreasonably with
Customer's business activities, and will be conducted no
more often than once per calendar year, unless a previous
audit disclosed a material discrepancy. If such audit shows
Customer understated actual use of the Software or
otherwise underpaid amounts owing, Customer will
immediately pay all amounts owing. If an audit shows
Customer understated use of the Software or underpaid
amounts owing by more than 5%, Customer will pay the
reasonable expenses of the audit. Novell will use information
received during an audit solely for the purposes of this ALA
and will otherwise maintain the confidentiality of such
information.
10.
Limitation of Liability. TO THE EXTENT ALLOWED
BY APPLICABLE LAW, NOVELL WILL NOT BE LIABLE TO
CUSTOMER FOR DAMAGES IN THE NATURE OF
EXPECTATION LOSSES, INDIRECT, SPECIAL, RELIANCE,
INCIDENTAL OR CONSEQUENTIAL LOSSES, OR ANY
LIABILITY FOR THE LOSSES OF ANY KIND OF ANY THIRD
PARTY, INCLUDING BUT NOT LIMITED TO THE LOSS OF
BUSINESS PROFITS, DATA OR OTHER EXPECTED
BENEFIT OF CUSTOMER OR ANY THIRD PARTY,
WHETHER ARISING UNDER OR OUTSIDE THIS ALA.
10.1
Personallniurv. Death and ProDertv Damaae
Indemnification. Novell agrees to indemnify and hold
Customer harmless from and against any and all liability,
losses, claims, demands, and actions arising out of
personal injury, death or property damage which are
determined by a court of competentjurisdiction to be caused
by the negligent or willful acts or omissions of Novell or its
authorized employees, agents or subcontractors while
providing technical support on Customer's premises.
Novell's liability under this Section will be reduced
proportionally to the extent that any act or omission of
Customer, or Customer's employees, agents, or
representatives, contributed to such liability. For purposes of
this Section, "property damage" does not include damage to,
or loss of, files, data, or other information. Novell's
aggregate liability under this Section 10.1 will not exceed
US$3,OOO,000.

disposiciones
de ley, a manes que las leyes del estado,
provincia 0 pais de sudomicilio 10requierande otra manera, en
cuyo caso las leyes asr requeridas gobernaran.
EI lugar de
algun procedimiento legal relacionado con el ALA estara en los
tribunales competentes en el estado cuya ley sea la aplicable.
Si una parte inicia algun procedimiento legal relacionado con el
ALA, la parte prevalezca en al tendra derecho a recuperar los
honor\!rios legales razonables. Cad a una de las partes, porsu
propia cuenta, cumplira con cualquier ley, estatuto, ordenanza,
orden administrativa, regia y regulacion aplicable.
11.4
Transferencia. Este ALA es obligatorio para las partes
y sus respectivos sucesores y cesionarios. A manes que se
permita expresamente en el presente, ninguna de las partes
podra transferir, ceder 0 delegar ningun derecho u obligaci6n
establecida en el ALA sin el consentimiento previa per escrito
de la otra parte. Ninguna de las partes negara irrazonablemente
el consentimiento de una transferencia a la subsidiaria de la
otra parte. Cualquiera de las partes, mediante notificaci6n
previa per escrito, podra transferir el ALA a la sociedad
superviviente u otra organizacion en caso de producirse una
fusion 0 adquisici6n.
11.5
SeDarabilidad / Renuncia. Si una disposicion del ALA
se considera invalida 0 no aplicable, la disposici6n sera
separada en la medida de,dicha invalidez 0 no aplicabilidad, y
no afectara 0 anulara las restantes disposiciones del presente.
Ninguna renuncia de ningun derecho del ALA surtira efecto, a
menos que se haga mediante un escrito firmado por un
representante autorizado de la parte renunciante.

Modificaciones. Excepto per 10que se pueda estipular
expresamente en el ALA, que incluye el derecho de Novell de
revisar los Precios AlA, el ALAno podra ser modificado, excepto
mediante un escrito firmado per los representante autorizados
de Gada parte. Especfficamente, las condiciones de una orden
de compra no modificaran el ALA, amenos que las partes
acuerden per escdto 10contrario.
11.7

11.2
Notices. All notices to a party will be in writing and
will be deemed effective upon confirmed receipt by the
recipient's person identified as its primary ALA contact.
Notices may be delivered by mail, fax, or courier.
11.3
Law. If the Customer is located in Mexico or
Argentina, this ALA will be governed by the laws of said
country. If not, this ALA will be governed by the laws of the
State of Utah of the United States and both parties irrevocably
submit to the exclusive jurisdiction of the Courts of the State
of Utah in the United States. In all cases, the choice of law
rules forming part of the selected national law are excluded.
If either party initiates legal proceedings to enforce a term of
the ALA, the prevailing party will be entitled to recover
reasonable attorneys' fees. Each party will, at its own
expense, comply with any applicable law, statute, ordinance,
administrative order, rule and regulation.
11.4
Assianment This ALA is binding upon the parties'
and their respective successors and assigns. Unless
expressly permitted herein, neither party may transfer,
assign, or delegate any right or obligation set forth in the ALA
without the prior written consent of the other party. Neither
party will unreasonably withhold consent for an assignment
to the other party's subsidiary. Either party may, upon prior
written notice, assign the ALA to the surviving company or
other organization in the event of a merger or acquisition.
11.5
Severabilitv / Waiver. If an ALA provision is held
invalid or unenforceable, the provision will be severed to the
extent of such invalidity, or unenforceability, and will not affect
or impair the remaining provisions hereof. No waiver of any
ALA right will be effective unless made in writing signed by
an authorized representative of the waiving party.
11.6
Modifications. Except as may be expressly provided
for in the ALA, including Novell's right to revise ALA Prices,
the ALA may not be modified except in writing signed by
authorized representativesof each party. In particular, the
terms of a purchase order will not modify the ALA unless the
parties agree otherwise in writing.
11.7
Entire Aareement. The ALA is the entire agreement
and understanding between the parties as to its subject
matter. The ALA supersedes all other prior and
contemporaneous agreements and statements on these
subjects. Each party warrants that in entering into this ALA, it
has not relied upon or been induced by any representation or
statement not expressly set forth in this ALA.

AI memento de su suscripci6n, el Presente ("Ellntermediario
del ALA") sera legal mente vinculante para el Cliente, el

1. Definiciones. Las expresiones cuya letra inicial asia en
mayuscula tendran el mismo significado que se define en el
ALA, excepto que se defman de otro modo en el Presente.
4.2 Reqistros. Durante la vigencia del ALA y durante un
periodo de des anos posterior al vencimiento 0 extinci6n del
mismo, el Intermediario lIevara registros suficientes para
fundamentar lag 6rdenes de compra enviadas a Novell en
virtud del articulo 4.1 anterior, y la cantidad total de capias de
Obras Autorizadas del Cliente. Durante este periodode trampe,
con el envio de una notificaci6n razonable, Novell (0 su
representante designado) estara facultado para inspeccionar
log registros e instalaciones del Intermediario durante el
horariocomercial normal para verificarel cumplimiento del ALA
y del Presente .
Con la recepci6n de 6rdenes de compra posteriores del
Cliente,ellntermediario enviara inmediatamente a Novell una
copia de la Hoja de Trabajo de Cuotas Anuales del ALA
original del Cliente y la orden de compra correspondiente del
Intermediario.

Elecci6n de un Intermediario. Durante laduraci6ndel ALA,
el Cliente podra elegir un Intermediario que haya side
calificado
previamente
per Novell
para actuar como
representante de ejecuci6n y cobranza en virtud del ALA. EI
Intermediario actuara ycumplira todos log pedidos del Cliente
y cobrara todos log pages e informes que el Cliente debe
efectuar en virtud del ALA.

4.3 Paqos a Novell. Con la recepci6n de la orden de compra
del Intermediario,
Novell emitira una factura para el

4.4 Condici6n de Cuenta SusDendida. Cuando Novell asigne
allntermediario
la condici6n de "Cuenta Suspendida", Novell

Novell trabajaran en conjunto y de buena fe para resolver la
condici6n de "Cuenta Suspendida". Cuando la condici6n de

Responsabilidades del Intermediario. EI Intermediario
asia autorizado para prestar log siguientes servicios.
4.1 Administraci6n de Hoias de Trabaio v Pedidos. Cuando el
Cliente suscribe el ALA, ellntermediario debe enviar a Novell
una copia de la Hoja de Trabajo de Cuotas Anuales del ALA y

5 Vigencia/Extinci6n.EI Presente entrara en vigencia en la
fecha de su suscripci6n per parte del representante autorizado
de Novell, y vencera con la extinci6n del ALA per cualquier
motivo. Cualquiera de lag partes tambien puede extinguir el
Presente en cualquier memento mediante notificaci6n per

escrito con treinta (30) dfas de anticipaci6n alas restantes
partes. Dentro de los treinta (30) dias posteriores
al
vencimiento 0 extinci6n del Presente, el Intermediario debe
pagar todos los mantas adeudados a Novell en virtud del
Presente y debe devolver todo Software Maestro a Novell y
permitir una inspecci6n final par parte de Novell. La extinci6n
del Presente no perjudicara la aplicaci6n de toda obligaci6n
pendiente de cualquiera de las partes existente en el momenta
de la extinci6n.

6 Seleccion de un nuevo Intermediario. EI Cliente y Novell
deben acordar par escrito todo cambia con respecto al
Intermediario. Dichos cambios saran efectivos treinta (30) dfas
despues de su notificaci6n al Intermediario par parte del
Cliente y de Novell.

Modificaciones. EI Presente no puede ser modificado
excepto par un escrito suscrito par los representantes
a utorizados de Gada parte. Novell se reserve todos los

8 ContinuidadExcepto que semodifiquen ycomplementen
expresamente en el Presente , las condiciones del ALA

ALA Fulfillment Agent Addendum
Upon its execution below, this ALAFulfillmentAgentAddendum
will become legally binding upon Customer, the Fulfillment
Agentidentified below ("Fulfillment Agent"), and Novell, each of
whom accept the terms of this Addendum and the Academic
LicenseAgreement("ALA")
of which this Addendum is made a
part. By signing below, Customer agrees to provide Fulfillment
Agent a copy of the ALA, and Fulfillment Agent agrees to be
bound by the terms of the ALA, including its confidentiality
provisions.
1 Definitions. Terms with the initial letter capitalized will
have the same meaning as defined in the ALA unless
otherwise defined in this Addendum.

Selecting a Fulfillment Agent. During the term of the ALA,
Customer may select a Fulfillment Agent that has been prequalified by Novell to act as a fulfillment and collection agent
under the ALA. The Fulfillment Agent will accept and fulfill all
Customer orders and collect all payments and reports that
Customer must submit under the terms of the ALA.

Designations.

4.2 Record KeeDina. During the ALA and for a period of 2
years after the expiration or termination thereof, Fulfillment
Agentwill maintain records sufficient to substantiate purchase
orders submitted to Novell under Section 4.1 above, and the
total number of Customer's copies of Licensed Works. Upon
reasonable written notice, Novell (or its designee) will have the
rightto audit Fulfillment Agent's records and inspect Fulfillment
Agent's facilities during normal business hours to verify
compliance with the ALA and this Addendum.
4.3 Pavments to Novell. Novell will issue an invoice to
Fulfillment Agent upon receipt of Fulfillment Agent's purchase
order. Payment terms are net thirty (30) days from the date of
invoice. Interest will accrue on all past due balances at the
lesser of 1.5% per month or the highest rate allowed by law.
Payments will be due and owing regardless of whether
Fulfillment Agent has successfully collected amounts owed
from Customer. There will be no prepay discounts. Fulfillment
Agent must immediately submit payment to Novell on any
orders prepaid by Customer. In the event Fulfillment Agent's
Account is 15 days past due, Novell may place all of Fulfillment
Agent's Accounts under any Novell contract on "Account Hold",
effective immediately.

4.4 Account Hold Status. If Novell places Fulfillment Agent on
"Account Hold" status, Novell will notify the Fulfillment Agent
and the Customer. Fulfillment Agent and Novell will work
together in good faith to resolve the "Account Hold" status. If
Fulfillment Agent remains on "Account Hold" status for more
than thirty(30) days, Customer will notify Novell in writing bythe
30thdaywhetherCustomerwishes to conductbusiness under
the ALAdirectly with Novell or whether Customer wishes to
designate another FulfilimentAgent.lfCustomer does not notify
Novellas required herein, Novell may, in its discretion, choose
to conduct business directlywith Customer. IfFulfillment Agent
remains on "AccountHold" status for more than thirty(30) days,
Novell may terminate this Addendum.

Fulfillment Agent's Responsibilities. FulfillmentAgent is
authorized to perform the following services.
4.1 Worksheet and Order Manaaement
At the time Customer
signs the ALA, Fulfillment Agent must submit to Novell a copy
of Customer's ALA Annual Fee Worksheetand purchase order
accompanied by Fulfillment Agent's corresponding purchase
order. Upon receiving subsequent Customer orders, Fulfillment
Agent will immediately submit to Novell
a copy of the
Customer's original ALA Annual Fee Worksheet and the
Fulfillment Agent's corresponding purchase order.

5 TermlTermination. This Addendum will become effective
on the date it is executed bya Novell authorized signatory, and
will expire on termination of the ALA for any reason. Any party
may also terminate this Addendum at any time upon 30 days
prior written notice to the other parties. Within 30 days after
expiration or termination hereof, Fulfillment Agent must pay all
amounts due to Novell under this Addendum and must return
all Master Software to Novell and provide Novell with a final
audit. Termination of this Addendum will not prejudice the
enforcement of any undischarged
obligation of any party
existing at the time of termination.
6 Selection of NewFulfillmentAgent. Customer and Novell
must agree in writing to any change in the Fulfillment Agent.
Such changes will take effect 30 days after notice is given by
Customer and Novell to the Fulfillment Agent.
7 Modifications. This Addendum maynotbe modified except
in writing signed by authorized representatives of each party.
Novell reserves all rights with respect to Novell's Licensed
Works not expressly granted in the ALA and this Addendum.

8 Continuance.
Except as expressly amended and
supplemented by this Addendum, the ALAterms remain In
effect unchanged.
9 Signatures. Customer, FulfilimentAgent, and Novell have
each caused this Addendum to be executed by Its duly
