REPORT OF SIGNIFICANT EVENT
Madrid, 8th June 2005
As provided in article 82 of the Spanish Securities Exchange Act 24/1988 of July 28
(Ley del Mercado de Valores), for the purposes of its entry in the public registers of the
Comisión Nacional del Mercado de Valores, (Spanish Securities Markets Commission:
hereinafter, “CNMV”), the following significant event is hereby reported.
Within the scope of the strategy which has been previously communicated with regard to
divestments of non-strategic activities, on 6th June Campofrio Alimentación S.A. has
undersigned with the Uruguayan companies American Finance, CORP. and Dimarans,
CORP. the agreements by which the entirety of the Campo Austral, S.A. shares have been
transmitted, to date 44.00% subsidiary to the Campofrío Group in Argentina, as well as the
cancellation of all credits and guarantees assumed by this subsidiary, for the total sum of
$4.305.622 USD, which implies the total branch off from the Campofrío Group, its
investments and existent risks in Argentina.
