Retailer Contract
THIS CONTRACT is entered into by and between the FLORIDA LOTTERY (hereinafter
referred to as “Lottery”) and__________________________________________ doing
business as____________________________________________, whose business address is
(hereinafter referred to as “Retailer”).
1.
Scope of Contract
a. This contract authorizes Retailer to sell tickets for lottery games as directed by Lottery, at
Lottery’s sole discretion.
b. The section titles found in this contract are solely for convenience and are not intended to affect
the meaning of the contract.
2.
Term
This contract shall begin on the date it is fully executed by the parties and shall remain in effect for a
period of four (4) years unless suspended or terminated as provided herein. In the event that Retailer
and Lottery have entered into any Retailer Contracts dated prior to the date of this Retailer Contract,
this Retailer Contract shall replace any prior Retailer Contract in its entirety. For business entities
with multiple locations, the locations governed by this contract shall be listed separately in an
Appendix to this contract.
3.
Compliance with Statutes and Rules
a. Retailer shall comply with all provisions of Chapter 24, Florida Statutes, as amended from time to
time, as well as rules and regulations heretofore or hereafter promulgated by the Lottery. Retailer
shall comply with such other statutes, rules, and ordinances as may be applicable to it.
b. Retailer shall comply with all policies and procedures of the Lottery for each game and such other
policies and procedures as may be established by the Lottery.
c. Retailer shall be required to meet any minimum sales levels established by the Lottery, subject to
applicable exceptions, if any, contained in such minimum sales policy.
4.
Sale of Lottery Tickets
a. Retailer shall sell only Florida Lottery tickets and no other state or national lottery tickets except
as may be expressly authorized by the Lottery for locations in Florida.
b. Retailer shall sell tickets for games as directed by the Lottery in the manner provided by this
contract and other controlling statutes, rules and procedures.
c. Retailer shall not sell lottery tickets to anyone under the age of 18 years. Retailer shall establish
such safeguards as are necessary to ensure that no sales are made nor prizes paid to persons
under the age of 18.
d.
Retailer shall not sell lottery tickets at any price other than that established by the Lottery.
e. Retailer shall make lottery tickets available for sale to the public during Retailer's normal business
hours.
f.
Retailer shall not be engaged in business exclusively as a lottery ticket retailer.

Retailer by the Lottery. Retailer shall display the Certificate of Authority in a conspicuous
location within Retailer’s place of business.
h. Retailer shall display and maintain in prominent locations point-of-sale materials provided by the
Lottery, including, but not limited to, playstations, electronic displays and odds pieces.
5.
Cooperation with Lottery Representatives
Retailer shall fully cooperate with Lottery employees or agents and law enforcement agencies in the
investigation and recovery of lost, stolen, altered or counterfeit tickets, and in other investigations.
Retailer shall immediately report to the Lottery any knowledge of unlawful activities or other
improprieties concerning Lottery operations. Retailer shall be accountable for all instant tickets
received, all on-line tickets generated and all funds received by Retailer. Retailer shall cooperate in
the collection of funds owed to the Lottery and in the review of and/or physical inspection of lottery
tickets, records and equipment by Lottery employees or agents on demand.
6.
Retailer Sales Commission
The Lottery shall pay to Retailer a sales commission on the purchase price of all tickets sold or issued
as a prize by Retailer. Payment shall be made in accordance with rules established by the Lottery for
settlement with Retailer.
7.
Retailer Cashing Commission
The Lottery shall pay to Retailer a cashing commission on the prize value of tickets validated and
paid by Retailer at its authorized location. This commission applies to tickets valued less than $600.
Retailer shall be entitled to a cashing commission for every free ticket redeemed or issued as a prize
at its retail location. Free tickets shall be deemed to have a face value of the retail sales price.
8.
Instant Ticket Inventory
Retailers are authorized to order and receive instant tickets on a modified consignment basis. Instant
tickets received by Retailer will remain on consignment for a specified number of days after they are
activated for sale by Retailer or after a specified percentage of low-tier prizes are redeemed,
whichever occurs first. At that time, instant ticket books will be automatically settled by the Lottery.
The number of days following ticket book activation and the percentage of low-tier prizes redeemed
will be specified by the Lottery, and may be subject to change upon written notice by the Lottery.
Unsold tickets that have been previously settled may be returned to the Lottery for credit within time
frames and under conditions specified by the Lottery. Retailer agrees that it is liable to the Lottery for
all lottery tickets accepted by any employee or representative of Retailer. Activated tickets shall be
deemed to have been purchased by Retailer unless returned within time frames and under conditions
specified by the Lottery. Should Retailer fail to return tickets in the manner provided by the Lottery,
Retailer shall be responsible for payment to the Lottery of the net sales value (retail sales value less
commission) of the tickets, except for lost, stolen or damaged tickets, which shall be handled as
provided in Section 9.
9.
Payment for Lost, Stolen or Damaged Tickets
Retailer shall be charged for each active or inactive lost, stolen or damaged book of tickets in
accordance with rules established by the Lottery. The total amount due the Lottery for active and
inactive books will be included in the Retailer’s next weekly settlement report.
10. Non-Transferability and Non-Assignability of Retailer Obligations
a. This contract is not assignable or transferable in whole or in part to any other person or entity,
nor is it transferable to any location other than that shown on the Certificate of Authority issued
to Retailer by the Lottery. Retailer shall immediately notify the Lottery in writing of pending
changes in ownership or changes of partners, corporate officers or directors.
b. Retailer shall exercise ultimate control and supervision over its employees selling and redeeming
lottery tickets. Retailer shall provide proper training and instructions to its employees
concerning the rules and procedures of the Lottery and shall be responsible for the acts and
omissions of its employees.

c. Retailer may not relieve itself of any retailer obligations by entering into management or other
agreements involving operation of its business.
11. Access to Records
Retailer shall maintain such financial and accounting records as the Lottery shall require. Retailer
shall make those records, including ticket book inventories, available for inspection and review at any
time they are requested by the Lottery or any authorized agent designated by the Lottery. Retailer
shall make available for review by the Lottery any other books, documents, papers and records of
Retailer that are directly pertinent to the sale of tickets for the purposes of investigation or audit, or
making excerpts, transcripts and copies.
12. Financial Conditions
a. Retailer is required to remit to Lottery all monies received from the operation of the lottery, less
the amount retained as compensation for the sale of lottery tickets and the amount paid out as
prizes, in a manner and on a schedule determined by the Lottery.
b. Retailer shall maintain any and all commercial bank accounts required by the Lottery and comply
with all rules and regulations of the Lottery concerning monies due the Lottery from the sale of
lottery tickets. The Lottery is authorized to make adjustments to settlements as deemed
necessary.
c. Retailer agrees that if a check or electronic funds transfer of Retailer is dishonored, the Lottery
shall require Retailer to pay for each such event the service charge authorized by Lottery rules.
d. Dishonored electronic funds transfers, plus applicable penalties, and other invoiced items are due
immediately. If a check or electronic transfer of funds to the Lottery is dishonored, the Lottery
reserves the right to withhold credits and institute any and all legal actions authorized by law.
Retailer waives any and all privileges and rights which it may have under Chapter 47, Florida
Statutes, relating to venue, as it now exists or may hereafter be amended, and under any other
statute or administrative provision, and agrees that any legal action brought to collect unpaid
funds may be brought in the appropriate court in Leon County, Florida. Should the Lottery
prevail in any such action, Retailer shall pay the expenses of collection and/or litigation,
including reasonable attorneys' fees.
13. Report of Change in Condition
If, at any time during the term of this contract, Retailer or any person listed on Retailer's application,
or amendments thereto, is convicted of, or enters a plea of guilty or nolo contendere, regardless of
adjudication, to an offense punishable as a felony or an offense involving dishonesty or gambling, or
if such person incurs a tax delinquency with the federal government or any taxing authority within
the State of Florida, Retailer shall report such event to the Lottery in writing within fifteen days of the
occurrence of that event. Should such event occur, or should Retailer fail to report such event, this
contract may be terminated or suspended and any subsequently filed application may be rejected.
14. Indemnification and Liability for Damage to Personal Property
a. Retailer shall defend, protect and hold harmless the State of Florida, the Lottery, and any officers
or employees thereof, from and against all claims, suits or actions arising from any willful or
negligent act or omission of Retailer or its agents while performing under the terms of this
contract.
b. Retailer shall be responsible for any loss or damage to property of the Lottery or its vendors
which results from the willful or negligent act or omission of Retailer or which results from the
failure on the part of Retailer to maintain that property in accordance with sound management
practices. Retailer agrees that upon the theft, loss, destruction or damage of any property of the
Lottery or its vendors, Retailer shall immediately notify the Division of Security of the Lottery
located in Tallahassee, Florida, by telephone and shall take all reasonable steps to protect that
property from further damage or loss.
c. In the event of any negligent or intentional damage to the equipment or materials supplied to
Retailer, the parties agree that Retailer shall pay, as liquidated damages, a sum equal to the cost of
repair or replacement.

15. Payment of Prizes by Retailer

Retailer shall redeem and pay all winning lottery tickets valued less than $600 that are authorized
and validated through Retailer’s Lottery terminal. Retailer shall, upon presentation of such winning
lottery tickets, perform the necessary authorization and validation as called for by the rules and
regulations of the Lottery. Winning tickets valued $600 or greater shall be paid by the Lottery only,
and if paid by Retailer, may not be reimbursed to Retailer and may subject Retailer to Internal
Revenue Service penalties. Under no circumstances shall Retailer charge the player a fee for the
service of redeeming winning lottery tickets. Retailer agrees that the Lottery has the right to
immediately suspend or terminate sales should Retailer refuse to redeem and pay a properly
presented ticket.
16. Terminal Requirements
a. Lottery and its vendors and suppliers shall provide Retailer with equipment, such as Lottery
terminals, ticket dispensers, and playstations. The equipment will be used exclusively in
connection with Lottery business. All equipment and supplies provided to Retailer by Lottery or
its vendors shall remain the property of Lottery or its vendors. Retailer shall acquire no interest
whatsoever in the equipment or supplies.
b. Retailer and its employees who sell lottery tickets shall meet training standards established by the
Lottery, relating to the operation of Lottery terminals and the sale of lottery products.
c. Retailer shall pay a service charge to the Lottery for use and maintenance of Lottery-provided
equipment, as prescribed by Lottery rule. The amount of the service charge may be subject to
change upon written notice by the Lottery. Such charges may be collected by the Lottery in the
same manner and time that other amounts owed to the Lottery are collected.
d. Retailer shall be responsible for meeting terminal installation requirements as specified by the
Lottery, including, but not limited to, electrical circuitry; telephone line and equipment; counter,
roof, and building space; and conduit, if applicable. All expenses associated with the items
required to be furnished by Retailer shall be the sole responsibility of Retailer.
17. Accessibility for the Disabled
Retailer shall provide accessibility for individuals with disabilities as required by the Florida
Americans with Disabilities Accessibility Implementation Act, Sections 553.501-553.513, Florida
Statutes.
18. Ability to Engage in Sale of Lottery Tickets
Both parties to this contract acknowledge that the Lottery makes no representations or warranties as
to whether Retailer may be prohibited from engaging in the sale of lottery tickets by reason of any
controlling federal statute, rule or regulation, deed restriction, charter or other applicable statute,
agreement or lease. Retailer represents that it is not prohibited from the sale of lottery tickets by any
of the above. In the event it is determined that any restriction or document exists which may be
applicable to Retailer and which would prohibit the sale of lottery tickets or games, or restrict the sale
of lottery tickets or games in any manner, the existence of such restriction or document shall be
grounds for termination or suspension of this contract, in the sole discretion of the Lottery.
19. Termination
a. This contract may be terminated by Retailer at any time upon written notice to the Lottery.
b. If the Lottery determines that, due to a change in the type of games to be played, a change in the
method by which games are to be played, a change in the method the Lottery will use in servicing
or contracting with Retailers, or for any other reason, it is in the best interest of the Lottery, to
terminate this contract, the Lottery may terminate this contract at any time upon thirty days'
written notice to Retailer. In addition, the Lottery may immediately terminate this contract or
suspend Retailer for a period of time specified by the Lottery from receiving, activating,
validating, selling and cashing tickets, and may reject any subsequently filed application for a
new contract if Retailer fails to comply with the terms of this contract. The reasons for
termination or suspension of this contract, or rejection of any subsequently filed application for a
new contract, include, but are not limited to, the following:

(1) Retailer has provided false or misleading information in obtaining a Retailer Contract and
Certificate of Authority.
(2) Retailer has entered a plea of guilty or nolo contendere or has been convicted of an offense
punishable as a felony or an offense involving gambling.
(3) Retailer has outstanding tax delinquencies owed to the federal government or any taxing
authority within the State of Florida.
(4) Retailer has jeopardized the integrity, security or efficient operation of the Lottery.
(5) The ownership or location of the business has changed.
(6) Retailer has failed to meet the volume of sales established for Retailer by the Lottery.
(7) Retailer has failed to accurately account for lottery tickets, revenues or prizes as required by
the Lottery.
(8) Retailer has failed to remit or is delinquent in remitting money owed to the Lottery.
(9) Retailer has committed any fraud, deceit or misrepresentation to the Lottery or to any
individual purchasing a lottery ticket or tickets or redeeming a prize from Retailer.
(10) Retailer has sold a lottery ticket or paid a prize to any person under 18 years of age.
(11) Retailer has sold a lottery ticket at any place other than the place authorized in its Certificate
of Authority.
(12) Retailer has not prominently displayed its Certificate of Authority at the approved sales
location.
(13) Retailer has not prominently displayed and maintained ticket displays/dispensers and
point-of-sale materials provided by the Lottery.
(14) Retailer has not made point-of-sale information for lottery products accessible to the public.
(15) Retailer has sold tickets at a price other than that established by the Lottery.
(16) Retailer’s reputation is no longer consistent with the protection of the public interest.
(17) Retailer has materially changed any factor considered by the Lottery in selecting Retailer.
(18) Retailer has engaged in conduct prejudicial to public confidence in the Lottery.
(19) Retailer has charged a fee to redeem a lottery ticket or has required a customer to purchase
another item in order to purchase a lottery ticket.
(20) Retailer has paid a prize of $600 or more.
(21) Retailer has exchanged a book(s), ticket(s), or ticket stock with another lottery retailer.
(22) Retailer has purchased a book(s) or ticket(s) from another lottery retailer for resale.
(23) Retailer has violated any rule or regulation promulgated by the Lottery.
(24) Retailer has violated any directive or instruction issued by the Lottery.
(25) Retailer has violated any provision of Chapter 24, Florida Statutes.
(26) Retailer has violated Lottery’s ethics rules or policies.
c. Retailer shall promptly surrender possession of property of the Lottery or its vendors upon
request of the Lottery.
d. Retailer shall maintain the commercial bank account required by this contract for at least thirty
days following termination.

e. Emergency Suspension Procedure. The
Lottery
may suspend this contract without prior notice, if
it determines that immediate suspension is necessary in order to ensure the integrity, security,
honesty or fairness of the operation of the Lottery.
20. Statement on Public Entity Crime
A person or affiliate who has been placed on the convicted vendor list following a conviction for a
public entity crime may not submit a bid, proposal, or reply on a contract to provide any goods or
services to a public entity, may not submit a bid, proposal, or reply on a contract with a public entity
for the construction or repair of a public building or public work, may not submit bids, proposals, or
replies on leases of real property to a public entity, may not be awarded or perform work as a
contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may
not transact business with any public entity in excess of the threshold amount provided in Section
287.017, Florida Statutes, for CATEGORY TWO for a period of 36 months from the date of being
placed on the convicted vendor list. Retailer represents and warrants that it is not on the convicted
vendor list and that it will promptly notify the Lottery if its name is placed on the list during the term
of the contract.
21. Unauthorized Aliens
The employment of unauthorized aliens by any vendor is considered a violation of Section 274A(e) of
the Immigration and Nationality Act, 8 USC § 1324a. If Retailer knowingly employs unauthorized
aliens, such violation shall be cause for unilateral cancellation of the contract.
22. Discrimination
An entity or affiliate who has been placed on the discriminatory vendor list may not submit a bid,
proposal, or reply on a contract to provide any goods or services to a public entity; may not submit a
bid, proposal, or reply on a contract with a public entity for the construction or repair of a public
building or public work; may not submit bids, proposals, or replies on leases of real property to a
public entity; may not be awarded or perform work as a contractor, supplier, subcontractor, or
consultant under contract with any public entity; and may not transact business with any public
entity. Retailer represents and warrants that it is not on the discriminatory vendor list and that it will
promptly notify the Lottery if its name is placed on the list during the term of the contract.
23. Recourse in the Event of Suspension or Revocation
Retailer agrees that in the event Retailer contests any suspension or termination of this contract by the
Lottery, Retailer's remedy shall be such civil action as may be appropriate. The parties hereby agree
that the venue for any such action shall be in Leon County, Florida. The parties further agree that
any violation of this contract shall not give rise to any action under Chapter 120, Florida Statutes, the
Administrative Procedure Act.
24. Breach
a. Retailer agrees that failure by Retailer to comply with any of the terms of this Retailer Contract
shall constitute a breach of this contract.
b. The parties acknowledge and agree that the measure of damages for Retailer's breach of this
contract may be difficult or impossible to calculate, depending on the nature of the breach. The
parties agree that, if Retailer breaches this contract, the Lottery shall require Retailer to pay, as
fixed and agreed liquidated damages, the full amount of the value of all lottery tickets issued to
Retailer but not settled.
c. Retailer agrees that it shall be liable for all costs incurred by the Lottery in collecting the amounts
due it from Retailer, including any court costs and reasonable attorneys' fees.
d. The parties agree that any legal action brought for breach of this contract shall be brought in the
appropriate court in Leon County, Florida. The parties agree that failure of a party to pursue its
legal remedies in case of breach shall not operate as a waiver of that breach, nor the remedies
therefor.

25. Severability

Retailer agrees that the invalidity or unenforceability of any provision of this contract shall not
affect or diminish the validity or enforceability of the remaining provisions.
26. Lottery Retailer Rules
a. The Lottery Retailer rules, including any rule amendments, promulgated by the Lottery are
incorporated by reference and made a part of this contract as if fully set forth herein.
b. Retailer's signature on this contract signifies that it has received a complete copy of the Florida
Lottery Retailer Rules. Additional copies of the rules can be obtained from the Florida Lottery,
Office of the General Counsel, 250 Marriott Drive, Tallahassee, Florida 32399-4011.
27. Ethics Policy; Gifts Prohibited
a. Lottery employees are prohibited by the Lottery’s ethics rule from accepting gifts valued in
excess of $25 from entities doing business with the Lottery. Retailer agrees that it will not offer or
provide to any Lottery employee any gift or other item of value that would violate the Lottery’s
ethics rule and acknowledges that the Lottery may unilaterally cancel this Agreement if Retailer
violates this provision.
b. Retailer’s signature on this contract signifies that it has received a copy of the Lottery’s ethics
rule. Additional copies of the rule can be obtained from the Florida Lottery, Office of the General
Counsel, 250 Marriott Drive, Tallahassee, Florida 32399-4011.

Contrato del Detallista
ESTE CONTRATO forma parte e inicia un acuerdo entre la LOTERÍA DE LA FLORIDA (en lo
adelante denominada la "Lotería") y______________________________________________, quien realiza
negocios bajo el nombre de _____________________________________________, y cuya dirección
comercial es __________________________________________ (en lo adelante denominado "Detallista").
1.
Propósito del contrato
a. Este contrato autoriza al Detallista a vender billetes de lotería, según las orientaciones de la Lotería y
a discreción de la Lotería.
b. Los títulos de las secciones en este contrato son utilizados solamente por conveniencia y sin la
intención de afectar el significado del contrato.
2.
Término
Este contrato comenzará en la fecha en que ambas partes lo hayan firmado y permanecerá vigente por un
período de cuatro (4) años a menos que sea anulado o cancelado conforme los términos aquí dispuestos.
Si el Detallista y la Lotería celebraron un acuerdo antes de la fecha de este Contrato del Detallista, el
presente Contrato del Detallista sustituirá cualquier otro Contrato del Detallista en su totalidad. En el
caso de entidades comerciales con locales múltiples, los locales que se rigen por este contrato se
enumerarán separadamente en un Apéndice a este contrato.
3.
Cumplimiento de los estatutos y regulaciones
a. El Detallista deberá cumplir todas las disposiciones del Capítulo 24 de los Estatutos de la Florida y
sus enmiendas, así como aquellas leyes y regulaciones que la Lotería haya promulgado anteriormente
o que promulgue en un futuro. El Detallista también deberá cumplir cualquier otro estatuto,
regulación u ordenanza aplicable a este.
b. El Detallista deberá cumplir todas las prácticas y procedimientos de la Lotería para cada juego, así
como cualquier otra práctica y procedimiento que la Lotería establezca de aquí en adelante.
c. El Detallista deberá cumplir los niveles mínimos de venta establecidos por la Lotería, sujeto a las
excepciones aplicables, de existir alguna, incluidas en dicha política de ventas mínimas.
4.
Venta de billetes de lotería
a. El Detallista venderá solamente billetes de la Lotería de la Florida y no venderá ningún otro billete de
lotería nacional o de otro estado a menos que la Lotería de la Florida haya autorizado expresamente
dicha venta en los establecimientos de la Florida.
b. El Detallista venderá billetes para los juegos según las instrucciones de la Lotería establecidas en este
contrato, así como otros estatutos, regulaciones y procedimientos aplicables.
c. El Detallista no venderá billetes de lotería a ninguna persona menor de 18 años de edad. El Detallista
deberá establecer todas las medidas necesarias para asegurarse de que no habrá ventas de billetes o
pagos de premios a personas menores de 18 años de edad.
d. El Detallista no venderá billetes de lotería a otro precio que no sea el establecido por la Lotería.
e. El Detallista pondrá los billetes de lotería a la venta al público durante su horario de trabajo regular.
f.
El Detallista no se dedicará exclusivamente al negocio de venta de billetes de lotería.

la Lotería le proporcione, incluyendo, pero sin limitarse únicamente a, estaciones de juegos, anuncios
electrónicos y hoja de probabilidades de ganar.
5.
Cooperación con representantes de la Lotería
El Detallista cooperará ampliamente con los empleados o agentes de la Lotería y las agencias de policía
en la investigación y recuperación de billetes perdidos, robados, alterados o falsificados, y en cualquier
otra investigación. El Detallista deberá proporcionarle inmediatamente a la Lotería cualquier información
sobre actividades ilegales o cualquier otra acción indebida con respecto a las operaciones de la Lotería.
El Detallista será responsable por todos los billetes instantáneos que reciba, todos los billetes emitidos en
línea (on-line) y todos los fondos que reciba. El Detallista deberá cooperar en la recolección de los fondos
que se le deban a la Lotería y en la revisión y/o la inspección física de los billetes de lotería, registros y
equipos de los empleados o agentes de la Lotería que se soliciten.
6.
Comisión por las ventas para los Detallistas
La Lotería le pagará al Detallista una comisión por la venta de todos los billetes vendidos o por el billete
que el Detallista haya emitido y se haya premiado. El pago se realizará de acuerdo con las regulaciones
que la Lotería ha establecido con el Detallista.
7.
Comisión al detallista por el pago de premios
La Lotería le pagará al Detallista una comisión por el pago del valor del premio de los billetes validados
y redimidos por el Detallista en sus establecimientos autorizados. Esta comisión es válida para los
billetes ganadores con un valor de menos de $600. El Detallista también tendrá derecho a una comisión
por el pago de cada billete gratis que se canjee o emita como premio en sus establecimientos de venta. El
valor nominal de los billetes gratis será considerado igual a de su precio al detalle.
8.
Inventario de billetes instantáneos
Los Detallistas están autorizados a ordenar y recibir billetes de juegos instantáneos sobre la base de una
consignación modificada. Los billetes instantáneos recibidos por el Detallista permanecerán en
consignación por un número especificado de días después de haber sido activados a la venta por el
Detallista o después de que un porcentaje específico de premios de categoría menor haya sido redimido,
lo que primero ocurra.
En ese instante, los libros de billetes instantáneos serán saldados
automáticamente por la Lotería. El número de días después de la activación del libro de billetes y el
porcentaje de premios de categoría menor será especificado por la Lotería, y estará sujeto a cambio
mediante notificación por escrito de la Lotería. Los billetes no vendidos que se han liquidado
anteriormente se le podrán devolver a la Lotería para recibir un crédito dentro de los límites de tiempo y
las condiciones especificadas por la Lotería. El Detallista acepta ser responsable ante la Lotería por todos
los billetes de lotería que cualquiera de sus empleados acepte. Los Billetes activados serán considerados
como comprados por el Detallista, a menos que sean devueltos dentro de los límites de tiempo y
conforme a las condiciones especificadas por la Lotería. De no devolver los billetes de la manera
establecida por las regulaciones de la Lotería, el Detallista será responsable de pagar a la Lotería el valor
de venta neto (valor de venta al detalle menos la comisión) de los billetes, con excepción de los billetes
perdidos, robados, o dañados, los cuales serán manejados tal y como proveen las Secciones 9.
9.
Pago por billetes perdidos, robados o dañados
El Detallista recibirá un cargo cada talonario de billetes activos o inactivos perdido, robado o dañado,
conforme a las regulaciones establecidas por la Lotería. La cantidad total que se le adeude a la Lotería por
cada talonario de billetes activos o inactivos se incluirá en el próximo informe semanal de transacciones
del Detallista.

10. Naturaleza intransferible de las obligaciones del Detallista
a. Este contrato no se le puede ceder ni transferir total o parcialmente a ninguna otra persona o entidad,
ni tampoco le puede transferir a otro establecimiento que sea distinto al que aparece en el Certificado
de Autorización emitido por la Lotería al Detallista. El Detallista notificará inmediatamente por
escrito a la Lotería sobre cualquier cambio pendiente en el título de propiedad, socios o directores de
la corporación.
b. El Detallista ejercerá control y supervisión total sobre los empleados que vendan y paguen premios
de los billetes de lotería. El Detallista capacitará adecuadamente a sus empleados en lo referente a las
regulaciones y procedimientos de la Lotería y será responsable por los actos u omisiones de sus
empleados.
c. El Detallista no podrá liberarse por su propia cuenta de ninguna de sus obligaciones comerciales por
medio de acuerdos o contratos de dirección que incluyan la operación de su negocio.
11. Acceso a la información
El Detallista deberá conservar toda la información financiera y de contabilidad que exige la Lotería
requiere. El Detallista deberá tener esa información disponible, incluyendo el inventario de los libros de
billetes, para su inspección y revisión en cualquier momento que sea solicitada por la Lotería o cualquier
agente autorizado designado por la Lotería. El Detallista permitirá la revisión por parte de la Lotería de
todos aquellos libros, documentos, papeles o registros del Detallista que estén directamente relacionados
con la venta de billetes para propósitos de investigación, auditoria, fragmentos, copias, o transcripciones.
12. Condiciones financieras
a. El Detallista tendrá que remitirle a la Lotería todo el dinero que reciba por las operaciones de la
lotería, menos la cantidad que se retenga como retribución por la venta de los billetes de lotería y la
cantidad que se pague por concepto de premios, de la manera y según el plan que determine la
Lotería.
b. El Detallista deberá mantener todas las cuentas bancarias comerciales requeridas por la Lotería y
cumplir todas las leyes y regulaciones de la Lotería con respecto a los fondos que se deben a la misma
por las ventas de los billetes de lotería. La Lotería está autorizada a hacer ajustes en los pagos cuando
sean necesarios.
c. El Detallista accede a que si alguno de sus cheques o transferencias electrónicas de fondos es
rechazada, la Lotería le exigirá al Detallista, en cada instancia, el pago del recargo autorizado por las
regulaciones de la Lotería.
d. Las transferencias electrónicas de fondos que han sido rechazadas, además de cualquier penalidad y
recargo aplicables, y cualquier otra partida facturada, serán pagaderas inmediatamente. Si un cheque
o transferencia electrónica de fondos a la Lotería es rechazado, la Lotería se reserva el derecho a
rechazar la concesión de crédito e instituir cualquier o todas las acciones judiciales autorizadas por la
ley. El Detallista renuncia a todos los privilegios y derechos disponibles conforme el Capítulo 47 de
los Estatutos de la Florida con respecto a la jurisdicción territorial, como existen en el presente o como
puedan ser enmendados en el futuro, y bajo cualquier otro estatuto o disposición administrativa, y
accede a que cualquier acción judicial para el cobro de fondos no pagados podrá ser instituida en el
tribunal apropiado del Condado León, Florida. En caso de que la Lotería prevalezca en dicha acción,
el Detallista pagará todos los gastos de cobro y/o litigio, incluyendo honorarios razonables de
abogado.
13. Informe de cambio de condición
Si en cualquier momento durante el término de este contrato el Detallista u otra persona inscrita en su
solicitud o en cualquier enmienda a ésta, es declarado culpable de, o se declara culpable o nolo
contendere, a pesar de la adjudicación, de un delito clasificado como grave o un delito que incluya
deshonestidad o juegos de apuestas, o si esa persona incurre en el incumplimiento del pago de sus
impuestos al gobierno federal o cualquier otra agencia o autoridad tributaria en el Estado de la Florida, el
Detallista deberá reportar dicho acontecimiento a la Lotería por escrito no más de quince días después de
dicho acontecimiento. Si el incidente ocurriera, o si el Detallista dejara de reportarlo, se puede anular o
suspender este contrato y cualquier solicitud futura pudiera ser rechazada.

14. Indemnización y obligación por daños a los bienes personales
a. El Detallista deberá defender, proteger y librar de responsabilidad al Estado de la Florida y a la
Lotería, y los funcionarios y empleados de los mismos, de cualquier reclamación, litigios o acciones
judiciales que surjan de cualquier acto premeditado o negligente, o cualquier omisión del Detallista o
sus agentes mientras trabajaban conforme los términos de este contrato.
b. El Detallista será responsable por cualquier tipo de daños o pérdidas a la propiedad de la Lotería o
sus vendedores que sean el resultado de un acto premeditado o negligente o la omisión del Detallista,
o que sean resultado del descuido por parte del Detallista de mantener y administrar la propiedad de
acuerdo con las normas prudentes de administración. El Detallista accede a que si existiera robo,
pérdida, destrucción o daños a cualquier propiedad de la Lotería o sus vendedores, el Detallista
deberá notificar inmediatamente por teléfono a la División de Seguridad de la Lotería situada en
Tallahassee, Florida, y tomará las medidas necesarias para proteger la propiedad de daños o pérdidas
futuras.
c. En caso de haber negligencia o daño intencional al equipo u otros materiales que han sido
suministrados al Detallista, ambas partes acuerdan que el Detallista deberá pagar, como daños
incurridos, una suma igual al costo de reparación o reemplazo.
15. Pago de premios por parte del Detallista
El Detallista deberá pagar y redimir todos los billetes ganadores cuyo valor sea menor de $600 que hayan
sido autorizados y validados a través de la terminal de la Lotería ubicada en el establecimiento del
Detallista. Cuando se le entregue un billete ganador, el Detallista deberá efectuar la autorización y
confirmación requeridas por las regulaciones de la Lotería. Los billetes ganadores con valor de $600 ó
más serán redimidos solamente por la Lotería, y si son redimidos por el Detallista, los fondos no serán
reembolsados y se podrá encausar al Detallista por violación de las regulaciones del Servicio de Rentas
Internas. Bajo ninguna circunstancia el Detallista le cobrará al jugador costo alguno por el servicio de
redimir y pagar un billete ganador. El Detallista acepta que la Lotería tiene el derecho de suspender o
cancelar las ventas inmediatamente si el Detallista rehúsa redimir o pagar un billete debidamente
presentado.
16. Requisitos de la terminal de lotería
a. La Lotería y sus vendedores y suministradores le proporcionarán al Detallista equipos tales como
terminales de la Lotería, expendedoras de billetes y estaciones de juegos. Los equipos se utilizarán
exclusivamente en el negocio de la Lotería. Todos los equipos y suministros proporcionados por la
Lotería y sus vendedores serán propiedad de la Lotería y sus vendedores. El Detallista no obtendrá
interés alguno por los equipos o suministros.
b. El Detallista y los empleados que venden billetes de la lotería cumplirán los requisitos establecidos
por la Lotería relacionados con la operación de las terminales de la Lotería y la venta de productos de
lotería.
c. El Detallista le pagará a la Lotería un cargo por el uso y mantenimiento de los equipos de la Lotería,
conforme a las regulaciones establecidas. La cantidad del cargo puede estar sujeta a cambio tras la
debida notificación por escrito de la Lotería. Dichos cargos se podrán cobrar de la misma manera y en
los mismos plazos que se utilizan para cobrar los otros fondos que se le debe a la Lotería.
d. El Detallista será responsable del cumplimiento de los requisitos para la instalación de equipos
establecidos por la Lotería, incluyendo pero sin limitarse únicamente a el circuito eléctrico, las líneas
y equipos telefónicos, el mostrador, el techo, la edificación, el espacio y los conductos, de ser
aplicable. Todos los gastos asociados con los materiales que debe proveer el Detallista serán
responsabilidad del propio Detallista.
17. Acceso para personas discapacitadas
El Detallista deberá proveer acceso a todo individuo discapacitado, tal y como lo exige la Ley de la
Florida sobre Implementación de Vías de Acceso para Discapacitados, Secciones 553.501--553.513 de los
Estatutos de la Florida.

18. Permiso para la venta de billetes de lotería
Ambas partes reconocen que la Lotería no ha hecho declaración ni ha dado garantía alguna sobre la
existencia o no de una prohibición al Detallista para participar en la venta de billetes de lotería por
razones tales como alguna ley o regulación federal aplicable, restricciones en la escritura de título de
propiedad, una carta orgánica, o cualquier otra ley, contrato, arrendamiento o título de propiedad. El
Detallista declara que no se le ha prohibido vender billetes de lotería por ninguna de las razones
anteriormente mencionadas. En caso en que se determine que existe alguna restricción o documento que
sea aplicable en contra del Detallista y que le pueda prohibir o restringir la venta de billetes de lotería u
otros juegos de alguna manera, la existencia de tal documento o restricción será causa justa para cancelar
o anular este contrato, a la entera discreción de la Lotería.
19. Cancelación
a. El Detallista puede cancelar este contrato en cualquier momento por medio de una notificación por
escrito dirigida a la Lotería.
b. Si la Lotería decide cancelar este contrato debido a cambios en el tipo y método de juego,
modificaciones en el método que utiliza la Lotería para dar servicios o comunicarse con los
Detallistas, o cualquier otra razón, por ser más ventajoso, la Lotería puede cancelarlo en cualquier
momento, siempre que sea treinta (30) días después de haber notificado por escrito al Detallista.
Además, la Lotería podrá cancelar este contrato inmediatamente o revocar el derecho del Detallista a
recibir, validar, vender y redimir billetes por el período de tiempo que la Lotería especifique y podrá
rechazar cualquier solicitud subsiguiente para un contrato nuevo si el Detallista incumple los
términos de este contrato. Las causas por las cuales se puede suspender o cancelar este contrato, o
por las cuales se puede rechazar una solicitud subsiguiente, incluyen, sin limitarse únicamente a las
siguientes:
(1)
El Detallista ha suministrado información falsa o engañosa durante el proceso de obtener el
Contrato o el Certificado de Autorización.
(2)
El Detallista se ha declarado culpable o nolo contendere, o ha sido declarado culpable de un
delito clasificado como delito grave o algún otro delito que relacionado con juegos de apuestas.
(3)
El Detallista tiene una deuda de impuestos pendiente con el gobierno federal o cualquier otra
institución tributaria dentro del Estado de la Florida.
(4)
El Detallista ha puesto en peligro la integridad, la seguridad o la eficiencia de la Lotería.
(5)
El propietario o el establecimiento del negocio ha cambiado.
(6)
El Detallista no ha logrado alcanzar el volumen de ventas que le fue establecido por la Lotería.
(7)
El Detallista no ha rendido cuentas exactas de los billetes de lotería, los ingresos sobre las ventas
de billetes o los premios conforme se ha establecido por la Lotería.
(8)
El Detallista no ha remitido o se ha atrasado en la remisión de los fondos que le debe a la
Lotería.
(9)
El Detallista ha cometido fraude, ha engañado o ha hecho declaraciones falsas a la Lotería o a
cualquier individuo que haya comprado uno o varios billetes de lotería o que haya cobrado un
premio en el establecimiento del Detallista.
(10) El Detallista ha vendido un billete de lotería o ha pagado un premio a una persona menor de 18
años de edad.
(11) El Detallista ha vendido un billete de lotería en otro establecimiento que no es el autorizado en
su Certificado de Autorización.
(12) El Detallista no muestra en un lugar visible del establecimiento de ventas que ha sido aprobado
su Certificado de Autorización.
(13) El Detallista no ha puesto a la vista, ni ha mantenido en un lugar visible los materiales de
información y publicidad o máquinas expendedoras proporcionadas por la Lotería.
(14) El Detallista no ha dado acceso al público a los materiales de información y publicidad sobre los
billetes de lotería.

(16) La reputación del Detallista no concuerda con la protección de los intereses públicos.
(17) El Detallista ha modificado materialmente cualquier factor que la Lotería había considerado
inicialmente durante el proceso de selección de dicho Detallista.
(18) El Detallista ha asumido una conducta que es perjudicial para la confianza del público en la
Lotería.
(19) El Detallista ha cobrado un cargo por redimir un billete ganador o ha exigido que el cliente
compre otro artículo como condición para la compra de un billete de lotería.
(20) El Detallista ha pagado un premio de $600 ó más.
(21) El Detallista ha intercambiado uno o varios libros o uno o varios billetes de lotería o ha surtido
de billetes a uno o varios otros detallistas de billetes de lotería.
(22) El Detallista le ha comprado uno o varios libros billetes de lotería a uno o varios otros detallistas
de billetes de lotería para revenderlos.
(23) El Detallista ha violado cualquier regulación o disposición de la Lotería.
(24) El Detallista ha violado cualquier directiva o instrucción de la Lotería.
(25) El Detallista ha violado cualquier disposición del Capítulo 24, Estatutos de la Florida.
(26) El Detallista ha violado las regulaciones o prácticas éticas de la Lotería.
c. El Detallista deberá entregar rápidamente todos los equipos y materiales que sean propiedad de la
Lotería o sus vendedores a petición de la Lotería.
d. El Detallista deberá mantener la cuenta bancaria comercial comprendida en este contrato al menos
treinta (30) días después de la cancelación de este contrato.
e. Procedimiento de Suspensión de Emergencia. La Lotería puede cancelar este contrato sin previo
aviso si se determina que la suspensión inmediata es necesaria para asegurar la integridad,
seguridad, honestidad o imparcialidad en el sistema de operación de la Lotería.
20. Declaración sobre delitos de las entidades públicas
Una persona o cualquier afiliado cuyo nombre haya sido incluido en la lista de vendedores convictos por
haber cometido crímenes contra entidades públicas no podrá hacer propuestas de contratos, presentar
propuestas o aceptar un contrato con una entidad pública para la construcción o reparación de una obra
o edificio público; no podrá hacer propuestas, presentar propuestas o aceptar el arrendamiento de
propiedades o bienes raíces a una entidad pública; no se le otorgará ni podrá realizar trabajo como
contratista, suministrador, subcontratista o consejero por medio de un contrato con una entidad pública
y no podrá hacer negocios con ninguna entidad pública en cantidades que excedan el límite que se
establece en la Sección 287.017 de los Estatutos de la Florida, para la CATEGORÍA DOS, por un período
de 36 meses a partir de la fecha en que su nombre fue incluido en la lista de vendedores convictos. El
Detallista declara y garantiza que no está incluido en la lista de vendedores convictos y que notificará
rápidamente a la Lotería si su nombre se añadiera en dicha lista durante el término del presente contrato.
21. Inmigrantes ilegales
El empleo de inmigrantes ilegales por cualquier vendedor se considera una violación de la Sección 274ª
(e) de la Ley de Inmigración y Naturalización, 8 USC § 1324a. Si el Detallista emplea a sabiendas a
inmigrantes ilegales, la violación será causa justa para la cancelación unilateral del contrato.
22. Discriminación
Una entidad o cualquier afiliado cuyo nombre haya sido incluido en la lista de vendedores acusados de
discriminación no podrá hacer propuestas de contratos, presentar propuestas o aceptar un contrato con

una entidad pública para proporcionar ningún producto o servicio; no podrá hacer propuestas de
contrato, presentar propuestas o aceptar un contrato con una entidad pública para la construcción o
reparación de una obra o edificio público; no podrá hacer propuestas, presentar propuestas o aceptar el
arrendamiento de propiedades o bienes raíces de una entidad pública; no se le otorgará ni podrá realizar
trabajo como contratista, suministrador, subcontratista o consejero por medio de un contrato con una
entidad pública; y no podrá realizar negocios con ninguna entidad pública. El Detallista declara y
garantiza que no está incluido en la lista de vendedores acusados de discriminación y que notificará
rápidamente a la Lotería si su nombre quedara incluido en dicha lista durante el término del presente
contrato.
23. Recurso en el caso de suspensión o terminación
El Detallista accede que en caso de que el Detallista dispute cualquier suspensión o cancelación de este
contrato por la Lotería, el remedio por parte del Detallista será el de proceder con una demanda civil si
fuese apropiada. Ambas partes acuerdan por este medio que la jurisdicción en este caso sería el
Condado León, Florida. Adicionalmente, ambas partes acuerdan que cualquier violación de este
contrato no será causa justa para una demanda civil al amparo del Capítulo 120, Estatutos de la Florida,
Ley de Procedimientos Administrativos.
24. Incumplimiento
a. El Detallista acepta que el incumplimiento de cualquiera de los términos del Contrato del Detallista
constituirá una violación de este contrato.
b. Las partes reconocen y acuerdan que la medición de los daños causados por el incumplimiento del
contrato por parte del Detallista puede ser difícil o imposible de realizar, en dependencia de la
naturaleza de la violación. Ambas partes acuerdan que, si el Detallista incumple este contrato, la
Lotería le exigirá un pago al Detallista por los daños incurridos fijos y acordados. La cantidad de
dicho pago cubrirá el valor total de todos los billetes de lotería entregados al Detallista pero que no
hayan sido pagados.
c. El Detallista acepta que será responsable por todos los gastos que la Lotería incurra en el cobro de las
sumas que el Detallista le deba, incluyendo las costas del tribunal y los honorarios razonables de
abogado.
d. Ambas partes acuerdan que cualquier acción legal resultante de la violación de este contrato será
tramitada en el tribunal apropiado del Condado León, Florida. Ambas partes acuerdan que el hecho
de que una de ellas no interponga acción judicial alguna en caso de incumplimiento de contrato no
significará una renuncia a dicho incumplimiento, ni a los remedios necesarios.
25. Divisibilidad
El Detallista acepta que la falta de validez o la imposibilidad en la implementación de cualquier
disposición de este contrato no afectará ni reducirá la validez o el alcance de la implementación de
ninguna de las disposiciones restantes.
26. Regulaciones para los Detallistas de la Lotería
a. Las regulaciones aplicables a los Detallistas de la Lotería, incluyendo cualquiera de sus enmiendas,
promulgadas por la Lotería, se incorporan a este contrato como referencia y forman parte de éste
como si hubieran sido redactadas en su totalidad para este documento.
b. La firma del Detallista en este contrato significa que ha recibido una copia completa de las
regulaciones del Detallista de la Lotería de la Florida. Copias adicionales de las regulaciones se
pueden obtener en Florida Lottery, Office of the General Counsel, 250 Marriott Drive, Tallahassee,
Florida 32399-4011.

27. Ética; prohibición a recibir regalos

a. Las regulaciones éticas de la Lotería prohíben que los empleados de la lotería acepten regalos de más
de $25 dólares de las entidades que realicen negocios con la Lotería. El Detallista acuerda que no
ofrecerá ni dará a ningún empleado de la Lotería ningún regalo u otro artículo de valor que viole as
regulaciones éticas de la Lotería y reconoce que la Lotería puede cancelar este Acuerdo
unilateralmente si el Detallista incumple esta disposición.

INSTRUCTIONS FOR RETAILER

LANDLORD APPROVAL FOR THE INSTALLATION OF LOTTERY
GAMING COMMUNICATIONS EQUIPMENT
Lottery Retailers with a lease agreement must have their landlord’s approval for GTECH,
the Lottery’s Online Gaming vendor, to install communications equipment on the roof and
run cables.
Prior to installation of an Altura® Online Terminal in the retailer’s location, GTECH
will need to install a satellite dish or radio antenna on the building’s roof. In most
cases and wherever possible, installers will use non-penetrating mounts to secure the
dish or antenna. Installers will use cabling to connect the outdoor equipment to an
indoor receiver unit. Whenever possible, installers will use existing holes in the
building to run cables. If it is necessary to drill a hole in the building, the installer will
ask for permission from the retailer. For further information, please see the attached
GTECH Online Terminal System specifications, Certificate of Liability Insurance, and
letter concerning the use of non-penetrating roof mounts.
