AL: Como le decía mi primera inquietud es si Usted puede comentarnos donde nació, cuáles fueron sus estudios y sus primeros trabajos vinculados al mundoempresario. RAR: Yo nací en Italia, en Ferrara, una ciudad que queda cerca de Venecia, centro‐norte de Italia, en el año 1948. Así que estoy por cumplirsesentaaños. Nuestrafamiliaesmuypequeña.Mifamilialaintegrábamosmi padre, mi madre, mi hermana y yo; cuatro personas. Mi tío Anacleto, eraelhermanomayordemipadre,tambiénfuemuyfundamentalpara nosotros; es la razón de por qué estamos acá en Chile. Terminada la Segunda Guerra Mundial, en el año 1948, y sólo unos pocos meses después de mi nacimiento, él emigró de Italia. Antes había estado muchos años en África, prácticamente toda la guerra. Aproximadamente 10 años emprendiendo diversos negocios, especialmente actividades de comercio. Cuando regresó a Italia, ya terminada la guerra, se encontró con una Italiadestruida, incluso con unaagresividadtal,quesehacíaimposiblevivir.Seagredíanlosunosa los otros, producto de la misma destrucción que había ocasionado la guerraenItalia.Esoloafectómucho. Élsiemprecontabaunaanécdota.Fueunadelascosasquemás lemotivóparaemigrardeItalia.LesucediócuandoregresódeÁfrica. Llegóalpuerto‐meparecequeeraNápoles‐,sebajódelbarcoycorrió atomaruntren,parairseasuciudadnatalFerrara.Enlaestaciónve que hay varios militares que venían mutilados de la Segunda Guerra Mundial,vioaunseñorquelefaltabanlosbrazos,yqueconuncordel 2 Creating Emerging Markets llevabalasdosmaletascolgando,porquenoteníabrazosparallevarlas. Entonces, este señor corría pero nadie lo ayudó para subirse al tren. Todos lo hicieron, pero él no pudo subirse con sus maletas. Entonces dijo: “esta no es la Italia que yo conocía”. Era una Italia distinta. Lo impactó de tal manera, que eso marcó el inicio de su emigración de Italia. Buscó otros horizontes. Con unos amigos tenía pensado ir a Venezuela, Chile o Argentina. En definitiva,aceptó venirse a Chile porqueteníaunamigo,queyateníainversionesenestepaís,ylepidió quesiveníaparaacálevierasusinversioneseiniciaralasactividades que él quisiera. Mi tío Anacleto contaba con algunos recursos económicos,yerasoltero.SevinodeItaliaenelaño1948.Ademásde cierto capital, trajo unas maquinarias para instalar una fábrica de pinturas.EstaindustriafuesuprimeraactividadempresarialenChile, unafábricadepinturasqueaúnexiste,sellamaPinturasTajamar. Alpoco tiempodeestar enChile,convenció amipadrede que también se viniera. Encontró que era un país fantástico, de muchas posibilidades, de gente buena, con ganas de trabajar, con infinitas posibilidades para emprender. O sea le recordó sus primeros años, cuandoélsefueaÁfricaaemprenderyhacernegocios.Cuandollegóa Chile estaba un poco más viejo evidentemente, pero con más experiencia. Yo ya había nacido, y convenció finalmente a mi padre para que también emigrara a Chile. Mi padre tenía algunas dudas, porque estaba iniciando actividades de comercio agrícola en nuestra zonaenItalia,lacualeseminentementeagrícola.Además,amipadrele eramásdifícildarestepaso,porqueyaestabaconsuseñoraysuhijo, formando una familia. No era lo mismo animarse a cambiar, como lo había hecho el tío Anacleto. Finalmente, después de estudiarlo, lo convenció,yelaño50mipadretomaunbarcoysevienesoloaChile,a mirar,avertodoloquelehabíacontadosuhermano. Llegóavivirjuntoconél,aunlugardondeerantodositalianos, unaespeciedehoteldondevivíanmuchositalianosquellegaronpara acáenlamismaépoca.Todos,pordistintasrazones,habíanemigrado de Italia, de diferentes zonas de Italia, incluso algunos de la nuestra, quienes ya se habían conocido en Italia y se reencontraron. Todos estaban tratando de iniciar actividades empresariales. Mi padre se incorporaalasactividadesdesuhermanoenlafábricadepinturas.Se asociaronconotroitalianoqueestabaaquíenChile,quetambiénhabía estado en África, donde se habían conocido con Anacleto. Llevaron adelanteestaindustriadepinturas,quefueeltrampolínoprimerpaso paraluegoiniciaractividadesenelnegociodelaconstrucción. Chileenesemomentoestabaenplenoprocesodedesarrollo,así que se necesitaban muchos edificios, viviendas, establecimientos comerciales, y los dos hermanos se introducen en este negocio. Construyenedificios,centroscomerciales,etc.Vendieronlafábricade pinturasysededicarondellenoalaconstrucción. Enelaño1957‐56,otroseñorquetambiéneraempresariodela construcción, otro emprendedor, otro extranjero, que había llegado 3 Angelini Interview casualmenteaChile,teníaeneseentoncesunaempresa,unapequeña plantapesqueraenArica,elpuertomásalnortedeChile.Convencióa Anacletodeiraconocereste proyecto:“?porquénovasyconocesel nortedeChile,queestotalmentedistintoalsur?”.Loentusiasmóyse fueronaArica,unavezallá,sepreguntaba:“ybueno,¿paraquéhacer este asunto, para qué me quiero meter en esto?”. Era una planta pesquera,pequeñaymuyincipiente.Elsocio,ledecía,“estoeselfuturo delmundo,yotodavíanolahehechoandar”.Lepropuso:“hagámonos socios,tevendounaparte”.Alfinal,Anacletoseentusiasmóyformóla empresapesquera,aldarsecuentaquehabíaunfuturointeresanteen losrecursospesquerosparalaproduccióndeharinadepescado,loque eneldíademañanasetransformaríaenunimportantealimento.Noen forma directa para los humanos sino que, por ser una gran proteína, seríaungranalimentoparacrianzadeaves,peces,vacunosycerdos. La pesquera se llamó “Empresa Pesquera Eperva”, y marcó el inicio industrial de nuestro Grupo de Empresas, es el paso que los transformaría en verdaderos industriales, después de la fábrica de pinturas y de la construcción, que fueron actividades empresariales medianas. Mi padre se dio cuenta de que este país era fantástico, mucha gentebuenaydedicadaaemprender.Poreso,enelaño1951decidió quemimadreyyoteníamosquevenirnosaChile.Llegamosenbarco en marzo de ese año. Yo tenía dos años y medio, casi tres años. Nos instalamosenSantiago,enunacasadondevivíamipadre,mimadre,yo yeltíoAnacleto.Viviendoenesacasasucedióloquereciénleexpliqué, sobre la fábrica de pinturas, la empresa constructora y luego la pesquera. AL: ¿Entoncesustedyaescuchabahablardenegociosdesdechico? RAR: Alos3‐4añosaprendíahablaritalianoenlacasa,yespañolen la calle, con los amigos. Crecí aprendiendo los dos idiomas. Fue muy fácilparamíaprenderlosdosidiomas.Inclusoletraducíaamimadre. Esta vida en conjunto en Santiago duró hasta que se iniciaron las actividades pesqueras en el norte. Mi padre partió a administrar este nuevonegocioenArica,conmimadreymihermanamáschica,queya había nacido aquí. Se trasladaron, pero como sólo había educación básica, no existían buenas escuelas para niños mayores, me tuve que quedarenSantiago,coneltíoAnacleto.Yjustoeltíosecasa.Entonces, mefuiavivirconél.Yovivíconeltíoylatíavariosaños,estudiandoen elcolegio.Mipadre,mimadreymihermanaenArica,echandoaandar laparteoperativadelnegociopesquero.YeltíoaquíenSantiago,enla parte gerencial, negocios, ventas, suministros de insumos, compra de maquinaria. Así este negocio empezó a crecer a crecer, a crecer, y se transformóconlosañosenlaprimeraempresapesqueradelpaís.Ylo estodavía,despuésdevariosprocesosquehavividoestaindustriaen elNorte,loquenovienealcasoanalizarahora.Nuestroconglomerado 4 Creating Emerging Markets pesquerorepresentaactualmentemásomenosel80%delascapturas pesquerasparalaproduccióndeharinayaceitedepescadoenlazona norte. Con los años, yo fui aprendiendo mucho del tío, viví con él. La empresapesqueracrecía,ycomenzóaoperarunanuevaplantaenotro puerto más al sur, que se llama “Iquique”. Una ciudad que tenía más infraestructura,máscolegios.EntoncesmipadresetrasladaIquiquey yomefuiavivirconellos,ahíestuvetresañosenelcolegio.Aprendíde niño todo lo que pasaba, lo viví. Conocí, estando al lado de mi padre, todalaoperacióndelaindustria,desdelapesca,hastalafabricaciónde harinayaceitedepescado.Tuvelasuertedeconocer,acáenSantiagoy alláenlospuertosdelnorte,estaactividadqueerafundamentalmente laindustriapesquera.Coneltranscursodeltiempo,nostrasladamosa Santiago. Crecí, fui a la universidad y me casé, además la administracióngeneraldelaspesquerassetrasladóaSantiago. La actividad pesquera en el norte fue creciendo más. Se expandieron las operaciones a otros dos puertos. Simultáneamente, con parte de los recursos que el grupo ganaba en sus negocios pesqueros, fue invirtiendo en el sector forestal. Es decir, junto al crecimiento pesquero, se inició la expansión en el sector forestal. Se compraron bosques, plantas procesadoras de bosques para producir tablerosdemadera,molduras,enfindistintosproductosprovenientes delprocesamientodelpinoradiata,unaespecieconíferaquesedaen Chileenmuybuenaforma;conaltaproductividad. Fueron visionarios estos hermanos en diversificar su actividad pesquera,laqueesmuyriesgosa,dependemuchodeDios,porqueen definitiva uno no puede decir cuánto va a pescar. Dios es quien dice cuánto hay. Tampoco se pueden predecir o controlar los cambios climáticos, los períodos de frío o de calor, las fluctuaciones en la temperatura de los mares son muy importantes, baja o sube en un grado,ytodocambiaenelmar,yporsupuestoqueelloprovocafuertes fluctuacionesenlapesca.Entonces,esunaactividadmuyriesgosa,que pasóporciclosmuyduros,huboañosmuybuenosyañosmuymalos. Laactividadpesquerahasidoyserá,muydelicada,muycomplicada. Por eso, para contrarrestar los años difíciles se invirtió en el sector forestal, que es mucho más estable y a más largo plazo. Son negocios totalmente distintos. Uno sabe cuántos árboles planta y cuántodemoraránencrecer. AL: ¿Sebuscólacomplementaciónentrelasactividades? RAR: Lacomplementaciónsebuscóporquelapescaesunaactividad muycíclica,conaltosybajos.Elsectorforestalesmuchomásestable. Noesdegrandespicosyesoestádemostrado.Cualquieraqueveasu evolución se da cuenta de esto. Simultáneamente con el sector pesquero,tambiénfuimoscreciendoenelsectorforestal.Atalpunto, que hoy somos el grupo empresarial más grande en esta actividad, 5 Angelini Interview hemos tenido un desarrollo espectacular y canalizado nuestras mayoresinversionesparaeláreaforestal.Yalrevés,elpesqueroquedó reducido o limitado, con una serie de normativas y leyes que regulan capturas,ademásdelaltoriesgoquetieneesterubro. Después,elgrupotieneuncrecimientomuyimportantecuando pasa a controlar la mayoría accionaria de “Compañía de Petróleos de Chile (COPEC)”, que hoy es nuestra locomotora. Esa compañía, que actualmentesellama“EmpresasCOPEC”,teníaytieneparticipaciónen distintosnegociosoactividades,eslanúmerounoenladistribuciónde combustibleslíquidosygas,ytieneinversionesmuyimportantesenel sectorforestal.ConlacompradeCOPEC,elgrupotomaotradimensión, nosolamenteentamaño,sinoqueademáslogróunadiversificaciónde negocios más completa. Experimentó un gran crecimiento en el área forestal, pero además incursionó en la distribución de combustibles líquidosygas. Paralelamente, años antes había comenzado a desarrollar actividades, en cierta medida de menor tamaño, en el ámbito financiero. Primero creó la “Compañía de Seguros Generales Cruz del Sur”,despuésla“CompañíadeSegurosdeVidaCruzdelSur”.Haceun par de años atrás se vendió la compañía de seguros generales, pero seguimos con la de seguros de vida y otras actividades financieras complementarias, como administradoras de Fondos Mutuos Hipotecarios. Pero para ser claro, yo diría que comparando y dimensionando todas nuestras actividades, hoy somos un grupo fundamentalmenteindustrial,orientadoalaparteforestal,alaenergía, que comprende distribución de combustible y gas y generación de energíaeléctrica,yalapesca.Yenuntamañomenor,tambiéntenemos actividadesfinancieras,desegurosyagrícolas AL: ¿Estánorganizadoscomoholding? RAR: Sí, estamos organizados como holding; aquí está indicado (referenciamaterial,veranexo).Estácentradoenestacompañíaquese llama “AntarChile”, y sobre ella están los accionistas controladores, o sea el grupo que tiene el control de “AntarChile”, el resto de las acciones pertenece a miles de accionistas minoritarios. Los títulos accionaros se transan habitualmente en las Bolsas de Comercio de Chile. Entonces, “AntarChile” controla COPEC que, como le dije anteriormente hoy se llama “Empresas COPEC”. Bajo esta compañía, están prácticamente todas las demás empresas. “Empresas COPEC” tambiéntransasusaccionesenlasBolsasdeComercio,eslasociedad que tiene el mayor patrimonio bursátil en el país, de más de 20 mil millonesdedólares. AL: ¿En el caso de COPEC que fue en el 86, también se buscó la decisióndeinvertirenestesectorclave? 6 Creating Emerging Markets RAR: En los años 60, el grupo ya había comenzado a invertir en el sector forestal. Pero al tomar control de COPEC, que tenía bajo su dominio a la compañía “Celulosa Arauco y Constitución”, un conglomerado de empresas forestales que se denomina “Arauco”, el grupo multiplica varias veces sus inversiones forestales. Hoy, Arauco que es la empresa forestal más grande de Chile. Nuestro interés por adquirirCOPECsedebía,enunamedidaimportante,aqueCOPECera dueñadelconglomeradoArauco. AL: ¿Oseaquerefuerzayabreelsectoreléctricoydecombustibles? RAR: Exacto. AL: Además,lafisonomíabásicadelgruposeincorporaenlosaños80 apartirdeahí,después,fuelaampliación. RAR: Exacto. Y ¿qué papel yo desempeñaba en todo esto? Como le decía antes, yo tuve la suerte de estar presente físicamente en el crecimiento natural del grupo, porque fui contemporáneo. Esto no es demisabuelosomisbisabuelos,sinoqueestuvepresente.Sibienmi incorporación se produce cuando era profesional, debo indicarle que vivítodoeldesarrolloempresarialdelgrupodesdeniño,desdejoveny despuésdeadulto. AL: ¿Usted,perdón,quéprofesióntiene? RAR: Yo soy ingeniero civil industrial. Estudié aquí en Chile, en la UniversidadCatólicadeChile.Mivocacióninicialeralamedicina,pero enlosmomentoscuandotuvequeoptar,delos“quiubos”comosedice aquí en Chile, me cambié y dije: “No, ¿cómo voy a estudiar medicina? Mejor voy a estudiar ingeniería”. Además me gustaba, y así podría colaborar en algunas de las empresas del grupo, o en todas las empresas en algún momento. Comencé a estudiar ingeniería y mi familia ya estaba viviendo aquí en Santiago. Cuando me recibí de ingeniero civil yo no entré a trabajar de inmediato en el grupo. Primero,casipordosaños,estuveenunaempresatotalmenteajenaal grupo. AL: ¿Fueunadecisiónpersonal? RAR: Claro,fueunadecisiónpersonal.Yodije,“másomenosconozco todas las empresas del grupo”. Desde niño y de joven, desde aquel entonces, las conocía. El grupo aún no había tomado el tamaño que tiene actualmente, aún no se había comprado COPEC. Básicamente estabanlaspesquerasyalgunosbosquesdepinoyplantasindustriales de“ForestalCholguán”y“MaderasPrensadasCholguán”,queeranlas 7 Angelini Interview compañías forestales que teníamos en esa época. Estas, luego de adquirirCOPEC,fueronabsorbidasporArauco. Cuandomerecibo,noexistíaCOPEC,niArauco,omásbienexistían, pero controladasporotragente.Nosotrosestábamossolamenteenla pescayenlasempresasCholguán.Alegresardelauniversidad,teníala posibilidad de trabajar en Cholguán o en la pesca, pero no quise hacerlo.Preferíentrara“Unilever”.Ahímedesempeñéenmiprofesión, yaqueyosoyingenierocivil,conmenciónenquímica.Ahíestuvecasi dos años desarrollando productos cosméticos, jabones, shampoo, detergentes. Trabajábamos mano a mano con los departamentos de Marketing, de Desarrollo de Productos. Éramos ingenieros recién recibidosquenosincorporábamosa losdepartamentosdeingeniería, de desarrollo de productos, que junto a ingenieros comerciales, estudiábamos los productos, para luego lanzarlos al mercado. En eso me tocó trabajar, era muy interesante. Además una empresa muy estructurada, muy bien organizada. Aprendí mucho. Ahí estuve vinculado directamente a mi profesión. Formulando productos, desarrollándolos primero en el laboratorio, luego industrializando productos químicos, margarina, aceite, grasa, jabones, pasta dental, entreotros. AL: ¿Esoenquéañoera? RAR: Enelaño1975‐1976.Yoyamehabíacasado;teníaunahijaque nacióenelaño76.Pasaronestosdosañosyseproduceenelnortede Chile una posibilidad en las pesqueras, dado que se había trasladado gente a otras plantas. Así, se produce una oportunidad para entrar comoingenieroenunadelasplantasdelnorte,dondehabíaestadomi padreenlosañosdejuventud,ydondeseiniciaronlosdoshermanos. Inclusoconmuchagentequetrabajabaallímismoenaquelentonces,a lasquetambiénconocíadelaépocaquemehabíatocadovivircuando eramásniño.Medecidíydije:“bueno,vamosalnorte”.Metrasladéal norte, al puerto de Arica, estando casado, con mi señora y mi hija. O sea, reproduzco la historia de mi padre, en la misma planta, donde estuvomipadreenelaño1957. AL: Osea,20añosdespués. RAR: Sí, 20 años después. Yo llegué como ingeniero, habiendo trabajado en “Unilever”. Y ahí en esa planta en Arica permanecí trabajando por seis años. Desempeñé varios cargos, me inicié como ingeniero y terminé como gerente de la planta Arica de Empresa PesqueraEperva. AL: ¿Y su tío tenía injerencia o su padre en ese momento en su carrera? 8 Creating Emerging Markets RAR: Bueno,enesemomentoellosestabanenSantiago,eltíoestaba dedicado a crecer y buscar nuevos negocios, y mi padre estaba en el área forestal, en Cholguán. Yo me quedé en la pesca. Ellos dejaron de participar directamente en la pesca y comenzaron a preocuparse de otros negocios, no todavía en COPEC, porque COPEC se compró años más tarde. Fuimos creciendo, y me tocó la suerte de tener años muy expansivosenelsectorpesquero.YoestuveenAricahasta1981. El período de los 76‐77‐78 fue muy bueno, creciendo y creciendo. Instalando plantas,aumentando laproducción, encargando más barcos; profesionalmente fantástico para mí. Porque fueron los mejoresañosenlapesca.Estabafascinado,nomequeríavenir.Seguía enelnorte,ynomeinteresabamucholoquepasabaenelrestodelos negocios. La actividad pesquera era más productiva que el sector forestal. Estábamos en un “peack”, pequeño dentro de la historia pesquera, pero importante. Yo estaba muy contento de lo que estaba haciendo.Enelaño1981,cuandoyateníaotrohijo,nosregresamosa Santiago,porquemishijosyaestabancreciendo.AquíenSantiagosigo dedicadoa laindustriapesquera,pero notantoenlaparte operativa, sino que más bien dentro de la parte directiva de las empresas. Siempre con las pesqueras del norte. Seguíamos impulsando nuevos proyectos, instalando fábricas en otros puertos, en Tocopilla y Mejillones. Abarcamos la I y II Región de Chile, las que están más al norte de Chile. Eso significaba muchos kilómetros de distancia entre unas plantas y otras. Me tocó viajar mucho, para supervisar y estar encima de todos los negocios pesqueros del norte. En la medida que dejaba la parte operativa pesquera, comencé a incorporarme en el sectorforestal. Enelaño1985‐86cuandollevabapocosañosenSantiago,seda laoportunidadparaqueelgrupodeunpasogiganteyadquieraCOPEC, en ese entonces se llamaba “Compañía de Petróleos de Chile”. Yo viví todo ese proceso, participando en todas las decisiones que había que adoptarpara“ponersepantaloneslargos”yelgrupotomaraelcontrol deCOPEC.Ahíestamossentadosloscuatroeldíadelafirma. En ese momento, en esa mesa, firmamos la compra de COPEC (muestra foto de su oficina). Estábamos ahí con el tío Anacleto, y las otras dos personas abogados y estrechos colaboradores, don Aquiles Portaluppi,quienfallecióhaceunosañosatrás,yJoséTomásGuzmán Dumas,quesiguecomopresidenteydirectordemuchascompañíasdel grupo. AL: ¿Enquéañofue? RAR: 1986. AL: Esunmomentohistóricoyustedestáahíparticipando. 9 Angelini Interview RAR: Efectivamente, en ese momento estábamos firmando, concretandolacompra. AL: OseaquesutíoloempiezaaincorporarapenasllegaaSantiago. RAR: Sí, después de regresar Santiago desde el norte, comienzo a trabajar codo a codo y a involucrarme cada día más en asuntos del grupo. Por eso estuve y viví directamente esos momentos históricos paraelgrupo,comofuelatomadecontroldeCOPEC.Ahíentonces,fui dejandopaulatinamentedeladoelsectorpesqueroeinvolucrándome más en COPEC, que se convirtió en la empresa estrella, la verdadera locomotoradelgrupo. Han sucedido muchas cosas desde el año 1986. Lo que hoy es Empresas Copec, que es el nombre de COPEC actualmente, no tiene nada que ver con la compañía que compramos en 1986. Primero, en esemomentolacompañíaseadquirióenconjuntoconotrossocios,el grupo neocelandés Carter Holt Harvey. Pero este conglomerado empresarialdeNuevaZelanda,unosañosmástarde,fuecompradopor International Paper, la compañía productora de celulosa y papel más grande del mundo, una empresa competidora de COPEC, más específicamentedeArauco. Dicho en términos simples, se “nos metió” un competidor en nuestra empresa, el cual rápidamente pretendió anular todos los pactosyconveniosquehabíasuscritoelGrupoAngeliniconCarterHolt Harvey cuando decidieron tomar el control de COPEC. Como consecuenciadeello,seterminópeleandoylitigandoenlostribunales, enjuiciosqueduraronmásdecincoaños,parasepararnosdeellos,de modo que COPEC quedara en manos nuestras y evitar la posibilidad quecayeraenelcontroldelacompetencia.Endefinitiva,fueronmásde cincoañosdejuicios. Finalmente, el grupo terminó comprando la participación de 50% que tenía Carter Holt Harvey en el “joint venture” que constituimosenelaño1986yquenospermitióadquirirel60%delas accionesdeCOPEC.Endefinitiva,elgrupoquedóconelcontroldirecto del60%deCOPEC,atravésdeAntarChile.Ellosucedióafinesde1999. Desde esa fecha el grupo tiene el control de COPEC, lo que nos ha permitido racionalizar nuestros negocios. Fusionamos al sector pesquero en una sola gran empresa, ya que COPEC también tenía pesqueras. Además, las empresas forestales Cholguán, fueron absorbidasporArauco,queconsolidótodasactividadesforestalesdel grupo. AL: ¿Fueenlos80oenlos90estaracionalización? RAR: Hasidounproceso.Elgruposiempreestáatentoderacionalizar ymejorarsusoperaciones. 10 Creating Emerging Markets AL: Unprocesoqueseiniciaaprincipiosdelos80? RAR:Se inicia en 1986, cuando tomamos el control, y se ha continuadodespuésdetomarelcontrolcompleto,enlostérminosque reciénleexpliqué. AL: ¿Porquéseimponeestaracionalización? RAR:Porinteresesycriteriosdelaadministracióndelgrupo. AL: ¿Recibieron asesoramiento de una consultora o lo fueron haciendointernamente? RAR: Lo fuimos haciendo prácticamente solos. Tuvimos asesoría externa en algún momento, pero no para analizar o estudiar los procesos que estamos hablando, sino que para racionalizar procesos contablesyprocesosdeadministracióndealgunasempresas. AL: Basándoseenlaexperienciacotidianalofuerondiseñando. RAR: Claro,nuestraexperienciacotidianaycapacidadinnovadorafue fundamental.Enelgrupo,noporquelodigayo,tenemosmuybuenos ejecutivos,muybuenosprofesionales,personasdelmejornivel.Hemos tenido la suerte de conformar buenos equipos humanos, con colaboradores de primera en todos los sectores. Adicionalmente, a nivelinternotenemosdosotresdepartamentosdeestudiosquesuman yaprovechanmuybiensussinergias. AL: Oseaqueyadejadeserunacompañíafamiliar. RAR: DesdeelmomentodequeelgrupoentraaCOPEC,inclusoantes, yahabíadejadodeserunaempresafamiliar.Peroaltomarelcontrol deCOPECsehizomásevidente,porcuantonosasociamosconmásde 12 mil accionistas que tenía la empresa en aquel entonces. Como le señalé anteriormente, COPEC hoy día es la empresa de mayor capitalizaciónbursátildeChile. AL: Se produce entonces un cambio no solamente en tamaño, sino tambiénenorganizacióninterna. RAR: Claro que ha habido cambios internos, pero más procedimientos, administración y operaciones, los necesarios para enfrentarloscambiosqueocurrenenlosmercadosylasindustrias.En micaso,tambiénhedebidoafrontarcambios,porquetraslamuertede mitíoAnacletoelañopasado,heasumidolapresidenciadeCOPECyde AntarChile,locualsignificaresponsabilidadesmuygrande. 11 Angelini Interview Sonempresasconmuchosaccionistas,aloscualesyomedeboy conlosquetengounagranresponsabilidad. AL: ¿Y usted en su experiencia más personal, vivió todo ese cambio entreunaempresaquesefuehaciendoapartirdeentredoshermanosy estarealidad? RAR: Porsupuesto.Amínuncamedijeron:“mira,tútevasapreparar paraserelsucesor”.No,yoeraunoigualqueotros.Trabajandomuchos años. Las posibilidades se fueron presentando e iba tomando las responsabilidades.Jamásmedijeronprepárateparaesto.Eraevidente que yo tenía que ir preparándome, pero no había nada preparado, ni escrito,niprogramadodeloquehabíaquehacer.Cadaunosabeloque debehacer.Mispadresnuncamedijeronloqueteníaqueestudiar.Yo tampocoleshedichoamishijosquetienenqueestudiarestoolootro paraelfuturo,cadaunohaescogidosuprofesiónytodassondistintas. AL: Y el management era chileno centralmente o ustedes también fueron incorporandoextranjeros. RAR: A propósito de su pregunta, me he saltado una historia importanteenlavidadelgrupo.Fueenlosprimerosañosdeladécada delos60,muchoantesdetomarelcontroldeCOPEC.Vuelvoalaépoca delaspesquerasenlosaños60.Allíseproduceungrancambioenel grupo, que fundamentalmente era pesquero en el norte, pues recién habíacomenzadoainvertireneláreaforestal,peroeramuypequeño. Ocurrió con una empresa muy grande, multinacional, llamada W.Grace,quehoyestádesaparecida.EldueñodelacompañíaeraMr. PeterGrace,unnorteamericanoqueporesascosasdeldestino,sehizo muy amigo de Anacleto Angelini. Eran muy similares, y compartían ideasyconceptosmuyparecidosdeempresa.Yenunmomentodado, empezaronahacernegociosjuntos. PeterGraceteníamuchointerésenLatinoamérica,yaestabaen Perú,enChileyenotrospaíseslatinoamericanos.Ennegociosdistintos a los nuestros, en azúcar, en agencias marítimas, en representaciones de productos de marcas internacionales que se importaban a Chile. AhorarecuerdolasbateríasEveready,refrigeradoresylíneablancade General Electric, entre otros. Eran negocios que a nosotros no nos interesaban, porque estábamos en la pesca. Pero Grace tenía mucho interéseningresaralaindustriapesquera.Aprincipiosdelosaños60, PeterGraceleofreceaAnacletoAngelini:“¿quéteparecequenosotros entremoscomosociosatuempresa(EmpresaPesqueraEperva)?”. Finalmente, luego de varias negociaciones entre ellos, resolvieron venderle a Peter Grace, que compró todo. Sí, se le vendió todo, pero el grupo conservó la administración de las empresas pesqueras. Ellos entendieron y aceptaron, porque tenían claro que 12 Creating Emerging Markets éramos nosotros los que conocíamos el negocio pesquero. Entonces pactaronunporcentajedelasutilidadesporlaadministración,conuna serie especial de acciones, que se inventó en ese momento. Esa serie especialeraparaquienesteníanlaadministración,yteníanderechoa un porcentaje determinado de las utilidades de la compañía. Ello coincidió con unos años fantásticos para la industria pesquera, y la compañía siguió ganando mucha plata. El grupo recibía estas utilidades, las que se fueron invirtiendo para crecer en el sector forestalyenotrosnegocios. Luego, a fines de los años 60, vino una debacle pesquera y la empresaestabaenmanosdeellos.Noeraculpanuestra.Tampocode ellos.Fuemalasuerte,porquetalcomoleexpliquéalprincipiodeesta entrevista, la pesca es cíclica. Tal como hay períodos buenos pesca, también hay malos. Además, vino el cambio de gobierno y asumió Allende. Entonces los americanos se asustaron y se fueron. Nosotros pensamosdeotramanera:“pormuchoquevengaAllendeono,eneste país se tiene que seguir trabajando, nosotros lo hemos hecho así con todoslosgobiernos,comoextranjerosnoshemosentendidocontodos los gobiernos”. Bueno, después nos hemos chilenizando, pero originalmenteéramosextranjeros.Peroestosamericanosseasustaron atalpunto,quedijeron:“mire,levendodevueltatodosunegocio,ysi usted quiere le entrego todo lo otro”, ¿Y qué hacemos con todo esto? Encantado les tomamos toda la pesca, porque la sabíamos manejar, peroquehacíamosconlasAgenciasMarítimasylasRepresentaciones de productos extranjeros, con las pilas Eveready o con los refrigeradores y línea blanca General Electric, los otros negocios de “Grace Chile” eran grandes e importantes. Pero su posición era clara: “nosotros vendemos todo, nos salimos de Chile con todo”. Entonces fijaron un precio y le compramos todo, no solamente la Empresa PesqueraEperva,sinotambiénsusotrasinversiones. Éramostodavíaunaempresafamiliar.Volvimosaserdueñosde la compañía pesquera, pero además tomamos los otros negocios de “Grace Chile”. Una diversificación total. Nos transformamos por un período en grandes distribuidores de distintas marcas y productos extranjerosyenagentesmarítimos.DespuésdeunosañosGraceChile, pasó a llamarse Angelini‐Grace, y luego Anagra. Pero este negocio empezóafallar,porquevinolarecesiónnacionaleinternacional,porlo quedecidimosreducirloyluegosevendió. AL: Oseaqueenelmediohubootrasinversiones... RAR: Efectivamente, hubo otras inversiones, las que después se vendieron al comprar COPEC. Por ejemplo, la principal inversión de Anagraera“Soprole”,laempresadeproductoslácteosmásgrandede Chile,delacualseteníaelcontrol.Perodespués,sevendióSoproley Anagra;vendimostodolorelacionadoconestosnegocios. 13 Angelini Interview AL: ¿CuándodecidenconcentrarseenCOPEC? RAR: El año 1986 el grupo decide tomar el control de COPEC y sus empresasfiliales,comoAraucoporejemplo,locualsignificóuncambio muy importante. COPEC pasó a representar el porcentaje más importantedelasinversionesdelgrupo. AL: Cuando uno estudia la conformación histórica de estos grupos un aspecto clave son las estrategias de financiamiento, ¿ha habido una política consistenteosehaevaluadoencadacoyuntura? RAR: Elgrupotienecomoprioridadmantenerunaposiciónfinanciera sólida, lo que significa mantener un bajo nivel de endeudamiento. De acuerdo a esta política y dependiendo de cada circunstancia e inversión, se evalúan las fórmulas de financiamiento. Es evidente que hemosadquiridoendeudamientoenalgunoscasos,peroteniendoclaro queésteseráreducidoenuncortoperíodo. Cuando el grupo decidió invertir para tomar el control de COPEC,comenzóacomprarpaquetesdeaccionesconrecursospropios en el año 1985, y en 1986 tenía la propiedad de más del 40% las acciones.Peroestábamoscomprandounaempresaquebrada.Osea,el grupoestabarealizandouna“inversióndeendeudamiento”.Sí,COPEC estaba quebrada, entonces teníamos que reducir inmediatamente su endeudamientoycapitalizarla.Senegocióehizounareestructuración financieramuygrandecontodoslosbancos,aproximadamente40.Fue unprocesomuyprofundoeintenso. Además,encontramoslafórmulaparaobtenerlosrecursospara capitalizarlaempresa.Constituimosun“jointventure”con“CarterHolt Harvey”parainiciarelprocesoderecuperacióndeCOPEC.Esosucedió en1986,cuandodecidimoshacernoscargodeCOPECconCarterHolt Harvey.UngrupoempresarialdeNuevaZelandaqueeramanejadopor la familia Carter, hasta antes que entrara International Paper. Ellos fueronnuestrossociosoriginales,yteníanactividadesmuysimilaresa lasnuestras:pesca,bosques,celulosa,panelesyproductosdemadera elaborada. AL: ¿Fueunaapuestaalargoplazotambién? RAR: COPECsiemprefueconsideradounproyectoalargoplazo,pero conlaideadepagartodoloantesposible.Nosotrosnoqueríamostener una deuda tan grande. Nuestra propuesta era capitalizar COPEC en formainmediatayreduciralmáximoelendeudamiento.Sepropusoun importanteaumentodecapital,yaquelaempresanecesitabarecursos “frescos”, pues había que ponerle mucho dinero, porque estaba quebrada. Sabíamos que COPEC tenía muy buenos activos, pero la compañíanoteníaliquidez. 14 Creating Emerging Markets Se efectuó el aumento de capital, invertimos los recursos que había aportado Carter al constituir el “joint venture”, más otros recursosdelgrupo,alosquesesumaronlosaportesdelagranmayoría delosmásde12milaccionistasdeCOPEC.Luegodelasuscripcióndel aumentodecapital,el“jointventure”quehabíamosformadoconCarter HoltHarveypasóacontrolarel60,11%delasaccionesdeCOPEC. Aumentar el capital de COPEC fue la gran apuesta que hizo el grupo, y fue creída en el mercado. Eso significó un paso muy importante, ya que con nosotros invirtieron su dinero más de 12 mil accionistas. El grupo no tuvo que pagar a accionistas que quisieran retirarsepornoestardeacuerdoconelaumentodecapital;todosnos creyeron. Estonosdiounagranfuerzaparaseguiradelanteyhacercrecer esta empresa. Así partimos nosotros, se duplicó, se triplicó, y hoy COPECnotienenadaqueverconlaCompañíaquesepasóacontrolar en1986. AL: ¿Enformaposteriorestaestrategiadefinanciamientosemodificó? RAR:El caso de COPEC fue especial para efectuar la compra y capitalización.Portanto,unavezhechatodaestaoperaciónfinanciera conCarterHoltHarvey,que fuecuandosehizoelaumentode capital COPEC, la compañía comenzó sola su desarrollo. Los accionistas que habían contraído deudas para la capitalización de COPEC, fueron pagandolosinteresesytodo,conlasutilidadesquedabalacompañía. Después COPEC, cuando quiso emprender nuevos negocios se endeudó, pero siguiendo los lineamientos que tiene el grupo en esta materia, y que antes le mencioné. Ya en esta etapa estaban formados losdepartamentosdeestudiosydefinanzasqueevaluabancadacasoy proponían al directorio. Hoy, cada compañía tiene sus propios departamentos financieros y de estudios que hacen sus propios “budget”. AL: ¿Fuepartetambiéndelmismoprocesoderacionalizaciónquehabíamos habladoanteriormente? RAR: Exacto. Hoy cada gerente es responsable de su compañía, en todosentido.Tenemoscriteriosylineamientosgenerales,peronohay una política específica de financiamiento del grupo. Cada compañía vivemanejadaporsugerente. AL: ¿Usted considera que hay algún tipo de filosofía que sigue manteniéndosedentrodelgrupo? 15 Angelini Interview RAR: Absolutamente.Hayunalíneayprincipiosquevienendesdelos inicios,respectoaquelosnegocios,primeroquenada,tienenquefluir solos, no pueden hacerse a la fuerza. Los negocios no pueden estar basados en subsidios, ni en regímenes especiales, ni en leyes que los rodean. Los negocios tienen que funcionar porque existen las condiciones normales y naturales, por ejemplo, la reproducción de pecesyelcrecimientodelosárbolessedanbienenChile,esporquelas condiciones climáticas son buenas para que crezcan los árboles y se reproduzcanlospeces.¿Quéhacemoscomogrupo?,ponemoslagente, los profesionales; los mejores colaboradores que existen. Nosotros estamosorgullososdeellos. Esa filosofía ha sido incorporada y traspasada, no solamente a mí,sinoatodaslaspersonasconqueestamostrabajando.Losequipos directivosydeejecutivostenemosclaro,cuálessonnuestrosvaloresy la visión de negocios. Recuerdo que cuando me tocaba ver negociacionesparafuturosnegociosconAnacleto,unoyasabíaloque leibaacontestar.Ledecía,“mireAnacletolepropongoestenegocio,y yo antes de decírselo sabía que iba a contestar, porque después de tantos años juntos, él nos traspasó su experiencia y conocimientos. Todalagentesabíacuálerasuformadepensarydereaccionarfrentea determinados nuevos negocios que se le presentaban, o a determinadas soluciones que se le daban aproblemas que surgían en lasdistintasactividades. Hay una filosofía de hacer negocios, de responsabilidad, en ciertamedidaconservadora.Peroconservadoraenelbuensentidode la palabra, no en el sentido, de ser retrógrados, sino que en saber pensar lascosas.Yodije recientementeenunaentrevista,queunade lasprincipalescaracterísticasqueteníaAnacleto‐yestoselodecíaun amigo alemán‐, era que pensaba 25 horas al día. Era un hombre de “twenty‐fivehoursforday”.Enbroma,pensabayanalizabatanto,que sellegabaalotrodíapensando(risas).Yesas25horasaldía,fuealgo quenosinculcóatodos.Entonces,decirqueeramuyconservador.No, noeramuyconservador,erahacerlascosasconresponsabilidad. AL: Y en esta trayectoria, ¿cual considera usted que fue el momento más difícil históricamente para tomar decisiones o para hacer los negocios? RAR: Este(señalandolafotodelacompradeCOPEC). AL: Enel85‐86cuandoestabannegociandolacompra. RAR: Sí. Aunque en su medida, también fue difícil cuando se estaba negociandoconGrace,éramosmáspequeños,otrasdimensiones,pero importantesporqueenunmomentodadohabíaquecomprarletodoa Grace.EncambioaquíenCOPECestábamosdandopasosmuygrandes. 16 Creating Emerging Markets AL: ¿Yenquémomentos,porelcontrario,paralaempresaoelgrupo seprodujounagranexpansión?Huboalgúnmomentodefuror. RAR: Desde la toma de control de COPEC para adelante, no hay un momento de específico de expansión, de ahí para delante yo puedo decirqueseinicióeldespegueygrandesarrollodelgrupo,yasífueen realidad. AL: ¿Ustedcreequeestadiversificaciónesimportanteparaveresta trayectoria? RAR: Es fundamental. La base de este grupo se cimentó, se selló, cuandosecompraCOPEC. AL: ¿Yacercadelaescaladediversificacióndelasactividades? RAR: Ladiversificaciónvacorriendoconeltiempo,desde1986hasta hoy. Racionalización y diversificación, a la vez. Porque hemos desinvertidoenalgunascosaseinvertidoenotrasparallegaraesto. AL: Las inversiones de grupo están concentradas en Chile, ¿cómo planteanlaestrategiadeinternalizaciónoglobalización? RAR: Para esto es bueno conocer la evolución de nuestro brazo de inversiones fundamental, le digo fundamental, porque habían dos o tres,peroelforestaleselfundamental.Cuandotomamoselcontrolde COPEC, “Arauco” tenía un potencial de crecimiento muy grande en Chile,entoncesfuecreciendoracionalmenteenelpaís,enplantaciones de bosques y en plantas industriales para producir celulosa, elaborar distintos productos derivados de madera. En forma muy racional y responsable. Durante estos años, nosotros llegamos a un punto de equilibrioparaproducirlarotaciónenlosbosques:sevanplantandoy cortando,cortandoyplantando,asítodasnuestrasplantasindustriales funcionandelamanoconestedesarrolloforestal.Hoyesoestáenun equilibrio perfecto. Se llega a un punto que es difícil crecer más; los bosques son lo que son, no hay más hectáreas. Eso significa que la parte industrial es lo que es, porque no hay más materia prima para ingresaralasplantasprocesadoras.Conlosaños,aquíenChilesellegó aestepunto,queloveíamosvenir,loteníamosconsideradoennuestra planificación. ¿Bueno, entonces dónde vamos a llegar?, en tal año se llegaba al equilibrio que le indicaba, por lo que hay que mirar si la empresaquiereseguircreciendohaciaotraparte. “¿Dónde vamos a mirar? Primero que todo, en qué podemos crecer, lo más racional y lógico es en lo que sabemos hacer, en desarrollodebosques,deproductosindustrialesdemadera,celulosay productos elaborados. Es el desarrollo que tenemos aquí en Chile. También hemos desarrollado, claro que en una dimensión más 17 Angelini Interview pequeña, otras actividades en la que después hemos desinvertido: en segurosypesca.Desinvertimosahí,ydecidimosqueeramejorcentrar nuestraactividadalaparteforestal.¿Dónde? Bueno, si vamos viendo los países, los primeros son los que estánallado.Enellos,antesdepensarenChina,OrienteoEuropaque esdondenuestrosproductossevenden.Porsuparte,lamateriaprima surgedepaísescomoNuevaZelandaoAustralia,enChile,Argentinao Brasil. Países que en el mapa están localizados en los mismos paralelos.Esasí,digamos,siunovayviajaalrededordelmundomáso menos entre los paralelos 35º y 40º, que en Chile están entre Constitución y Valdivia de Chile, se da cuenta que en esta zona geográfica hay mucho más mar que tierra. Pero pasa en Oceanía por Australia,NuevaZelanda,yenAméricaporChile,Argentina,ytambién está cerca Brasil y Uruguay. Ahí se produce un pino de similares características, y el eucalipto, con un gran crecimiento. Entonces, a Australia y Nueva Zelanda no vamos a ir, porque hay otros, pero si podemosiraArgentinayBrasil.Yfueloquehicimos. Fuimos a Argentina primero. Compramos una planta de celulosa, algunos bosques, después aserraderos, luego comenzamos hacer nuevas inversiones. Instalamos otro aserradero y una planta paraproducirtablerosdemadera“MDF”,unproductomuybuenopara hacermuebles.Posteriormenteampliamoslaplantadecelulosa,yahí empezamos a armar un patrimonio forestal importante en Argentina, en la provincia de Misiones, cerca de Iguazú. Hemos ido comprando más bosques, hemos plantado más árboles y hemos consolidado un patrimonio forestal ahí en esta zona de Argentina, en la que se producen buenos pinos y con buen crecimiento. No es el mismo pino que hay en Chile, pero tiene apropiadas características. Se produce buenacelulosayproductoselaborados. Hoy, nuestro patrimonioesdemáso menos100milhectáreas de bosques. También, hace unos años al grupo Pérez Companc le compramosprediosforestalesalladodelosnuestrosylosmanejamos todos juntos, y un aserradero que lo incorporamos a nuestro aserradero,peroqueahoraseestácerrandoporquehacaídomuchola ventademadera.Tenemosunmercadoargentinobastanteimportante, que está creciendo. Y vecino, muy cerca, está Brasil, para vender productoselaborados.Nosotrosproducimoscelulosaparahacerpapel y celulosa “fluff”, que es para hacer pañales, y la cual no hacemos en Chile.Ellatieneungranmercado,nosolamenteenArgentina,sinoen todaLatinoamérica. Una vez instalados y produciendo en Argentina, nos dijimos: “¿Dónde más podíamos crecer?” La respuesta fue Brasil. Entonces hemos ido a Brasil, compramos una industria que funcionaba más o menos.Lahemosmejorado,hemosdadomásempleoycompradomás bosques en la zona de Curitiba, ahí hay una planta de aglomerado. Luego,enJaguaraivacompramosunaplantadetableros. 18 Creating Emerging Markets AL: ¿Estoesreciente? RAR: Exacto, en los últimos años, ya que aquí en Chile se ha completado el ciclo de bosques y plantas. Esto mismo ahora se está repitiendo en zonas donde hay ventajas comparativas, técnicas y naturales. Es el área de la provincia de Misiones en Argentina y en el surBrasil,tambiénconplantacionesparaproducirmaderaaglomerada y tableros MDF, que son los mismos productos que hacemos aquí. En Brasil, todavía no producimos celulosa, porque aún no tenemos la dimensióndebosques.Peroeldíademañana,puedeser.Noloafirmo rotundamente,peropuedeser. Además,enBrasilnosasociamoscon“Stora”otrogrupoforestal muygrande,unconglomeradoempresarialdeSuecia,conquienesaños atráshabíamosestadoasociadosenunaempresaforestalenlazonade Valdivia, donde hace poco construimos una planta de celulosa. Ellos, porproblemaseconómicosydeadquisicionesenEuropa,tuvieronque desinvertir, y nosotros les compramos su parte y quedamos siempre muy amigos. Entonces, ahora en Brasil, formamos una sociedad con StorAL:Enso,yaquehoydíanoessolamenteStora,sinoStorAL:Enso. Es una sociedad mixta, donde nosotros tenemos el 80% de la parte forestal, que son 50 mil hectáreas, y 20% de la parte productiva de papel. Si a estas nuevas hectáreas les sumamos las 33mil hectáreas que teníamos antes, completamos 88 mil, casi 100 mil hectáreas de bosques. Hemos formado un patrimonio forestal interesante, de bosques,paraproducirmásmaderaelaborada. AL: ¿Hanencontradodificultadesenelprocesodeinternacionalización? RAR: El proceso de internacionalización del grupo, se ha hecho principalmenteatravésdeArauco.OsealafuerzalahapuestoArauco, queesunaempresamuyconocidainternacionalmente.Laproducción deAraucoseexportacasitoda. Tieneoficinas enEE.UU.,enChina,en Japón, en Europa y en varios países de Latinoamérica. Tiene clientes encasitodoslospaísesdelmundo. AL: Hay un proceso previo de internacionalización primero por la comercializacióndeproductos. RAR: Exactamente, con la comercialización de productos Arauco era haceañosunaempresamuyglobal.Nosotrosdimosunnuevopasocon lainternacionalizacióndelaparteproductivadeArauco. Es el que explica nuestro crecimiento. AL: ¿Cuánto influye o ha influido en el desarrollo del grupo, los contextos políticos,económicos? RAR: Tratamos de que influya lo menos posible. Tratamos de no inmiscuirnos en cuestiones políticas, tal vez por nuestro origen extranjero.Esonoquieredecirquenonosimporteloqueocurreenel país. Muy por el contrario, estamos muy preocupados de que todo se lleve por cauces lo más estables posibles. Tenemos claro, que la evolución del grupo y las empresas dependen, y han dependido siempreensuhistoria,enformamuyfundamental,decómovaelpaís. Por tanto, siempre nos preocupa que las cosas vayan por un camino adecuado.Ustedmepregunta,¿cuánpreocupadosestábamos?Siempre muypreocupados.Perodeahí,aquevayamosasercomopaladinesde manejaroinfluirenlaspolíticasdelpaís.Esono. Nuestra responsabilidad es muy clara. RAR:Nunca afectó. Le dieron la “Nacionalidad Chilena por Gracia”, precisamente en el momento más álgido del litigio y juicios que teníamos con International Paper por el caso COPEC. Fue como un espaldarazo nacional. Al esfuerzo y todo lo que Anacleto y el grupo habíanhechoporelpaís. Para complementar, le puedo decir que estamos muy involucradosentodoslosorganismosgremiales.Debecomprenderque con tantas y diversificadas actividades, nosotros participamos activamente en diferentes asociaciones de gremios de empresas. En Corma, que agrupa a todo el sector forestal. Estamos presentes, con directivosyejecutivosdelgrupointegradosenestosgremios. AL: ¿Siemprehanestadomuyinvolucrados? RAR: Yo diría, que no siempre. En la medida que el grupo ha ido creciendo y tomando importancia, hemos tomado más relevancia y máspresenciapúblicadentrodellosorganismosgremiales.Peronoes que haya que liderar, ni nada parecido, son organismos gremiales. Nuestraorientaciónestámarcadapordedicarnosalonuestro,ahacer bienlascosasennuestrasempresasyactividadesproductivas,yluego esparticiparenorganismosgremiales. AL: ¿Variosdelossectoresdondesehainvertido,sonsectoresmuycentrales de la economía,esotambiénhace que elgrupo tengaquetener un sentido de responsabilidad? RAR: Claro, por supuesto, no podemos lavarnos las manos y desentendernos de nuestro rol como empresarios. Estamos preocupados de nuestra responsabilidad con el país. De hecho formamos parte de muchos Comités donde se estudian temas prioritarios para el desarrollo de Chile. Siempre somos invitados y participamos en reuniones, seminarios, donde se intercambian ideas sobre temas país y empresas, presentando estudios y aportando nuestra experiencia cuando se discute alguna ley o proyecto; nos invitan o nos consultan. Tenemos un intercambio permanente con variadossectoreseinstitucionesquedebatenypiensanenelfuturodel país. Incluso el grupo, ha formado varias fundaciones en las cuales hace aportes importantes y colabora en temas que son prioritarios para el país, como son: Investigación + Desarrollo + Innovación, EducaciónyViviendaSocial. AL: ¿Cuáleselsectorqueestámásexpuesto? RAR: Enlamedidaquecrecemosyconcretamosinversiones,estamos expuestos en varias cosas. Estuvimos muy expuestos al escrutinio público por algunos problemas existentes en la parte forestal. Uno relacionado con uno de los proyectos más grandes que hemos impulsado, la planta de celulosa en Valdivia. Esto fue muy público y polémico, y se generó a partir de la migración y muerte de algunos cisnesenunríodondelaplantaeliminarilesindustrialestratados.Eso nospusoenunavitrinapública,fuimoscrucificadosporciertosgrupos ambientalistasynosdispararondevariossectores,apesardequeno hay un estudio concluyente sobre la causa que originó el problema. 21 Angelini Interview Nosotros siempre tuvimos claro y señalamos que no teníamos nada queverconello.Estasplantasdecelulosanolasinventamosnosotros, son plantas de celulosa que son desarrolladas e instaladas por los técnicos más expertos del mundo y con la tecnología de punta, que estánoperandoenlospaísesconlosmásaltosestándaresambientales. Nohayotramejor,puessihubieraotramejor,pondríamosesa.Nunca vamos a estar ahorrando en esto. Esa es nuestra política y nuestra responsabilidad,ylohemosdichoentodaspartesyconsistentemente. Esoeslarealidad.Perosemontóunacampañacomunicacional contraesaplantaquefuemuygrande.Poresohasidodifícilcambiara la opinión pública, que la gente crea. Además tuvimos otra situación por una falla de manejo en otra planta industrial, que provocó la muertedealgunospecesenunrío.Fueunaccidentelamentable,pero ahí se reconoció que se hizo una mala operación, incluso fueron despedidos los responsables. Ante esto, se efectuaron importantes inversionesparamejorarlosprocesosdelaplanta,paraevitarriesgos y se compensó a pescadores afectados. Eso fue responsabilidad de la empresa.PeroesteincidentenotienenadaqueverconlodeValdivia, elcualaúnnosehademostrado. Ha habido exposición pública por estas situaciones que han ocurrido, y evidentemente siempre hay grupos ambientalistas que se preocupan de levantar y magnificar cualquier incidente por pequeño quesea.Poreltamañoynúmerodeplantasindustrialesquetenemos, siempre estaremos, de una manera u otra, expuestos al escrutinio públicoporelladoforestal. Por el lado del sector energía, también tenemos una responsabilidadmuygrande.Porque“CompañíadePetróleosdeChile Copec”, una filial de COPEC (“Empresas Copec”), que es la mayor distribuidora combustibles del país y carga sobre sus hombros la responsabilidaddellevarpetróleodiesel,comolellamanenArgentina al gasoil, a prácticamente todas las centrales eléctricas a lo largo de Chile. Y usted comprenderá que es un país muy largo. Tenemos que disponerdeunaflotade500a600camionestanques,paraabastecer de combustible a las centrales eléctricas del país. Se ha realizado un esfuerzo logístico realmente impresionante, porque las centrales eléctricas que son a gas, hoy no reciben gas de Argentina por los problemasqueenesteámbitohapresentadoestepaís.Antelaescasez degas,hasidoCOPEC,másquelasotrascompañíasShellyEsso,quien ha cargado con la responsabilidad de abastecimiento de petróleo diesel.Somoslosquetenemosmáspuntosdeventayunaadecuadared de distribución, y por lo tanto cargamos con la responsabilidad de entregar combustibles a las generadoras para asegurar que se sigan produciendoenergíaeléctrica. Usted se puede imaginar la gran responsabilidad, cualquier accidente o falta de abastecimiento podría significar un colapso energético en Chile. Entonces, en esta área también tenemos una exposición muy grande; una responsabilidad muy grande. SolamentenosotrospodemosdistribuirycomprarleaENAP.Tenemos el50%departicipacióndelmercadoycomoel60%omásdelgasoil, porque entregamos a las centrales eléctricas. Entonces, tenemos siempreunaexposiciónpúblicayuninvolucramientoimportanteenla matrizenergéticadelpaís. AL: ¿Hay un área específica de la empresa o cada empresa maneja porseparadoeltema? RAR: Cadaempresatienesugenteysuequipoprofesionalytécnico. AL: Un tema que es interesante para una empresa radicada centralmente en Chile pero con sectores económicos tan importantes, ¿Cómoessuvinculaciónconotrosoperadoresinternacionales? RAR: Hay vinculaciones, pero más que eso, tenemos sociedades también. Por ejemplo nosotros en COPEC somos socios de Mobil, que yanoesMobilsinoExxonMobil.Tenemosunaempresaquese llama COPEC‐Mobil que distribuye los lubricantes. COPEC siempre ha distribuido Mobil en Chile. Hace poco tiempo, COPEC inauguró una fábricadeaceite,lubricantesygrasaenQuintero,cercadeValparaíso, que es nuestra, que nos provee de aceites y lubricantes Esso y Mobil. Fabricamos productos de las dos marcas. Los nuestros se distribuyen en las estaciones de servicio COPEC. Y la Esso, se los lleva a sus estacionesdeservicioconsupropiamarca.Eseesunnegocioquetiene COPEC. Como ve, no solamente hay vinculaciones, sino también tenemossociedades. Con BP también tenemos una sociedad que abastece y distribuye combustible a los aviones en el aeropuerto. Este mercado funcionaconsistemasdelicitación;selicitatodoslosaños.Postulamos siempre junto con BP, porque BP tiene el knowhow internacional de losaeropuertos. AL: ¿Ensusañosdeestarencontactoconotroscolegasyempresarios chilenos, considera hay algo que los caracteriza, comparando con otros paísesdeAméricaLatina? RAR: Elempresariadochileno,¿enquésepuedediferenciardeotros del empresariado? No creo que haya diferencias. Los empresarios hablanunlenguajemásquecomún,tienelasmismaspreocupaciones, tienenlosmismosproblemas,decómofinanciaroperaciones,decómo 23 Angelini Interview sediversifican,ocómosevadeunmercadoaotro.Yocreoqueesmuy común, muy similar. Me ha tocado relacionarme y conversar con muchosempresariosargentinosobrasileros,evidentementequecada unotienesuproblemáticapropiaolocal,perolosempresariostenemos una forma de ser parecida. Por ejemplo, los empresarios pesqueros peruanos son muy parecidos a nosotros. De hecho tenemos una agrupaciónmundialconPerú.Estamosasociadosenelexterior.Porque al final, hoy día, con la globalización es así. Es una realidad, estamos muycerca. AL: ¿QuécreehapermitidoqueenChilesehayanconsolidadogrupos como este y que en otros países no se hayan podido generar grupos de estascaracterísticas? RAR: Aquí se han surgido varios grupos, quizás los “astros” se han orientadodetalmanera,quehanfavorecidoesto.PeroenPerúexiste algo parecido, en la minería, la pesca. Hoy día en la pesca se han formado grupos muchos más grandes, que nuestro conglomerado pesquero. Casualmente de origen italiano también. Después en Argentina,elgrupoPérezCompanc,contodoloquesehadiversificado, siguesiendoimportantísimo.EnBrasilparaquedecir,muchomásque aquí.Noveolaespecificidadpropia. AL: Volviendo a la realidad de su grupo, ¿cuáles serian los desafíos paraelfuturo? RAR: Bueno, es lo que hemos estado hablando, hay que ir viendo la evolucióndecadaunodeestossectores.Quédesarrollotienen,ysino lotienenaquí,hayquebuscarloafuera.Esunaobligación,laesenciade un empresario no le permite decir “terminé”. No, no nos podemos sentar a ver qué pasa. Más madera, más productos elaborados, ¿Cuál es otraárea de crecimiento? En laenergía.Carbón, energía eléctrica,de hecho ya estamos en ellos. Tenemos un potencial grande para desarrollar el carbón. Nos acabamos de asignar la exploración y explotación de unos yacimientos carboníferos grandes, en conjunto conVonAppen,queesotrogrupochileno,conelqueyasomossocios 24 Creating Emerging Markets enunaempresaeléctrica.¿Quévamosahacerconelcarbón?Venderlo a centrales eléctricas de la empresa en que somos socios con Von Appen. ¿Qué más hacemos con ese carbón? ¿Por qué no nos asociamosconotracentral?Comove,ahítenemosuncampogrande. AL: ¿Eldesafíoesidentificarlosnichos? RAR: Sí, también hay que identificar nichos. Estamos en el sector energía,yesclaroqueenChilehaygrandesdesafíosenestaárea.Tal comohablamosantes,noseimportagasdeArgentina,porquenohay gas en Argentina, incluso no tienen gaspara ellos, por tanto no van a mandargasaquí.Puedentenergas,perosenecesitaninversionespara sacarlo, hay toda una problemática. Así que ¿dónde hay posibilidades de crecimiento? En ese sector. En minería, también tenemos grandes potenciales,deoro,cobre. AL: ¿Como empresario donde ve los problemas más importantes, pensandoespecialmenteenlainserciónextranjera? Un poco más liberalizada, como en Estados Unidos, pues aquí en los países Latinoamericanos está bastante amarrada. Creemos que en eso hay mucho que trabajar todavía. Hoy en día se habla de la flexibilización laboral, es algo que hay que hacer aquí, en Argentina,enPerú,enBrasil,entodaspartesdeLatinoamérica,loque en EE.UU. está hecho hace muchísimo tiempo. Eso es lo que tenemos quehaceracá,hayqueperderelmiedo.Existelacreenciadequesise flexibilizanalgunasgarantíaslaborales,vaahabermenostrabajo.Pero esalrevés,vaahabermástrabajoymásdinero,estamosconvencidos deeso. En Chile también hay otros problemas con grupos indígenas, especialmente Mapuches, que no se están abordando bien. Ahí hay mucho que trabajar, nosotros hemos tratado de incorporar a los mapuches, a las agrupaciones indígenas que tienen mucho valor, son alrededor 500.000 personas. Hay que terminar de incorporarlos, ahí hay trabajo que hacer. Existen ciertas dificultades que se deben mejorarmuchoenChile;tambiénenBrasilhayproblemasdeesetipo. AL: ¿Laempresaseproponegenerarprogramas? RAR: Por supuesto, tenemos muchos programas en conjunto. Pero el pasado, no es tan pasado. Yo siempre trato de tener disponibilidadparatodaslaspersonas.Inclusosepublicó,norecuerdo dónde y no quisiera presumir con esto, de que tengo tiempo para escucharacualquiera.Desgraciadamenteeltiempoescorto,perotrato de escuchar a las personas, me gusta tener las puertas abiertas siempre, es otra lección que viene de atrás. Aquí nunca van a haber puertas cerradas. Y tampoco nos gusta que cierren la puerta las personas que trabajan con nosotros. Afortunadamentelasempresasestánsanas,sialgunavezhubo que contraer deudas para hacer una operación importante, éstas se pagaron. Las compañías no están endeudadas, su endeudamiento es absolutamente normal o razonable. Si el día de mañana se presenta una oportunidad, por ejemplo comprar miles de hectáreas en Brasil, quizás será necesario un crédito si se requiere financiamiento adicional.Peroelgrupoysusempresasafortunadamentehoydíatiene elreconocimientodelabancamundial,sivaapedirdineroyselovana prestar.Elgrupononecesitahacergrandescampañasdepublicidado deimagen,porquelatiene.Esungranactivoquetiene.Quecadauno tiene la responsabilidad de mantenerlo y proyectarlo. Por otro lado la visión del tío, una visión genial, del emprendedor, un visionario porqueél teníaesa gracia.Un don que él tenía.Lograbadespejartodalapaja,paraverexactamentelaclaveen todoordendecosas.Enlosnegociosfundamentalmente.Eracapazde ver el fondo en los problemas, o sea, ver cuál era el problema. AsIwassaying,first,Iwouldlikeyoutotelluswhereyouwerebornand alittleaboutyoureducationandinitiationintheworldofbusiness. RAR: IwasborninItaly,inFerrara,acitynearVenice,inItaly’smid‐ northernregion,in1948.SoIamabouttoturnsixty. Ourfamilywasverysmall.Itconsistedofmyfather,mymother, my sister and me –four people. My uncle Anacleto, my father’s older brother, was also veryimportant for us. He is the reason why we are hereinChile.AfterWorldWarII,in1948,justafewmonthsafterIwas born, he left Italy. He had spent several years in Africa before – practically the entire war. He was there around ten years, building severalbusinesses,mostlyrelatedtotrade.WhenhereturnedtoItaly, once the war was over, he found a destroyed country, with an aggressivenessthatmadeitimpossibletolivein.Peoplewouldattack oneanother,asaresultoftheoveralldestructioncausedbythewarin Italy.Hewasdeeplyaffected. Heusedtotellastory.Itwasoneofthethingsthatdrovehimto leave his homeland. It happened when he returned from Africa. He arrivedattheport–IthinkitwasinNaples‐andhegotofftheboat.As herantocatchatraintogotohishometown,Ferrara,hesawseveral soldiers who were returning, maimed, from World War II. He saw a man with no arms who carried two suitcases hanging from a rope aroundhisneck.Then,thismanwasrunning,butnoonehelpedhimto get on the train. Everyone else got on the train, but he couldn’t on accountofhissuitcases.Myunclesaid,“ThisisnotthecountryIused to know.” Italy had changed. He was so shocked that he decided to leaveItalyforgood. He sought new horizons. With some friends, he had thought aboutmovingtoVenezuela,ChileorArgentina.Eventually,hedecided tocometoChilebecausehehadafriendwhowasalreadyinvestingin 31 Angelini Interview thiscountryandaskedhimtocomeandcheckonhisinvestmentsand tostartanybusinesshesawfit.MyuncleAnacletowasanunmarried man of some means. He came to Chile in 1948. In addition to some funds,hebroughtthemachinerytobuildapaintfactory.Thatwashis firstbusinessventureinChile–apaintfactorythatisstillrunning.It’s calledPinturasTajamar. ShortlyafterhisarrivalinChile,hetalkedmyfatherintocoming aswell.Hefounditawonderfulcountry,withmanypossibilities,good, hard‐working people, and endless opportunities to do business. In otherwords,hewasremindedofhisearlydays,whenhewenttoAfrica todobusiness.WhenhearrivedinChile,hewasabitolder,ofcourse, but he was also more experienced. I had already been born, and he finally convinced my father to immigrate to Chile as well. My father harbored some doubts, because he was starting to operate in the agribusiness trade in our region in Italy, which is primarily agricultural.Besides,itwasharderformyfathertomakethatdecision –healreadyhadawifeandason;hewasstartingafamily.Itwasn’tas easyforhimtochangeeverythingasUncleAnacletohaddone.Finally, aftercarefulconsideration,heconvincedhim,and,in1950,myfather gotonashipandcametoChilealonetocheckitout,toseeforhimself everythinghisbrotherhadtoldhim. He went to live with my uncle, in a place where everyone was Italian. It was a sort of hotel, where many Italians who came here aroundthesametimelived.TheyhadallleftItalyfordifferentreasons andcamefromdifferentregions–someevenfromourown.Theyhad met in Italy and found each other again in Chile. They were trying to start a business. My father joined his brother in his paint factory venture.Theyhadapartner,anotherItalianwhowashereinChileand whohadalsobeentoAfrica,wherehehadmetAnacleto.Theyworked together in thepaintbusiness, which was their launching pad or first steptowardstheirconstructionbusiness. Atthattime,Chilewasgrowing,andmanybuildings,housesand stores were needed. So, my father and my uncle ventured into this business. They built buildings, shopping malls, etc. They sold their paint factory and devoted themselves entirely to their construction business. In 1957‐56, another man, who was also a construction entrepreneurandaforeignerwhohadcasuallyarrivedinChile,hada business company at the time. It was a small fishing plant in Arica, Chile’s northern port. He talked Anacleto into going there to see that project. “Why don’t you go and see the north of Chile? It is totally different than the south.” He got Anacleto enthused, and they left for Arica.Oncethere,hewondered,“WhydoIwanttogetintothis?”Itwas asmallfishingplant,astartup.Theothermansaid,“Thisistheworld’s future. I haven’t got it running yet.” And he made his pitch, “Let’s be partners.I’llsellyouaninterestinthecompany.”Eventually,Anacleto became more enthusiastic and built the fishing company when he 32 Creating Emerging Markets realizedtherewasafutureforfishingresourcestoproducefishflour, which,inthefuture,wouldbecomeasignificantfood.Notforhumans, but,sinceitisagreatprotein,itwouldmakeagreatfeedforpoultry, fish,cattleandpigs. The fishing company was called “Empresa Pesquera Eperva”, and it marked the industrial onset of our holding – it embodied their transformationintotruebusinessmen,afterthepaintfactoryandtheir constructionbusiness,whichweremedium‐sizedoutfits. Myfatherrealizedthiscountrywasfantastic,withalotofgood, entrepreneurial people. That’s why, in 1951, he decided that my motherandIshouldcometoChile.WearrivedherebyboatinMarch that year. I was two‐and‐a‐half years‐old, almost three. We settled down in Santiago, at a house where my father, my mother, my Uncle AnacletoandIlived.EverythingIjusttoldyouaboutthepaintfactory, the construction business and, later, the fishing company happened whilewelivedthere. AL: So,growingup,youwerealreadysurroundedbybusinesstalk? RAR: WhenIwasthreeorfouryears‐old,IlearnedtospeakItalianat home and Spanish outside, with my friends. I grew up learning both languages. It was very easy for me to learn both languages – I even translated for my mother. That life, with all of us living together in Santiago,lasteduntilfishingoperationsstartedupnorth.Myfatherleft to manage that new business in Arica and took my mother and my youngersister,whohadalreadybeenborn,withhim.Theymoved,but, since there were only elementary schools there and there were no good schools for older children, I had to stay in Santiago with Uncle Anacleto,whowasjustgettingmarried.Then,Ilivedwithmyuncleand aunt for several years while at school. My father, mother and sister lived in Arica, setting up the fishing business operations. My uncle managed the business here in Santiago, handling sales, supply and machinery purchases. Thus, this business grew and grew and grew. Overtheyears,itbecamethenation’sleadingfishingcompany.Itstill is,afterthemanyprocessesthisindustryhasundergoneintheNorth– but that is beside the point here. Our fishing conglomerate currently accounts for roughly 80% of the fish capture for flour and oil productioninthenorthernregion. Overtheyears,Ilearnedalotfrommyuncle.Iusedtolivewith him.Thefishingcompanygrewandstartedtooperateanewplantina port further south, called Iquique. This city had more infrastructure, moreschools.So,myfathermovedtoIquique,andIwenttolivewith them. I attended school there for three years. As a child, I learned everything–Ilivedit.Withmyfather,Ilearnedeverythingaboutthat industry – from fishing to fish flour and oil production. I was lucky enoughtolearn,hereinSantiagoandinthenorthernports,aboutthe fishingindustry.Intime,wemovedtoSantiago.Igrewup,wenttothe 33 Angelini Interview university, and got married. Additionally, the fishing companies’ generalmanagementmovedtoSantiago. Fishing operations increased in the North, expanding to two additionalports.Simultaneously,thegroupstartedtoinvestpartofthe resources earned from fishing operations in the forestry sector. In other words, fishing growth was compounded with forestry sector expansion.Woodswerepurchased,aswellaswoodprocessingplants to produce wood boards, moldings –summing up, several products resultingfromMontereypinetree(pinusradiata)processing.Thispine treegrowsnicelyinChile,withhighproductivityrates. These brothers were true visionaries when they decided to diversifytheirfishingoperations,forfishingisveryrisky–itdepends largely on God’s designs, because you can’t really tell how much you will fish. God determines how much. Weather changes cannot be predicted or controlled, either. Cold or warm weather periods, sea temperature swings are very important. A one‐degree rise or drop changes everything at sea, causing, of course, strong fluctuations for fishing. Then, it was a very risky business that underwent very hard cycles–withverygoodandverybadyears.Fishinghasbeenandwill continuetobeaverydelicate,complexbusiness. Thus,inordertooffsettoughyears,theyinvestedinforestry–a muchmorestable,long‐term‐orientedbusiness.Thesearecompletely different businesses. You know how many trees you plant and how longitwilltakethemtogrow. AL: Did they try to diversify both businesses? RAR: They tried to diversify their business because fishing is very cyclic, with ups and downs. Forestry is much more stable; it doesn’t feature any significant peaks - that has been proven; anyone who studies its evolution can see this. We were growing simultaneously in the fishing industry and the forest sector; so much so that today we own the largest business in the forestry industry. We have experienced spectacular growth, and we have channeled subsequent investments into our forestry business. In contrast, our fishing business was reduced and limited by a number of regulations and laws constraining capture, adding to the already high risk of the business. Later, the group experienced very significant growth when it acquired the controlling stake in Compañía de Petróleos de Chile (COPEC, Chile’s Oil Company), which is our present engine. This company, currently called Empresas COPEC, has had interests in several businesses and operations. It is the leading company in the distribution of liquid fuel and gas, and also boasts important investments in the forestry sector. With the acquisition of COPEC, the group reached a new dimension, not only in terms of size; related to more than physical growth; it also achieved more thorough business diversification. It experienced great growth in its forestry business, but also ventured into liquid fuel and gas distribution. 34 Creating Emerging Markets Similarly, years before, the group had started, to a lesser extent, to operate in the financial sector. First, it started an insurance company, Compañía de Seguros Generales Cruz del Sur, which later became Compañía de Seguros de Vida Cruz del Sur. A couple of years ago, the general insurance company was sold, but we continued to operate the life insurance company and other complementary financial businesses, such as mortgage mutual fund management. But, to be clear, I’d say that, comparing and measuring all our operations, today we are primarily an industrial group with a focus on forestry, energy –comprising fuel and gas distribution as well as energy generation- and fishing. To a lesser extent, we also operate in the financial, insurance and agricultural sectors. AL: Isthegrouporganizedasaholdingcompany? RAR: Yes, it is a holding company, as it is stated here (reference material, see exhibit). It is streamlined in this company called AntarChile,withitscontrollingstockholders–i.e.,thegroupthatholds the controlling stock at AntarChile. The rest of the stock belongs to thousands of minority shareholders. Shares usually quote at Chile’s StockExchanges. So,AntarChilecontrolsCOPEC,which,asImentionedbefore,is currently called EmpresasCOPEC.This company engulfs practically all other companies. Empresas COPEC also quotes at Chile’s Stock Exchanges.Itisthecompanywiththelargeststockmarketvalueinthe country–over$20billion. AL: COPEC’s 1986 acquisition was also the result of the company’s decisiontoinvestinthiskeysector? RAR: In the 1960s, the group had already started investing in forestry. But, when it took over COPEC, which controlled a company called Celulosa Arauco y Constitución, a conglomerate of forestry companiescalledArauco,thegroupmultiplieditsforestryinvestments severalfold.Nowadays,AraucoisChile’slargestforestrycompany.Our interestinCOPEClay,to alargeextent, inthefact thatCOPECowned Arauco. AL: In other words, this acquisition reinforces and opens up the energyandfuelindustries? RAR: Exactly. AL: In addition, the group’s basic structure was introduced in the 1980s.Sincethen,itjustexpanded,right? RAR: Exactly.AndwhatroledidIperforminallthis?AsIsaidbefore, I was fortunate enough to physically witness the group’s natural 35 Angelini Interview growth, because it all happened during my lifespan. This is not something that happened during my grandparents’ or great‐ grandparents’ time; it happened in my lifespan. Although I joined the groupwhenIbecameaprofessional,itshouldbenotedthatIlivedthe group’s development growing up –as a child, a young man and a grownup. AL: Excuseme,whatisyourprofession? RAR: I’m a civil industrial engineer. I studied here in Chile, at Universidad Católica de Chile. My initial calling was medicine, but, whenthetimecametochoose,Itoldmyself,“No,whatshouldIstudy medicine for? I’d better study engineering.” Besides, I liked it, and I thought I could contribute to some group companies or to all companiesatonepoint.Istartedtostudyengineering,andmyfamily was living here in Santiago at the time. When I graduated as a civil engineer, I did not join the group immediately. First, for nearly two years,Iworkedatacompanytotallyoutsidethegroup. AL: Wasthatapersonalchoice? RAR: Yes, of course, it was my choice. I said, “Roughly, I know all group companies.” I knew them ever since I was a child or a young man.Thegrouphadyettoreachitscurrentsize–COPEChadnotbeen acquiredyet.Basically,thegroupfeaturedthefishingcompanies,some pine tree forests, and Forestal Cholguán and Maderas Prensadas Cholguán industrial plants –the forestry companies we owned back then.AftertheCOPECacquisition,thesecompanieswereabsorbedby Arauco. WhenIgraduated,therewasnoCOPECandnoArauco.Imean, theywerecontrolledbyotherpeople.Wewerejustworkinginfishing and the Cholguán companies. When I graduated, I had the chance to workatCholguánorinfishing,butIdidn’twantto.Ipreferredjoining Unilever. There I worked in my profession, because I am a civil engineer with a major in chemistry. I worked there for two years, developing cosmetics, soaps, shampoos, and detergents. We used to work side by side with the Marketing and Product Development departments. We were all newly graduated engineers who joined the Engineering and Product Development departments, analyzing productswithmarketingengineersformarketlaunches.Ihappenedto work there; it was very interesting. I was directly involved in my profession,formulatingproducts,developingatthelabfirst,and,later, industrializing chemical products, margarine, oil, fat, soaps, toothpastes,andothers. AL: Whenwasthis? 36 Creating Emerging Markets RAR: Itwasin1975‐1976.Igotmarriedandhadadaughter,whowas born in 1976. After two years, an opportunity opened up in northern Chile, at the fishing plants, for people had been transferred to other factories. So, there was an opportunity for me to work there as an engineerforoneofthenorthernplants,wheremyfatherhadspendhis youngeryearsandwherebothbrothershadstartedout,withsomeof thepeoplewhoworkedtherebackthen,whomIhadmetasachild.I mademydecisionandsaidtomyself,“Ok,let’sgoupnorth.”Imoved north, to Arica, with my wife and daughter. In other words, I was reliving my father’s story, at the same plant where my father had workedin1957. AL: Twentyyearslater,right? RAR: Yes,twentyyearslater.Iwasanengineer,andIhadworkedat Unileverbefore.IstayedattheAricaplantforsixyears,holdingseveral positions. I started working there as an engineer and ended up as PesqueraEperva’sAricaplantmanager. AL: Were your uncle or your father involved in your career at that time? RAR: Well,atthattimetheywereinSantiago.Myunclewasfocused ongrowingandseekingnewbusinesses,andmyfatherworkedinthe forestrybusiness,atCholguán.Ifocusedonfishing.Theystoppedbeing activelyinvolvedinthefishingbusinessandstartedtofocusonother businesses – not COPEC just yet, because COPEC was acquired years later.Wegrew,andIwasluckyenoughtoenjoysomeveryexpansive yearsinthefishingbusiness.IstayedinAricauntil1981. The 1976‐1978 period was very good. Our company grew steadily, with new plants, production increases, more boats. Professionally,itwasgreatforme,becausethosewerethebestyears for the fishing business. I was fascinated; I didn’t want to leave. I remainedupnorth,andIwasquiteoblivioustowhatwasgoingonin theotherbusinesses.Fishingwasmoreproductivethanforestry.Itwas a peak –a small one in the history of fishing, but significant nonetheless. I was very happy with what I was doing. In 1981, with another child, we returned to Santiago because my children were growingup. Here,inSantiago,Iwasstillworkingonthefishingbusiness,but not so focused on operations. Rather, I was more involved in the companies’management–ofthenorthern fishing companies,Imean. We continued to drive new projects, building factoriesin otherports, TocopilaandMejillones.WecoveredChile’sRegionsIandII,theones farthestnorth.Thatmeantgreatdistancesfromoneplanttothenext.I didalotoftraveling,supervisingandbeingontopofallournorthern 37 Angelini Interview fishing businesses. As I disengaged myself from fishing operations, I startedtoventureintotheforestrysector. In1985‐1986,afewyearsafterIreturnedtoSantiago,thegroup waspresentedwithanopportunitytotakealeapandacquireCOPEC– called Compañía de Petróleos de Chile back then. I lived the entire process, participating in all the decisions we needed to make to “becomeofage”andtoseizecontrolofCOPEC.Therewewere,allfour ofus,thedaywesignedtheacquisition. At that time, at that table, we signed the acquisition of COPEC (showing a picture in his office). There we are, with Uncle Anacleto, andtheothertwopeoplewereourlawyersandclosecollaborators,Mr. AquilesPortaluppi,whopassedawaysomeyearsago,andJoséTomás GuzmánDumas,whoisstillservingaschairmanandboardmemberat severalgroupcompanies. AL: Whenwasthat? RAR: In1986. AL: Itwasamilestone,andyouwereinvolvedinit. RAR: Yes, exactly. At that precise moment, we were signing the acquisitionpapers. AL: So,yourunclestartedtodrawyouinassoonasyoureturnedto Santiago? RAR: Yes.AfterIreturnedfromtheNorth,Istartedworkingwithhim, sidebyside,gettingmoreandmoreinvolvedingroupmatters.Thatis whyIwasthereandwitnessedthosemilestonesforourgroup,suchas seizing control of COPEC. Then, I started to gradually pull away from thefishingsector,gettingmoreandmoreinvolvedwithCOPEC,which becameourstarcompany,thegroup’struedriver. A lot has happened since 1986. The COPEC we own today is nothing like the company we bought in 1986. First, at that time, the company was acquired jointly with other partners, New Zealand’s Carter Holt Harvey group. However, this New Zealand business conglomerate was later acquired by International Paper, the world’s largest cellulose and paper manufacturer and a COPEC competitor – morespecifically,oneofArauco’scompetitors. Toputitsimply,acompetitor“snuckinto”ourcompany,andit quicklytriedtocalloffalltheagreementsandcovenantssignedbyour groupwithCarterHoltHarveyupondecidingtoseizecontrolofCOPEC. As a result, we ended up fighting them in court, with lawsuits that lasted over five years, to disengage ourselves, to have COPEC for ourselvesandtopreventourcompetitorsfromcontrollingit.Inshort, theselawsuitslastedmorethanfiveyears. 38 Creating Emerging Markets Finally, our group purchased the 50% interest held by Carter HoltHarveyinthejointventureestablishedin1986,whichenabledus toacquirea60%stakeinCOPEC.Inanutshell,ourgrouphelda60% interest in COPEC through AntarChile. This happened in late 1999. Sincethen,ourgrouphascontrolledCOPEC,andthishasenabledusto rationalizeourbusinesses.Wemergedourfishingbusinessesintoone large company, for COPEC also had fishing outfits. In addition, Cholguán’s forestry businesses were absorbed by Arauco, which consolidatedthegroup’sforestryoperations. AL: Didthisrationalizationtakeplaceinthe1980sorthe1990s? RAR: It’sbeenaprocess.Ourgroupisalwayskeenonstreamliningits operations. AL: Didthisprocessstartintheearly1980s? RAR: It began in 1986, when we took over, and continued after we seizedfullcontrol,asIjustexplained. AL: Whywasthisprocessundertaken? RAR: Onaccountofgroupmanagementinterestsandcriteria. AL: Wereyouadvisedbyaconsultingfirmordidyoudoitinternally? RAR: We did it mostly on our own. We retained outside counsel at one point – though not to discuss or explore these processes, but to streamlineaccountingandmanagementprocessesatsomecompanies. AL: Weretheydesignedbasedonyourdailyexperiences? RAR: Sure, our daily experiences and innovating capability were instrumental. Our group – not because I say so – relies on very good executives, very good professionals, top‐notch people. We have been fortunate enough to build good teams, with first‐rate collaborators in all sectors. Additionally, inside the group, we have two or three researchdepartmentsthatgreatlyexploittheirsynergies. AL: So,ithasceasedtobeafamily‐ownedbusiness? RAR: EversincethegroupacquiredCOPEC–evenbeforethat,ithad stoppedbeingafamily‐ownedbusiness.But,whenitseizedcontrolof COPEC,this wasmoreobvious,for wejoinedmorethan12,000other shareholders the company had at the time. As I mentioned before, COPEC is now the company with the largest stock capitalization in Chile. 39 Angelini Interview AL: So, there was a change not only in size but also in internal organization? RAR: Of course there have been internal changes, but these have focused mostly in procedures, management and operations –the necessary means to face market and industry changes. In my case, I havealsohadtofacechanges,for,sinceUncleAnacletodiedlastyear,I haveservedaschairmanforCOPECandAntarChile,andthatisagreat responsibility. These are companies with many shareholders, whom I serve andamaccountableto. AL: Fromamorepersonalviewpoint,didyoulivethosechangesthat took the company from the business founded by two brothers to its currentreality? RAR: Of course. I was never told, “Look, you are being groomed to take our place.” No, I was just like others. I worked there for many years. Opportunities presented themselves, and I assumed more responsibilities.Iwasnevertoldtoprepareforthis.Itwasobviousthat I had to get ready, but there was nothing in store, or written or scheduled. You knowwhat youhaveto do.My parents never told me whatdegreetopursue.Ihaven’ttoldmychildren,either.Eachoneof themhaschosenaprofession,andtheyarealldifferent. AL: WasmanagementmostlyChilean,ordidyourecruitforeignersas well? RAR: By the way, your question has reminded me of a significant milestoneinourgroup’shistory.Itwasintheearly1960s,yearsbefore weseizedcontrolofCOPEC.I’mgoingbacktoourfishingbusinessesin the1960s.Backthen,thegroupunderwentasignificantchange.Atthe time, it was primarily a fishing company, as it had only just begun to investinforestry,butthiswasstillaverysmallbusiness. There was this large multinational company called W. Grace, whichnolongerexists.ItwasownedbyMr.PeterGrace,anAmerican whobecamebestfriendswithAnacletoAngelini.Theywereverymuch alike and they shared business ideas and concepts. At certain point, theystarteddoingbusinesstogether. Peter Grace was very interested in Latin America. His operations already included Peru, Chile and other Latin American countries.Buthewasintodifferentbusinesses,suchassugar,shipping agencies and representing international branded goods that were imported to Chile. I can now recall Eveready batteries, refrigerators and General Electric home appliances, among others. That kind of businessdidnotappealtous,wewerefocusedonfishing.But Grace was eager to venture into the fishing industry. In the early 1960s, he 40 Creating Emerging Markets askedAnacletoAngelini;“howwouldyoulikeustobecomepartnersin yourcompany(EmpresaPesqueraEperva)?” After some negotiation, the group finally decided to sell the entirecompanytoPeterGrace.Yes,heboughtthewholecompany,but we retained management. They understood and accepted the deal because they were well aware that we had the fishing business knowledge. We would get a percentage of earnings – as payment for management services – through a special stock series, which was invented at that moment. The special series was for management services; we were entitled to a percentage of company profits. They were fantastic years for the fishing industry, and the company grew steadily. The group received its percentage of proceeds and further investedintheforestrysectorandotherbusinesses. Then, in the late 1960s, a fishing crisis broke out. And the companywasintheirhands.Wewerenottoblame.Neitherwerethey. It was just bad luck, since, as I explained at the beginning of this interview, fishing is cyclical. There are good times and bad times. In addition, there was a government change and Allende took office. Americans got scared and ran away. We thought differently, “come whatmay,beitAllendeorwhoever,we´vegottokeeponworking.We have already survived other governments. As foreigners, we have always been on good terms with all administrations.” Of course, we becamealmostChileanslater,butinthebeginning,wewereforeigners. Now, Americans were so alarmed that they said, “Look here, I willsellyourbusinessbacktoyou,andifyouwish,youcanhaveitall.” Whatcouldwedo?Wegladlytookthefishingactivityback,becausewe knew how to handle it, but we were not sure about the shipping agencies and representing international products: Eveready batteries, refrigeratorsorGeneralElectrichomeappliances.“GraceChile’s”other businesseswerelargeandimportant.However,thecompany’sposition wasfirm:“everythingisgoingout;wewantoutofChile.”Theyfixeda price and we bought everything, Empresa Pesquera Eperva and the restoftheinvestments. Wewerestillafamily‐ownedcompany.Wehadrecapturedthe fishingcompanyandweowned“GraceChile’s”otherbusinesses.Itwas realdiversification.Foratime,webecamelargedistributorsofforeign brands and products and shipping agents. A few years later, Grace ChilewasrenamedAngelini‐Grace,andthenAnagra.Butthebusiness startedgoingdown,duetodomesticandinternationalrecessions.We decidedtorestructureit,andweeventuallysoldit. AL: Therewereotherinvestmentsinbetween,then? RAR: Yes.Therewereotherinvestmentsthatwelatersoldwhenwe boughtCOPEC.Forexample,Anagra´smaininvestmentwas“Soprole”, thelargestdairyproductcompanyinChile.Weheldacontrollingstake. 41 Angelini Interview Afterwards, we sold both Soprole and Anagra; we sold everything relatedtothesebusinesses. AL: WhendidyoudecidetofocusonCOPEC? RAR: In 1986, the group set out to seize control of COPEC and its affiliates, like Arauco. This signaled a significant change. COPEC came toaccountforthehighestpercentageofthegroup´sinvestments. AL: When studying the historical formation of these groups, financing strategiesemergeasakeyaspect.Wasthereaconsistentpolicyinthisrespect ordiditrespondtospecificcircumstances? RAR: The group aims primarily at maintaining a solid financial position, which means maintaining a low level of indebtedness. Fundingformulasareevaluatedaccordingtothispolicyanddepending on circumstances and investments. Of course, we have occasionally incurreddebt,butalwaysbearinginmindthatitwillbereducedinthe shortrun. In 1985, upon deciding to seize control of COPEC, the group startedto buy shareswith its own resources. By 1986, it owned over 40%ofcompanystock.However,wewerebuyingabrokencompany. That is, the group was making a “debt investment”. If COPEC was broken, we had to reduce its debt immediately and capitalize it. A considerablefinancialrestructuringwascarriedoutwithallthebanks, somefortyofthem.Itwasalongandtiresomeprocess. Moreover, we came up with a formula to obtain the necessary capitalization resources. We entered into a joint venture with Carter Holt Harvey to set about COPEC´s recovery process. This was 1986, when we joined Carter Holt Harvey to acquire COPEC. Harvey was a New Zealand holding managed by the Carter family, before International Paper bought its controlling majority. They were our original partners and their operations were very similar to ours: fishing,woods,cellulose,panelsandelaboratedwoodproducts. AL: Itwasalong‐termbet. RAR: COPECwasalwaysalong‐termproject,buttheideawastopay itoffassoonaspossible.Wedidnotwanttohavesuchalargedebt.We intended to capitalize it immediately and to reduce its indebtedness level.Asignificantcapitalincreasewassuggested;thecompanyneeded “fresh”resources,itneededalotofmoney,itwasbroken.COPEChad verygoodassets,butitlackedliquidity. Capital increase was launched and we invested the resources providedbyCartertothejointventure,togetherwithotherresources ofthegroup.Mostofthemorethan12,000COPECshareholdersjoined 42 Creating Emerging Markets in with their contributions. After capital increase subscription was completed, the joint venture we had entered into with Carter Holt Harveyhelda60.11%controllingstakeinCOPEC. Capital increase was a challenging decision made by the group and approved by the market. It was a huge step, since more than 12,000shareholdersinvestedwithus.Thegroupwasnotforcedtopay dissenting shareholders who wanted out for not agreeing with the capitalincrease.Everyonewentalongwithit. This gave us the strength to carry on and make the company grow.Thuswesetout,andwedoubledit,andtripleditinsize.Today, COPECbearsnoresemblancewhatsoevertothecompanyweseizedin 1986. AL: Wasthisfundingstrategymodifiedatalatertime? RAR: COPEC was a special case. Once the financial operation with Carter Holt Harvey was over, that is, when capital increase was completed, the company set off by itself. Shareholders who had incurreddebttocontributetocompanycapitalizationwereabletouse companyprofitstopayinterest. After that, COPEC would incur debt upon entering new businesses,butalwaysfollowingthegroup´sguidelinesinthisrespect, which I have already mentioned. At the time, there were assessment and financial departments in place. They were responsible for evaluating each case and submitting proposals to top management. Today,thecompanyhasitsownfinancialandassessmentdepartments thatelaboratetheirownbudgets. AL: Aspartoftherationalizationprocesswetalkedaboutbefore,Iguess. RAR: Exactly. Today, managers are responsible for their companies, ineveryway.Therearegeneralcriteriaandguidelines,butthereisno specificfundingpolicy.Eachmanagerhandleshiscompany. AL: In your opinion, does the group still uphold some kind of business philosophy? RAR: Definitely.Wehavehistoricalbusinessnormsandprinciples.In thefirstplace,webelievethatbusinesshastoflowfreely,itcannotbe forced. Business cannot be based on subsidies, special regimes or existing legal regulations. Businesses will work if natural and normal conditions are in place. For example, fish reproduction and tree growing in Chile are favorable activities because climatic conditions enabletreestogrowandfishtoreproduce.Whatdowedoasagroup? 43 Angelini Interview Webringtogetherthepeople,theprofessionalsandthebestassistants. Weareproudofthem. Thatphilosophyhasbeenincorporatedandconveyed,notonly bymebutbyallthosewithwhomwework.Managersandexecutives are well aware of our corporate values and business mission. I remember when I used to watch Anacleto doing business. I always anticipatedhisanswers.Someonewouldtellhim,“Ihavethisbusiness offertomakeyou…”andIinstantlyknewwhathewouldanswer.After somanyyearstogether,hehadmanagedtopassonhisexperienceand knowledge.Everyoneatthecompanyknewwhathewouldthinkabout or how he would react to particular new businesses or solutions to problemsthatcroppedupinvariousactivities. Thereisabusinessphilosophy,anotionofresponsibility, somehowconservative.AndImeanconservativeinthegoodsenseof theword,notinthesenseofarchaicthinkingbutrathergoodthinking. Inarecentinterview,ImentionedthatoneofAnacleto´smain attributeswasthathethoughttwenty‐fivehoursaday.AGerman friendofhimusedtotellhimthat.Hewasa“twenty‐fivehoursaday man”.Hethoughtandanalyzedthingssomuchthatthefollowingday wouldsurprisehimthinking(laughs).Heinstilledinusthetwenty‐five hoursadaythinkingconcept.No,conservativewouldnotbean adequatedescription,Iwouldrathersaydoingthingsinaresponsible fashion. AL: Which would you say was historically the most difficult time to makedecisionsordobusiness? RAR: Thatone(pointsatthephotodepictingCOPEC´sacquisition). AL: Was that in 1985‐86? When you were in the process of negotiatingtheacquisition? RAR: Yes.Although,inaway,wehadahardtimetoowhenwewere negotiating with Grace. Granted, we were smaller, it was a smaller operation, but still important, because we bought everything from Grace.Ontheotherhand,COPECwasamilestone. AL: On the contrary, when did the group or the company experience significantexpansion?Didbusinessactivityundergoaboom? RAR: Since we seized control of COPEC, there were no specific expansion periods. It could be said that the event was the launching padforthegroup´sdevelopment. AL: Do you believe diversification played an important role in companyhistory? 44 Creating Emerging Markets RAR: Absolutely. The acquisition of COPEC served to reinforce the group´sfoundations. AL: Whatcanyousayaboutthecompany´sdiversificationscale? RAR: Diversificationhasoccurredovertime,since1986upuntilnow. Rationalization and diversification, both. We have divested in certain areasandinvestedinotherstogethere. AL: Thegroup´sinvestmentsareconcentratedinChile.Whatareyour internalizationorglobalizationstrategies? RAR: Whenaddressingthismatter,itisimportanttobearinmindthe evolution of our core investment area. We had considerable investmentsintwoorthreeareas,butforestrywasthelargest.When wetookcontrolofCOPEC,“Arauco”hadsignificantgrowthpotentialin Chile. It developed steadily, with wood plantations and industrial plantstoproducecelluloseanddifferentwoodderivatives.Itwasvery rational and responsible growth. During those years, we reached a balancepointthatallowedusforestrotation:forestswereplantedand cutdown,plantedand cutdown. Industrial plants wenthandin hand withforestrydevelopment. Today,thebusinessenjoysaperfectbalance.Infact,thereisnot much room left to keep on growing: forests are what they are; there arenomore hectaresavailable.Thatmeansthattheindustrial partis also what it is, because there is no more raw material to go into the processing plants. Over the years, this happened in Chile. We saw it coming; we had forecasted it in our planning. We had reached the balancepoint.Thecompanyhadtodecideifitwantedtolookatother potentialgrowthareas. Which?Inthefirstplace,wehadtoidentifytheseareas.Now,it was only reasonable to turn our attention to our areas of expertise, such as forest development, wood industrial products, cellulose and elaboratedproducts.ThesearethefieldsinwhichwefocusinChile.Of course,wehadalsodevelopedotheractivities,albeitonasmallerscale, which we later divested: insurance and fishing. We divested in these areas and decided to concentrate our efforts on the forestry sector. Where? First,inneighboringcountries.Wehadtoconsiderthembefore other places like China, the East or Europe,where ourproducts were sold. Raw material came from New Zealand or Australia, Chile, Argentina or Brazil. If you look at a map, you can see that these countriesarelocatedatthesameparallel.Thatis,ifyouweretotravel around the world between, say, parallels 35º and 40º, which in Chile includetheareabetweenConstituciónandValdivia deChile, it would be evident that this geographic area features much more ocean than land.InhappensinOceania,inNewZealandandAustralia,andinLatin 45 Angelini Interview America,inChileandArgentina,andverynear,inBrazilandUruguay. Theyaregoodgrowingenvironmentsforeucalyptusandakindofpine similartothepineweproducehereinChile.So,wewerenotgoingto gotoAustraliaorNewZealand,therewereothersthere.Butwecould gotoArgentinaandBrazil.Andthat’swhatwedid. WewenttoArgentinafirst.Weboughtacelluloseplant,several woods,somesawmills,andthenwestartedtomakenewinvestments. Webuiltanothersawmillandaplanttomanufacture“MDF”wood panels,anexcellentproductforfurnituremaking.Later,weenlarged thecelluloseplant,andthuswebegantoaccrueconsiderableforestry wealthinArgentina,inMisionesprovince,nearIguazú.Intime,we boughtmoreforestsandweplantedmoretrees,consolidatingforestry wealthinthisareaofArgentinawhereexcellentpinesgrow.Itisnot thesamepinethatgrowsinChile,butithasgoodcharacteristics.We getgoodcelluloseandotherproductsfromit. Atpresent,weownsome100,000hectaresofwoods.Acouple of years ago, we bought forests from Pérez Companc that were adjacenttoourown,andnowwemanagethemjointly.Wealsobought asawmill,whichweincorporatedtoourown,thoughit’sclosingdown now, because wood sales have experienced a significant drop. The Argentinemarketisquiteimportant,it´sintheprocessofgrowing.And we have Brazil very near, to sell products. We produce cellulose to make paper and cellulose “fluff” to make diapers, that we don´t produce in Chile. The cellulose market is a large market, not only in ArgentinabutinLatinAmericaasawhole. Once established and operating in Argentina, we asked ourselves,“Whereelsecanwegrow?”TheanswerwasBrazil.Wewent toBrazilandweboughtanindustrythatwasoperatingquitewell.We have improved it, we have provided more employment opportunities and we have bought more forests in Curitiba, where there is a chipboardplant.WealsoboughtapanelplantinJaguaraiva. AL: Aretheserecentevents? RAR: Yes, these are events in recent years, since here in Chile the forest and plant cycle has been completed. We are replicating the activityinareaswithcomparative,technicalandnaturaladvantages.In Misiones province, in Argentina, and in the south of Brazil. These plantationsalsoproducechipboardandMDPpanels,likewedohere,in Chile. In Brazil we do not produce cellulose yet, our forests are too small.Maybewe´lldoitinthefuture.I´mnotsure,maybewewill. AlsoinBrazil,weenteredajointventurewith“Stora”,another large forestry group, a Swedish conglomerate with whom, years ago, we had partnered ina forestryventure inthe area of Valdivia, where wehaverecentlybuiltacelluloseplant.Duetoeconomicproblemsand acquisitions in Europe, they were forced to divest. We bought their shareofthebusinessandwehavebeengoodfriendseversince.So,in 46 Creating Emerging Markets BrazilwejoinedStora‐Enso,sincetodayitisnolongerStora,butStora‐ Enso. It’s a mixed partnership; we hold 80% of the forestry business, which includes 50,000 hectares, and 20% of the paper producing business.Ifweaddtothesenewhectaresthe33,000woodswealready owned,weget88,000hectares,almost100,000hectaresofforests.We have gathered an interesting forestry stock to produce more elaboratedwood. AL: Haveyouencountereddifficultiesintheinternationalizationprocess? RAR: The internationalization process has been carried out mainly through Arauco. That is, Arauco has beenthe driver, since it is a well knowncompanyattheinternationallevel.Almostallofitsproduction isexported.ThecompanyhasofficesintheUnitedStates,China,Japan, EuropeandseveralLatinAmericancountries.Itsclientscomefromall overtheworld. AL: Was product commercialization a previous process to the internationalizationprocess? RAR: Exactly.Yearsago,Araucowasaveryglobalcompanyinterms of product commercialization. Its internationalization process was a newstepforward. AL: Didpreviousexperiencefacilitatetheprocess? RAR: Of course. Arauco, the group´s forestry division, has internationalizedAntarChileandCOPEC.Itaccountsforourgrowth. AL: To what extent do political and economic settings influence or have influencedthegroup’sdevelopment? RAR: Wetrytoreducetheirinfluenceasmuchaspossible.Andwetry not to meddle in political matters, maybe because we are foreigners. That doesn’t mean we don´t care about what happens in the country. Quiteonthecontrary,wearealwayswatchfulofstability.Wearewell aware that the group´s evolution depends on, and has always largely depended on, the country’s performance. Therefore, we are always concerned that things go in the right direction. If you ask me, how concernedwereyou?Alwaysdeeplyconcerned.Now,togoasfarasto saywehaveavoiceininfluencingormanagingthecountry’spolicies, no,definitelyno. We have a clear responsibility: to develop our companies in order to benefit the country and our shareholders. If we take into 47 Angelini Interview account all of the group´s companies that quote at Stock Exchanges, shareholders add up to some 16,000. The group´s contribution to Chile´sdevelopmentisundeniable.Somuchsothat,atacertainpoint, Italian Anacleto Angelini, founder of the group, was awarded the “ChileanNationalitybyGrace”,inacknowledgementforeverythinghe had done for the country. No man can receive a higher honor. A countrythatrecognizesyouandthanksyou,inaformalway.Becauseit isanationalAct,thathastobeapprovedbymajorityinParliament,the SenateandtheChamberofDeputies.IfAnacletowasawardedChilean nationality,hemustsurelyhavedonesomethingtoearnit. AL: Thefactthathewasaforeignerwasnotanissue? RAR: It never was. In fact, he was given the “Chilean Nationality by Grace”preciselyatamostdifficulttime,whenwewereinthemidstof litigation with International Paper over COPEC. It was a gesture of nationalrecognition.ToalltheeffortsthatAnacletoandthegrouphad madeforthecountry. Bytheway,weareveryinvolvedwithtradeunions.Asyoumay well understand, being engaged in so many diversified activities, we participate actively in different labor organizations. There is Corma, theforestryunion,andtheenergylaborassociations.AndtheSociety for Industrial Promotion, a very important business organization in Chile that groups businessmen and industrial businesses. Our executivesandmanagersparticipatereadilyintheseunions. AL: Wereyoualwaysthatmuchinvolved? RAR: Notreally,no.Asthegroupgrewandacquiredimportance,we gained more public presence in labor organizations. But we are not talkingleadership,nothingofthesort,theyaretradeunions.Ourfirst and foremost focus is on doing our thing, doing our job well in our companies and productive activities and only then, participating in tradeunions. AL: Thegrouphasinvestedinseveralcoreeconomicsectors.Doesthismake itmoreresponsible? RAR: Yes,ofcourse.Wecan’twashourhandsandneglectourroleas businessmen.Weassumeourresponsibilityforthecountry.Infact,we are members of many committees devoted to major issues regarding Chile´sdevelopment.Wealwaysgetinvitationstoandattendmeetings and seminars where we exchange ideas about the country, business ideas,andstudiesaresubmitted.Wheneveranactorbillisdiscussed, we contribute our experience, we are invited to do so, or we are 48 Creating Emerging Markets consulted. We have ongoing contact with several sectors and institutionswhichholddebatesandthinkaboutthecountry’sfuture. Thegroupitselfhascreatedseveralfoundationsthatcontribute significantly and collaborate in core national areas, such as research, developmentandinnovation,educationandsocialhousing. AL: Whichsectorismostexposed? RAR: As we continue growing and making investments, we become exposedonseveralfronts.Wewereveryexposedtopublicscrutinyon accountofexistingproblemsintheforestrybusiness.Oneofthemwas related to one of the largest projects we have launched: the cellulose plant in Valdivia. The problem got very public and controversial and wastriggeredbythemigrationanddeathofswansinariverwherethe plant pours treated liquid waste. We were not only in the public eye, but some environmentalists crucified us, and several sectors attacked us, even though there was no conclusive study as to the reasons that causedtheproblem.Wewerealwayssurethatwehadnothingtodo withit,andsowemadeitknown.Wehaven’tinventedthesecellulose plants;theyaredevelopedandinstalledbythebesttechnicalexpertsin the world, and with the highest technology. And they operate in countries with the highest environmental standards. There are no better ones; if there were, we would surely go for them. We would never save money in that respect. It is our policy and our responsibility;wehavesaidsorepeatedly. It’s true. But huge communication propaganda was set up against the plant. It’s been difficult trying to change public opinion, makingpeoplebelieve.Inaddition,anotherproblem–thistimedueto mismanagement–surfacedinanotherindustrialplantandresultedin alargenumberofdeadfishintheriver.Itwasasadaccident,butwe admittedwehadmadeamistake.Thoseresponsiblewerefired.Faced with this situation, we made significant investments to improveplant processesandavoidrisks.Wealsoofferedcompensationtofishermen who had suffered damages. In this instance, the company was responsible.ButtheValdiviaconflictisatotallydifferentstoryand,up untilnow,nodecisiveevidencehasbeenpresented. Wehavebeensubjecttopublicexposureonaccountofthese specificproblems.Andtherewillalwaysbeenvironmentalistgroups eagertomagnifythesmallestincident.Now,consideringtheamount andsizeofourplants,itissafetosaythatwewillalwaysbe,oneway oranother,underpublicscrutiny,concerningtheforestrysector. Intheenergysector,wealsohaveaconsiderableresponsibility. Because“CompañíadePetróleosdeChileCopec”,aCOPEC(“Empresas Copec”)affiliate,isthelargestfueldistributorinChileandresponsible for transporting diesel oil, or gas oil, as it is called in Argentina, to almostallpowerplantsinChile.AndChileisaverylongcountry.We needa500to600truckfleettosupplyfueltoallthepowerplantsin 49 Angelini Interview Chile. We have carried out a massive logistical effort, because gas operatingpowerplantsarenotcurrentlyreceivinggasfromArgentina, onaccountoftheproblemsexperiencedbytheneighboringcountryin thisrespect.Inresponsetothislackofgas,COPEC,morethanShelland Esso, has assumed the responsibility of supplying diesel oil. We have more point of sales and an adequate distribution network, so we are responsible for delivering fuel to power plants in order to ensure constantenergygeneration. As you may well imagine, it’s an enormous responsibility. Any accident or lack of supply could result in an energy collapse in Chile. We are also greatly exposed in this area; we have a very big responsibility.Thatiswhywegetconstantinvitationsandconsultation requests from governmental agencies. We keep in permanent contact withtheNationalEnergyCommissionandwiththeMinistryofEnergy, andwehaveasmoothrelationshipwithENAP(“EmpresaNacionaldel Petróleo”),the state’s fuel supplier. In Chile, as opposed toArgentina, wecan’trefineorextractoil. Wecanonlydistributeit;andwebuyit fromENAP.Weholda50%marketshareandover60%ofthegasoil market, since we deliver to power plants. As a consequence, we are underconstantpublicexposureandweareasignificantparticipantin theChileanenergymatrix. AL: Isthereaspecificcompanyareaordoeseachcompanyhandlethe operationsonitsown? RAR: Each company has its staff and its professional and technical teams. AL: Now, as a company mainly based in Chile but linked to very important economic sectors…how do you relate to other international operators? RAR: More than being related, we have partners. For example, in COPEC,wearepartnerswithMobil,whichisnolongerMobilbutExxon Mobil. We have a company called COPEC‐Mobil that distributes lubricants. COPEC has always distributed Mobil in Chile. Recently, COPEC opened a plant that produces oils, lubricants and grease in Quintero,nearValparaiso.TheplantisoursandprovidesuswithEsso and Mobil oils and lubricants. We distribute our products in COPEC´s gasstations.AndEssodoesthesameinitsowngasstations.Asyousee, wearenotonlyrelated,wearebusinesspartners. We are also partners with BP, which supplies and distributes fueltoplanesattheairport.Thisisanannualbid‐basedmarket.Webid togetherwithBP,sinceBPhastheinternationalknow‐howinairports. 50 Creating Emerging Markets AL: After years of being in contact with your Chilean counterparts andbusinessmen,wouldyousaythereissomethinguniqueaboutthem, ascomparedtootherLatinAmericanentrepreneurs? RAR:Is the Chilean business sector in any way different to its counterparts in other countries? I believe it is no different. Businessmen share a common language, common worries and problems, like how to fund operations, how to diversify businesses, howtoshiftbetweenmarkets.It’sallverymuchthesame.Ihavehad chances to relate to many Argentine or Brazilian entrepreneurs. Of course, they have their own domestic issues, but in general, we are pretty much alike. For example, Peruvian fishing businessmen are very similar to their Chilean counterparts. In fact, we have a global groupwithPeru;wearepartnersabroad.Because,intheend,today, wearecloseasaresultofglobalization. AL: In your opinion, why has Chile favored the consolidation of economic groups, as compared to other countries that have not managedtoenablethecreationofholdings? RAR:Well,yes,therearemanyeconomicgroupsinChile,andmaybe thereisanastrologicalexplanationforit.Butthesameappliestothe Peruvianminingandfishingsectors.Infact,currentfishinggroupsare much larger than our group. And mostly of Italian origin too. RAR: Inaway,wehavealreadymentionedthem.Wehavetokeepan eye on the evolution of the different sectors, look at their domestic development or, if deemed necessary, contemplate the possibility of development abroad. Businessmen are never allowed to say “I´m done”.Wecanneversitdowntoseewhathappens.Thereisconstant evolution, the world never stops moving, even faster than we think, and we must provide orientation to our companies and keep on expanding and innovating them. Decide whether or not to develop specific activities or turn to other possibilities. For example, in the fishingsector,weallarelong‐timeplayersandwehavelittlechanceat continued growth. However, we do have to consolidate and diversify ouroperationswithinthefield.Growingabroadishard. Where do growth opportunities lie? In the forestry sector. We arealreadyexploitingsuchopportunitiesinArgentinaandBrazil.And maybewecouldmoveontoColombia,whynotproducepaper,setup paper plants in China?More timber, more elaboratedproducts. We have recently been awarded exploration and exploitation of large coal fields, together with von Appen, another Chilean group with whom we already partner in an electric venture. Whatarewegoingtodowiththecoal?Sellittothepowerplantsthat belongtothecompanywehavecreatedwithvonAppen.Whatelsecan wedo?Whynotestablishapartnershipwithapowerplant?Thefield offersmanyopportunities. AL: Doesthechallengelieinidentifyingmarketniches? RAR: Yes, we do have to identify market niches. This is the energy sectorandtheChileanmarketpresentsconsiderablechallenges.Aswe mentioned before, we are not importing gas from Argentina, because there is no gas in Argentina, not even for Argentinean themselves, so theyareobviouslynotgoingtoprovideuswithgas.Theyhavegas,but theyneedinvestmentstogetitoutoftheearth.Theyhaveaproblem there. So, where do growth options lie? In this sector. There is also potentialintheminingarea,goldandcopper. AL: From your viewpoint as a businessman, what are the greatest hurdlestoforeignintegration? RAR: Therewillalwaysbecomplications,that’safact.Butwearethe most interested party in solving these difficulties. For example, in termsoflegalregulations,morespecificallyinthelaborfield,wewould likemoreflexibility,lessrestrictions,likeintheUnitedStates.InLatin American countries, labor regulations are quite stricter. We believe there’sstillalongwaytogointhisrespect.Today,there´salotoftalk about the need for more labor flexibility in countries like Argentina, Peru,Brazil,allLatinAmericancountriesreally.Weneedtoimplement what the United States implemented a long time ago. We must lose fear;because thereisabeliefthatmore flexiblelabor guaranteeswill mean less employment opportunities. On the contrary, there will be moreemploymentandmoremoney;wehavenodoubtaboutit. Chile has other problems which are being inadequately addressed. Like problems with indigenous groups, especially the Mapuches.There´smuchworktobedoneinthissense.Wehavetried to incorporate the Mapuches and other valuable indigenous peoples, whichadduptosome500,000individuals.Thisincorporationprocess isnotyetcompleted.Chileneedssignificantimprovementinthisfield. Brazilhassimilarproblems. AL: Doesthecompanyintendtoimplementprograms? 52 Creating Emerging Markets RAR: Sure. We have already developed many joint programs. In the forestrysector,weprovideindigenousgroupswithsmallpinetreesfor themtoplant.Weevengivethemmoneyinadvance,becausetheywill later sell us the wood. We intend to expand several plans and programs. We are willing to collaborate in this regard and we have madeourintentionknowntoauthorities. AL: Ourprojectgivesspecialimportancetothenotionofrecovering one’s history, of history as a tool. In your particular case, there was a family tradition. To what extent has the concept of recovering your historyandyouridentityimpactedyourbusinesscareer? RAR: Greatly. I am constantly analyzing and evaluating our track record andpast experiences. Wearethe consequence of our past,we are embedded in a long‐time work philosophy, it’s our history. It’s a short,contemporaneoushistorythatIwasluckyenoughtoexperience by myself. Nobody told me about it, I have lived it myself. Our responsibility is to communicate our work philosophy and our businessvision. However,whenItalkaboutthepast,Idon’tmeanadistantpast. Our history originated in the 1950s, that is, some fifty years ago, but more specifically in the 1980s, when the larger part of our developmenttookplace.It’sabriefhistory. AL: Couldyousaythatthecompanyhasexperiencedsmoothgrowth sincethe1980s? RAR: Iguessso,yes. AL: Howdidyoufeelupontakingoverthegroup´smanagement? RAR: It was a natural process. As I have already explained, things unfoldedgradually,withoutmanywords.Icouldfeelit;Iknewwhere things were heading. So there was no need to ask, for I knew the answers. That was how I came to be where I am now. But I was no exception.Thisprocessappliestoallexecutives.It’snotafamilything, it’s a professional thing. No executive here has his or her hands tied. Everyone, and I mean everyone, is absolutely free to handle their company, and the results speak for themselves. They know it. We do hold fixed monthly board meetings with each company, but there are also daily meetings to discuss important issues. Thus, we build tight links. AL: How would you define your management style? What are its distinctivefeaturesorwhichofitsattributeswouldyouliketostress? 53 Angelini Interview RAR: I try to keep my eyes and ears wide open in order to involve myselfinallofthegroup’sactivitiesandtohelpasmuchaspossible.I try to be available to everyone. I don’t want to sound arrogant, but I remember it was put into print somewhere, I can’t remember where, thatIalwaystakethetimetolistentoeveryone.Unfortunately,timeis brief,butItrytolistentopeople.Myofficedoorisalwaysopen,that’s anotherlessonfromthepast.Youwillneverseemyofficedoorclose. AL: Isthereanythingelseyouwouldliketoaddinordertosumupthe historyofAntarChileorCOPEC? RAR: I am aware that I was lucky to grow up in this family and professional group. And I feel fortunate to be participating in all this and,ontheotherhand,Ialsofeelresponsibleforprojectingthegroup intothefuture.Ihaveexperiencedit,IhavecometoknowitandIhave takenitintomyhands,andnowIamresponsiblefortakingitintothe future,improvingitandenhancingitforfuturegenerations.Thisisno easy task (laughs). It’s a challenge. It’s a tough challenge, because no matterhowgoodyourintentions,therewillalwaysbedifficulties.That is the way business is, you know…markets go down, plants fail…you areneverfreefromencounteringhurdles. Fortunately, the companies have always been solid and they have always paid off incurred debts. At present, debt levels remain reasonable and normal. If an opportunity was to crop up tomorrow, say,likebuyingthousandsofhectaresinBrazil,andadditionalfunding wasrequired,wewouldneedtoaskforcredit.However,thegroupand its companies currently enjoy recognition from world banking institutions. Obtaining credit is no problem whatsoever. And there is noneedtoimplementlargeadvertisingorimagecampaigns,corporate image is strong. This is an important company asset. And we are all responsible for preserving it. Furthermore, today, companies can execute independent projects thanks to their corporate image and position developed over the years. It’s their merit alone, and their people’s,whoareexcellentprofessionals. AL: Howmanypeopleworkforthegroup? RAR: Todaythereareover16,000people,maybealittlemore,some 17,000 direct employees. But we work with many companies that provide services to us, so I guess we are talking double or triple that number. 54 Creating Emerging Markets AL: Thankyouverymuchforyourtime. ADDITIONALQUESTIONS AL: I have some more questions to add to the interview. What is your opiniononAnacletoAngelini’sexperience? RAR: First, I would like to mention my father. He taught me everything I know about personnel management, how to deal with peopleatdifferentworkinglevels,tradeunions,peopleingeneral.He wasinchargeofpersonnelmanagementformanyyearsandhehada directrelationshipwithfishingunionsupnorth.Hedevotedpartofhis life to discussing with them, talking to them, and the company never suffered a strike in those years. It was my father’s achievement. He passedthatknowledgeontomeandithasstuckwithme. On the other hand, my uncle had a brilliant vision, an entrepreneurialvision;hehadagiftreally.Hecoulddoawaywithall theunnecessarystuffandgetrighttotheheartofthings.Especiallyin business. He could see right through things. Whenever he was presented with a business, it took him two minutes to decipher its advantagesanddisadvantages,sinceallbusinesseshaveprosandcons. Hecoulddetectthemimmediately.Hewasarealgeniusatthat.Itryto keep to this kind of analysis. Why design new approaches when existing ones have proven to be adequate? Our responsibility is to followthiscriticalbusinessthinking,tocopyit,inthecorrectsenseof theword.Ithasproventobeappropriate,brilliant,whychangeitthen? AL: Did he have an educational vision in terms of explaining why thingsweredone? RAR: Hewasthekindofmanwholikedtodiscussthingsdeeply.He would hold long conversations with his assistants and group executives. He was not fond of external exposure, but his internal presencewasverystrong.Heexaminedideasfromallangles.AsIhave alreadymentioned,hewascalledthetwenty‐fivehoursadayman,yes, twenty‐five hours a day, because he never stop talking to people. He wasnotalone. AL: Didhetalktomanypeople? 55 Angelini Interview RAR: Hetalkedtomanypeople.Hewouldthinkthingsoverandover and make people think. People would go home with the problem in their head and, the next day, the problem would not be solved, but rathercarriedovertothefollowingday,“Let’sfigureitouttomorrow, and tomorrow we’ll figure it out”. As a consequence of so much discussionandconversation,thingscouldchangecompletelyorevolve overnight. AL: Washeamanopentoanalysisanddialogue? RAR: Absolutely.Andhehadanotherimportantattribute,orfeature: hewasgoodatgivingadvice.Alotofpeoplewouldaskforhisadvice, even people managing a gas station, a work site or a small business. Theywouldsay,“Look,Ihavethisproblem…whatdoyouthink?”And he would give them his opinion, that they had to do this and that, he wouldjustmentiontwoorthreethings,crucialthings. AL: Whatdrovehimtobuildorcreatenewbusinesses? RAR: Anacleto was a born entrepreneur and a very creative person. He was always moving, never resting, never still. Deep down, it was likehedidnotfeelsatisfiedwithhimselfbecauseheknewhecoulddo more,contributemore.However,Idoubtthisisagooddescriptionofa personwhoalwayswantedtogivemore.AndIdon’tmeanhewanted more,toearnmore.Whywouldheneedtoearnmoreatninety‐three? He felt the need to give more of himself, to sacrifice himself more, becauseatninety‐threehefeltcapableofinventingnewthings.Itwas partofhispersonality.Iwouldsayitwasagift,atalent. I saw him daily, so I guess you could say we almost lived together,andtheexperiencewashuge.Ihavetriedtoputhisbusiness perspectiveandhiswayoflivingintopractice.Toavoidthinkingthat thingsaredone,finished,completed,orthatyouhavereachedacertain pointandthat’sthat.Anacletothoughtexactlytheopposite.Hisdesire wastocreate,togrow,toimproveandtoinnovate. AL: Didhecombinethisphilosophywithalowprofile? RAR: He used to tell us, “You have to work, not show yourself off, that’suseless,youhavegottowork”.Thatwaspartofhisphilosophy too. AL: Didhechangeitovertime? RAR: No,never.Hedidnotparticipateinsocialevents,exceptwhenit was absolutely necessary. His social life was limited to family and friends. He kept a very low profile. But we maintain the philosophy; we preserve it, because it has yieldedgoodresults.Iamnotsayingitisgoodorbadphilosophy,only thatresultsarevisible. Everyone consulted him. Not because he was influential, but because he was smart. Everyone asked him for advice. And he gave totally selfless opinions. He had the ability to look beyond his own interests. Over time, this feature became more striking; he pursued nothing. AL: Iguessyoumusthavealotofanecdotesassociatedwiththisgreat personality. RAR: Alot. AL: Butheneverwrotehismemoirs.
