Condiciones Generales de Venta
LUXINTEC, S.L. que diseña, fabrica y suministra sistemas de iluminación bajo la marca LUXINTEC, especifica las siguientes condiciones generales de venta que se
aplicarán al cursar cualquier pedido de material a LUXINTEC, S.L.
Las condiciones generales de la venta indicadas a continuación serán siempre aplicadas sin excepción, a no ser que LUXINTEC, S.L. derogue expresamente por
escrito la vigencia de alguna de ellas para un caso concreto.
LUXINTEC, S.L. se reserva el derecho a actualizar estas condiciones generales de venta sin previo aviso.
Todo pedido a LUXINTEC, S.L. implica la completa aceptación y conocimiento de estas condiciones generales de venta, las cuales no pueden ser modificadas por
estipulaciones contrarias contenidas en una hoja de pedido o en condiciones generales de compra.
1) GESTIÓN DE PEDIDOS.- El importe mínimo de pedido requerido es de 150 EUR. Una vez recibido y cursado un pedido en nuestras oficinas y puesto en
marcha el proceso de producción, dicho pedido no podrá ser cancelado.
El Comprador es el único responsable de la elección del producto objeto de la compraventa, así como del uso o función a que el mismo se destina. Por
consiguiente, y en consonancia con lo referido en sus catálogos, tarifas y/o informaciones generales sobre el producto, LUXINTEC, S.L. no se hace responsable ni
garantiza que el producto sea el adecuado para las aplicaciones técnicas pretendidas por el Comprador, ni para alcanzar, en todo o en parte, los objetivos
previstos por éste al de efectuar su compra de los productos.
2) PLAZO DE ENTREGA.- El plazo de entrega del pedido se confirmará en el momento de cursar y formalmente admitir el pedido. El plazo indicado tendrá
siempre carácter estimativo. Los retrasos que pudiesen existir en el plazo de entrega no implicarán la cancelación del pedido ni la imputación de penalizaciones,
salvo que se haya convenido expresamente lo contrario.
3) LUGAR DE ENTREGA Y PORTES DE ENVÍO.- El material suministrado se entregará en península y Baleares a portes pagados, a través de nuestra agencia de
transportes habitual siempre que el importe neto (impuestos excluidos) del pedido supere los 600 EUR. En el caso de que el importe neto del pedido no supere
los 600 EUR se abonarán por el comprador los gastos de envío reflejando dicho importe en la factura remitida al cliente. El comprador también podrá optar por
que se le remita el pedido a portes debidos utilizando para ello la agencia designada específicamente por él en el momento de cursar el pedido.
Salvo acuerdo expreso, los envíos a portes pagados o con portes cargados en factura, incluirán exclusivamente el transporte de la mercancía a la dirección
acordada, no la descarga de dicha mercancía en destino. Las entregas se realizarán siempre en la dirección indicada en el pedido. El comprador, podrá solicitar
el envío de la mercancía a una dirección distinta de la indicada en el documento de pedido, para ello habrá de notificar por escrito dicha solicitud a LUXINTEC,
S.L. En este caso, si se originaren costes de transporte este cambio serán a cargo del comprador. El comprador tiene la obligación de conformar el albarán de
entrega del transportista con el sello de su empresa y la fecha de recepción del material. Si no existiera sello deberá conformar el albarán del transportista con el
nombre y NIF de la persona que recepciona el material y la fecha de recepción.
En el albarán del transportista debe anotarse cualquier anomalía detectada en el momento de la mercancía. De no ser así se establece un periodo máximo de 24
horas posteriores a la recepción del material para realizar reclamaciones. Pasado este periodo se entiende que la mercancía ha sido entregada correctamente y
por lo tanto no se aceptará ninguna reclamación posterior. Las posibles reclamaciones frente al transportista, en el caso de que se constaten a la llegada de las
mercancías, bien por diferencias en la cantidad, bien por taras debidas al transporte deberán realizarse de forma inmediata en los documentos de entrega
mismos que estén en posesión del transportista y ser confirmadas al transportista por carta certificada con acuse de recibo en los tres días laborales siguientes a
la fecha de entrega.
4) TRANSMISIÓN DEL RIESGO.- Salvo que los términos de la factura indiquen otra cosa, el riesgo se transfiere al Comprador en el momento de la llegada de las
mercancías al destino indicado por él para la entrega o en el momento en que las mismas sean puestas a disposición de aquel en las instalaciones de LUXINTEC,
S.L. para su recogida por parte o por cuenta del Comprador. El riesgo se transfiere incluso si el Comprador decide retrasar su recogida.
5) FUERZA MAYOR.-En supuestos de fuerza mayor que obstaculicen la fabricación o entrega de las mercancías, LUXINTEC, S.L. tendrá derecho de retrasarla, y en
caso de que las causas persistan durante más de un mes, a anular los pedidos, sin obligación de indemnización en ningún caso. Serán considerados supuestos
de fuerza mayor, entre otros, huelgas, falta de transporte, accidentes en las fábricas, incendios y, en general, toda causa independiente de la voluntad de
LUXINTEC, S.L.
6) RECLAMACIONES Y DEVOLUCIONES.- LUXINTEC S.L. fabrica y suministra sus sistemas siempre bajo pedido. Por este motivo, sólo se aceptarán devoluciones
en los siguientes supuestos:
• Cuando haya existido un error de suministro por parte de LUXINTEC, S.L., es decir, que no se corresponda el material reflejado en la confirmación de pedido o
presupuesto aceptado con el material recibido. La solicitud de devolución deberá tener lugar dentro de las 24 horas siguientes a la recepción del material, en
virtud de lo indicado en el punto 3 de este documento.
• Cuando haya existido un defecto de funcionamiento en el material y se requiera una revisión del mismo para determinar el origen del defecto. La solicitud de
devolución debe tener lugar dentro del período de garantía del producto.
En cualquiera de los dos supuestos anteriores, para que pueda tramitarse la devolución, es necesario:
• Contar con la aceptación expresa de LUXINTEC, S.L.
• Que la mercancía vaya acompañada de un albarán de salida donde se haga constar el código de al menos un de los siguientes documentos asociables a la
mercancía: presupuesto aceptado, pedido, albarán o factura.
• Los portes de devolución deben ser a cuenta del remitente de la mercancía.
Si efectivamente ha existido un error de suministro o defecto de fabricación, LUXINTEC, S.L. repondrá sin cargo y a portes pagados dicha mercancía.
Si el análisis en laboratorio de la mercancía determinase que la mercancía no presenta ningún defecto de fabricación, LUXINTEC, S.L. podrá repercutir los gastos
de laboratorio.
LUXINTEC, S.L. decidirá caso a caso cómo proceder en solicitudes de devolución que no estén contempladas en los supuestos anteriores.
7) PRECIO Y CONDICIONES DE PAGO.- El precio de compraventa es el precio mencionado en la confirmación de pedido o presupuesto aceptado. Por este
motivo, es estrictamente necesario que los pedidos enviados a LUXINTEC, S.L. tengan siempre su correspondiente valoración, no aceptándose pedidos sin
valorar. LUXINTEC, S.L. factura al día siguiente de la fecha de expedición de material, estableciendo en la misma un período de vencimiento que comienza en
dicha fecha, independientemente del día de recepción de la factura física. LUXINTEC, S.L. facilitará la copia en PDF de la factura a solicitud del comprador. En
determinados supuestos el pedido únicamente será aceptado si se cumplen por parte del comprador determinados requisitos de forma de pago anticipada. Los
precios indicados en nuestras tarifas, presupuestos y confirmaciones de pedido se entienden sin IVA.
LUXINTEC, S.L. se reserva el derecho de modificaciones de precios, que se comunicará a ser posible en el menor plazo de tiempo. El pago del precio del pedido
se verificará en el plazo y en la forma pactada, siendo por cuenta del Cliente todos los gastos derivados del sistema de pago elegido. En ausencia de acuerdo, el
pago se hará en efectivo en las dependencias de LUXINTEC, S.L., no más tarde de 30 días naturales desde la fecha de la correspondiente factura. Si se utilizara
cualquier otro medio de pago, éste no se entenderá efectuado hasta el ingreso efectivo de la cantidad correspondiente en la cuenta bancaria de LUXINTEC, S.L.
El pago del precio se hará efectivo en su totalidad, no admitiéndose pagos parciales. LUXINTEC, S.L. tendrá derecho a optar por el cumplimiento forzoso del
Contrato, o su resolución si el Cliente se encuentra en cualquiera de las siguientes situaciones:
• Incumple su obligación de pago o cualquier otra obligación derivada del Contrato del presente pedido, o de cualquier otro contrato celebrado con LUXINTEC,
S.L.
• Se encuentra en concurso de acreedores, liquidación o cualquier otra situación de insolvencia.
Si el Cliente no cumpliera con su obligación de pago a más tardar en la fecha de vencimiento, se abonarán por parte de comprador incumplidor unos intereses
de demora por importe de interés legal del dinero publicado en el BOE incrementado en 7 puntos porcentuales, reservándose LUXINTEC, S.L. la posibilidad de
reclamar otros daños por la demora, así como la reclamación de otros daños de mayor alcance.
8) RESERVA DE DOMINIO.- Sin perjuicio de su entrega y transmisión del riesgo al Cliente, la Mercancía será propiedad del Vendedor hasta el pago completo de
su precio, y de cualquier otra cantidad adeudada por el Cliente al Vendedor por cualquier otro concepto que sea vencida, líquida, exigible y no haya sido
satisfecha.
9) PROTECCIÓN DE DATOS.- El Vendedor incorporará los datos de carácter personal que el Comprador le proporcione a través de formularios, de solicitudes online, de pedidos de productos o servicios o a través de cualquier otra forma en el fichero de Clientes y así como los datos del Comprador que se obtengan a
través de ficheros comunes de morosidad y solvencia patrimonial o cualquier otro medio legítimo. LUXINTEC, S.L. garantiza la adopción de las medidas
necesarias para asegurar el tratamiento confidencial de dichos datos y para evitar su alteración, pérdida, tratamiento o acceso no autorizado con arreglo a lo
establecido en la legislación vigente. El Comprador que tenga datos registrados en el fichero de Clientes del Vendedor podrá en cualquier momento ejercer el
derecho a acceder, rectificar y en su caso, cancelar los datos de carácter personal suministrados a LUXINTEC, S.L. mediante comunicación escrita dirigida a
LUXINTEC, S.L. C/Pino Negral 13-14, S.I. El Brizo II, 47162 Aldeamayor de San Martín. VALLADOLID – España.
10) AVISO LEGAL.- Se aplicará la legislación del Estado de España. No será de aplicación la Convención de las Naciones Unidas sobre los contratos de
compraventa internacional de mercaderías, hecha en Viena el 11 de abril de 1980, ni cualquier otra que la sustituya. Para cualquier controversia relacionada
con interpretación de estas condiciones generales de venta y suministro o que se deriven de la operación de venta y suministro, comprador y vendedor se
someten expresamente a la competencia de los jueces y tribunales de Valladolid (España).

General Sale Conditions
LUXINTEC, S.L. which designs, manufactures and supplies lighting systems under the trademark LUXINTEC, specifies the following general sale conditions that will
be applied in every purchase order sent to LUXINTEC, S.L.
The general sale conditions indicated below will be always applied without exception, unless LUXINTEC, S.L. expressly revokes in written the applicability of any of
them for a particular case.
LUXINTEC, S.L. reserves its right to update this general sale conditions without notice.
Every order sent to LUXINTEC, S.L. involves the complete acceptance and knowledge of these general sale conditions, which can not be modified by opposite
stipulations contained in any order document or general conditions of purchase.
1) ORDERS MANAGEMENT.- The required minimum order amount is 150 EUR. Once the order has been received, and the manufacturing process is in progress,
this order cannot be cancelled.
The buyer is the only responsible for the choice of the product which is the object of the dealing, and also the use and function assigned to the product.
Consequently, and consistent with their catalogues, price lists and/or general information about the product, LUXINTEC, S.L. is not responsible and does not
guarantee neither that the product will be appropriate for the technical applications expected by the buyer, nor also to achieve, wholly or partially, the objectives
planned for him in the moment of the purchasing of the products.
2) DELIVERY TIME.- The delivery time of the order will be confirmed in the moment of formal acceptance of the order. The delivery time indicated will be always
estimative. The delays that could occur in the delivery time will imply neither cancellation nor imputation of any penalty, unless the opposite has been expressly
agreed.
3) DELIVERY PLACE AND FREIGHT.- The material will be supplied in the Iberian Peninsula and in Balearic Islands by carriage paid, through our regular transport
agency when the order net amount (taxes excluded) exceed 600 EUR. In case that the order net amount does not exceed 600 EUR freight costs will be paid by the
buyer and they will be reflected on the invoice sent to the client. The buyer could also decide whether to ship the order by costs on delivery using for that the
transport agency specifically appointed by the buyer.
The delivery will always be made on the delivery address indicated on the order. The buyer could apply for the shipping of the goods to a different address from
the order document, and in this case written notice of this request must be made to LUXINTEC, S.L. In this case, when transport costs arise from this change, they
will be paid by the buyer.
Unless otherwise agreed, shipments on account of LUXINTEC do not include discharging of goods.
The buyer has the duty to agree on the carrier’s delivery note with the stamp of its company and the date of reception of the goods. If no stamp is available,
carrier’s delivery note must be agreed by the name and ID Number of the person who receive the goods and the date of reception.
If any anomaly is detected, it must be written down on the carrier’s delivery note in the moment of reception of the goods. In any other case, a maximum period
of 24 hours after the reception will be established to make any complain. After this period it will be understood that the goods have been correctly delivered and
any later complaint will not be accepted. The possible complaints in front of the carrier will be confirmed in the arrival of the goods, either of differences in
quantities or defects due to the transport, must be realized immediately on the carrier’s delivery documents and be confirmed to the carrier by registered letter
with acknowledgment of receipt in three labour days following the delivery date.
4) RISK TRANSMISSION.- Unless the invoice terms point out any other thing, risk is transferred to the buyer in the moment of the goods’ arrival to the destination
indicated by him for the delivery, or in the moment when these will be available in LUXINTEC, S.L. premises for the buyer to pick up by himself or on behalf of
him. The risk is transferred even if the buyer decides to delay the collection of the goods.
5) FORCE MAJEURE.- In the event of force majeure that obstruct the manufacturing or delivery of the goods, LUXINTEC, S.L. will have the right to postpone it, and
in case the causes persist for a month, to cancel the order without any obligation of compensation in any case. Force majeure will be, among others, strikes, lack
of transport, accidents in the factories, fires and, in general, any cause for reasons beyond the control of LUXINTEC, S.L.
6) COMPLAINTS AND RETURNS.- LUXINTEC, S.L. manufactures and supplies its solutions always on request. For this reason, returns will be accepted only under
the following assumptions:
• When there has been a supply mistake made by LUXINTEC, S.L., this is, that the goods received do not correspond with the goods indicated on the confirmation
order document or in the accepted quotation. The return application must take place inside the following 24 hours from the reception of the goods, as per the
third point of this document.
• When there is an operation fault of the goods and a review is required to determine the origin of the fault. The return application must take place inside the
guarantee period of the product.
In any of the previous assumptions, for the return to be processed, it is needed:
• To have the stated approval of LUXINTEC, S.L.
• That the goods have a departure delivery note where, at least one of the documents related to the material is mentioned: accepted quotation, order, delivery
note or invoice number.
• Freight costs must be paid by the sender of the goods.
• In case there is a supply mistake or manufacturing fault, LUXINTEC, S.L. will replace without any charge and by carriage paid these goods.
If the goods analysis made on the laboratory will confirm that they do not have any manufacturing fault, LUXINTEC, S.L. could charge the laboratory costs.
LUXINTEC, S.L. will decide case by case how to proceed in return applications that are not considered in the previous assumptions.
7) PRICE AND PAYMENT CONDITIONS.- The price of the sale is the price mentioned on the confirmation order document or approved quotation. For this reason,
it is strictly needed that all orders sent to LUXINTEC, S.L. include always its proper valuation, not being accepted any order without value. LUXINTEC, S.L. invoices
the next day after expedition of the goods, establishing on it an expiry date that starts in this date, independently of the day of reception of the physical invoice.
LUXINTEC, S.L. will facilitate a PDF copy of the invoice by request of the buyer.
In some assumptions the order will be only accepted if certain requirements regarding payment in advance are fulfilled.
The prices indicated in our price lists, quotations and confirmation order documents are understood without VAT.
LUXINTEC, S.L. reserves its right to change prices, which will be communicated as soon possible.
The payment of the order price will be verified in the terms and way agreed, being on the client’s behalf all the expenses resulted from the chosen payment
system. In absence of agreement, payment will be effective in LUXINTEC, S.L. premises, no later than 30 natural days from the date of the respective invoice. If
any other payment method is used, this will not be understood as made until the effective income in LUXINTEC, S.L. bank account. The payment of the price will
be made effective totally, not allowing any partial payment.
LUXINTEC, S.L. will have the right to apply for the contract enforcement, or its resolution in case the client is in any of the following situations:
• He breaks his payment obligation or any other obligation from the contract of the current order, or any other contract signed with LUXINTEC, S.L.
• He has entered into an arrangement of creditors, goes into liquidation or suffers any other insolvency situation.
If the client does not carry out his obligation of payment later on the expiry date, default interests will be paid by the defaulting buyer to the amount of the legal
interest rate published by BOE (Official State Gazette) and increased 7 percentage points, reserving LUXINTEC, S.L. the possibility to demand other damages for
delay, as well as other greater damages.
8) RETENTION OF TITLE.- Without prejudice to the submission and retention of title to the client, the goods will be property of the seller until the complete
payment of its price, and any other owed quantity by the client to the seller for any other concept that will be due or payable, liquid, demandable and that had
not been satisfied.
9) DATA PROTECTION.- The seller will incorporate any personal data that the buyer proportionates through forms, on-line requests, product or service orders o
any other way into the clients’ files, as well as any buyer data that could be obtained from ordinary slowness and patrimonial solvency files or any other
legitimate form. LUXINTEC, S.L. guarantees the adoption of the necessary measures to make sure the confidential treatment of the data, and to avoid its
alteration, loss, not authorised treatment or access according to the established on the current legislation. The buyer who has registered data on the seller’s
clients’ file could at any time exercise the right to access, rectify and in case, cancel the personal data provided to LUXINTEC, S.L. by written communication
addressed to LUXINTEC, S.L. C/Pino Negral 13-14, S.I. El Brizo II, 47162 Aldeamayor de San Martín. VALLADOLID – SPAIN.
10) LEGAL NOTICE.- The applicable legislation will be Spanish legislation. The UN Convention on Contracts for the International Sales of Goods made in Vienna
shall not be applied, or any other which replaces it. For any controversy related to the interpretation of this general sale and supply conditions or that are derived
from the operation of sale and supply, buyer and seller expressly submit to the competence of the Courts of Valladolid (SPAIN).
