The following articles constitute the entire
agreement between CHECCHI AND COMPANY
CONSULTING INC. (hereinafter “Checchi” or
“Contractor”), Tax Identity Number –located at
1899 L St. NW Washington, DC 20036, and
XXXXXXXXX (hereinafter “Subcontractor”), NIT

Article I below, such services to be performed for
the Contractor under Contract No. AID-514-C-1300001 with the United States Agency for
International Development (hereinafter “USAID”
or “Government”) to support the implementation
of the Access to Justice Activity (AJA). The terms
and conditions of this Subcontract as set forth
below
supersede
all
communications,
representations or agreements, whether oral or
written, between the parties with respect to the
subject matter of this Subcontract.
No
agreement, modification, or understanding varying
or extending the terms or conditions of this
Subcontract will be binding, unless in writing and
properly executed.

conforme al Artículo I, siguiente, servicios que se
prestarán para el Contratante de conformidad con
el Contrato Número AID-514-C-13-00001 con la
Agencia de Estados Unidos para el Desarrollo
Internacional (en lo sucesivo, “USAID” o el
“Gobierno”) para apoyar la implementación del
Proyecto de Acceso a la Justicia (AJA por sus
siglas en inglés). Los términos y condiciones del
presente Subcontrato, como a continuación se
exponen,
prevalecen
sobre
todas
las
comunicaciones, manifestaciones o acuerdos,
sean verbales o por escrito, entre las partes
respecto al objeto del presente Subcontrato. No
será vinculante ningún acuerdo, modificación o
entendimiento que modifique o amplíe los
términos o condiciones del presente Subcontrato,
salvo que se realice de forma adecuada y por
escrito.

the costs associated with this Fixed Price
Subcontract exceed this amount; the excess
costs will be borne by the Subcontractor and
not by Checchi.
Article V – Technical Direction
The Contractor’s designated representative in
Colombia is Stephen McFarland, Chief of Party of
the Access to Justice Activity. All personnel
provided by the Subcontractor in Colombia shall
report to, and take direction from, the Chief of
Party, or for technical matters, his or her
designee.





Article VII – Intellectual Property Rights

The ownership of all copyright and other
intellectual property rights in respect of any data
compilations, research, spreadsheets, graphs,
reports, diagrams, designs, work products,
software, or any other documents, developed in
connection with this fixed price subcontract will
exclusively vest in or remain with Checchi/USAID,
which shall have all proprietary rights therein,
notwithstanding that the Subcontractor or its
employees may be the author of the intellectual
property.
All documents relating to the
intellectual property or otherwise connected with
this Subcontract, the services, or duties must be
returned or delivered to Checchi at the time of the
expiration or termination of the Subcontract. The
Subcontractor agrees not to publish or make use
of any of the intellectual property, or documents
relating thereto, without the prior written approval
of Checchi/USAID and proper attribution.
Methodologies developed by the Subcontractor
and used during the development of the activities
presented in Annex A will continue to be property
of the Subcontractor. Exception is made to the
methodologies
adjusted
during
the
implementation of the activities under this
Subcontract.
La titularidad de todos los derechos de autor y
otros derechos de propiedad intelectual respecto a
cualesquiera
recopilaciones
de
datos,
investigación, hojas de cálculo, gráficos, informes,
croquis, diseños, productos de trabajo, software,
o cualesquiera otros documentos, desarrollados
con relación al presente subcontrato a precio fijo
corresponderá exclusivamente o
quedará en
Checchi/USAID, quien dispondrá de todos los
derechos de propiedad respecto a los mismos, sin
perjuicio del hecho de que el Subcontratista o sus
empleados sean el autor de la propiedad
intelectual. Todos los documentos relacionados
con la propiedad intelectual o vinculados de otra
forma con el presente Subcontrato, los servicios,
o los deberes deberán ser devueltos o entregados
a Checchi en el momento del vencimiento o
resolución del Subcontrato. El Subcontratista se
compromete a no publicar o hacer uso de
cualquier propiedad intelectual, o documentos
relacionados con la misma, sin la aprobación
previa de Checchi/USAID otorgada por escrito y la
atribución propia. Las metodologías que hayan
sido desarrollas por el Subcontratista y que aporte
para el desarrollo de las actividades enunciadas
en el Anexo A seguirán siendo de su propiedad.
Se exceptúan de esta disposición los ajustes a las
mismas que sea necesario realizar para el

Article VIII – Organizational Conflicts of Interest
Artículo

Organizacionales
It is understood and agreed that some of the work
performed under this Subcontract may place the
Subcontractor or its personnel in the position of
having an organizational conflict of interest. Such
an organizational conflict of interest may impair
the objectivity of the Subcontractor or its
personnel in performing the work. To preclude or
mitigate any potential conflicts of interest, the
Subcontractor agrees not to undertake any activity
which may result in an organizational conflict of
interest without first notifying Checchi of such
potential conflict of interest and receiving written
approval to undertake such activities from the
Chief of Party.

Subcontrato podría colocar al Subcontratista o su
personal en la posición de tener un conflicto de
interés organizacional. Tal conflicto de interés
organizacional podría afectar la objetividad del

trabajo. Para impedir o mitigar cualquier posible
conflicto de interés, el Subcontratista se
compromete a no emprender ninguna actividad
que pueda resultar en un conflicto de interés
organizacional sin notificar a Checchi, en primer
lugar, de dicho posible conflicto de interés y sin
recibir la aprobación por escrito para emprender
dichas actividades por parte del Director.

of Subcontractor reports and deliverables,
Checchi will review the quality of

help determine the Subcontractor’s suitability
for future subcontracts.

and financial data to ensure compliance with the
Training Results and Information Network
(TraiNet) to document all training activities funded
by this Subcontract.

Information Network (TraiNet) para documentar

The TraiNet systems applies to any in-country
training programs or sub-programs of two
consecutive class days or more in duration, or 16
contact hours or more scheduled intermittently.
However, the Subcontractor should report any and
all other in-country training events that are critical
to their development efforts.
The Subcontractor must consolidate the training
data according to training program or subprogram. The data must be reported by program
and not by individual participants as is required by
USAID.

"Sex trafficking" means the recruitment,

of a person for the purpose of a commercial sex
act.

B. Policy. The United States Government has
adopted a zero tolerance policy regarding
trafficking in persons. Contractors and
Contractor employees shall not-- (1) Engage in
severe forms of trafficking in persons during
the period of performance of the contract; (2)
Procure commercial sex acts during the period
of performance of the contract; or (3) Use
forced labor in the performance of the
contract.

C. Subcontractor

Subcontractor shall-- (1) Notify its employees
of-- (i) The United States Government's zero
tolerance policy described in paragraph (B) of
this clause; and (ii) The actions that will be
taken against employees for violations of this
policy. Such actions may include, but are not
limited to, removal from the contract,
reduction in benefits, or termination of
employment; and (2) Take appropriate action,
up to and including termination, against
employees or subcontractors that violate the
policy in paragraph (B) of this clause.

D. Notification. The Subcontractor shall inform
the Chief of Party/USAID immediately of-- (1)
Any information it receives from any source
(including host country law enforcement) that
alleges a Contractor employee, Subcontractor,
or Subcontractor employee has engaged in
conduct that violates this policy; and (2) Any
actions taken against Contractor employees,
subcontractors, or Subcontractor employees
pursuant to this clause.
D. Notificación.

E. Remedies. In addition to other remedies
available to the Government, the Contractor's
failure to comply with the requirements of
paragraphs (C), (D), or (F) of this clause may
result in-- (1) Requiring the Contractor to
remove a Contractor employee or employees
from the performance of the contract; (2)
Requiring the Contractor to terminate a
subcontract; (3) Suspension of contract
payments; (4) Loss of award fee, consistent
with the award fee plan, for the performance
period in which the Government determined
Contractor non-compliance; (5) Termination of
the contract for default or cause, in
accordance with the termination clause of this
contract; or (6) Suspension or debarment.
E. Acciones.

A. No individual shall be engaged or assigned to
perform work outside the Colombia under this
Subcontract without Checchi’s prior written
approval. Checchi will assist the Subcontractor
in obtaining the necessary USAID approvals
and travel clearances for all such individuals.

name or through the agency of another
person, in any business, profession or
occupation in Colombia or other foreign
countries to which he/she is assigned, nor
shall he/she make loans or investments to or
in any such business, profession, or
occupation in that country or countries. This
provision does not apply to employees or
consultants who are citizens or legal residents
of Colombia.

amendments to this Subcontract.

Subcontrato deberán acordarse por escrito entre

Article XXIV – Disputes
Artículo XXIV – Controversias
A. In the event that the Subcontractor and the
Contractor are unable to settle any matter that
may be in dispute between them, they agree
to final and binding arbitration of all such
claims. Such claims shall be deemed waived
by the Subcontractor unless the Subcontractor
requests arbitration of its claim within six
months of the event or occurrence which gives
rise to the claim.

B. Arbitration shall take place in Washington,
D.C., in accordance with the current rules of
the American Arbitration Association.

C. The Subcontractor consents to the personal
jurisdiction of the courts of Washington, D.C.,
for the purpose of judicial resolution of all
disputes not subject to arbitration and
enforcement of arbitration awards.
The
Subcontractor further agrees that any process,
notice of motion or other filing in either of said
courts may be served outside Washington,
D.C. by registered mail or personal service,
provided a reasonable time for appearance is
allowed or in such manner as may be
permissible under the rules of said courts.
While arbitration or judicial proceedings are
pending, the Subcontractor shall continue
performance as required by Checchi.
C. El Subcontratista otorga su consentimiento a

tribunales de Washington, D.C., a efectos de

resolución
judicial
de
cualquier
controversia no sujetas al arbitraje y la
ejecución de las resoluciones arbitrales.

tribunales podrán notificarse fuera de

mediante
correo
certificado o entrega personal, siempre que
se permita un tiempo razonable para

que sea permisible de acuerdo con las
normas de dichos tribunales. Mientras sigan
abiertos el arbitraje o los procesos judiciales,
el Subcontratista seguirá su cumplimiento
según exija Checchi.
Article XXV – Termination

A. Checchi reserves the right to terminate this
Subcontract upon written notice to the
Subcontractor, should Checchi's contract with
USAID be terminated or for other just cause.
In the event of termination of the Subcontract,
the Subcontractor shall be reimbursed for
costs incurred up to the effective date of
termination.

presente Subcontrato mediante notificación
por escrito al Subcontratista, en el caso de
que el contrato de Checchi con USAID fuera
resuelto o por otra causa justificada. En el
supuesto de la resolución del Subcontrato, el

efectiva de la resolución.
B. Just cause for termination of the Subcontract
includes, but is not limited to, the following:
the deliberate and/or repeated disregard for
the laws and regulations of the country in
which the work is being performed; the
continued existence of conflict of interest after
advice that such conflict exists; or general
behavior unbecoming a professional serving as
part of the United States assistance program.

Unacceptable performance shall be defined as
unauthorized absences or failure to undertake
or complete in a satisfactory manner assigned
tasks that are within the scope of this
Subcontract, and when such absences or
failure are within the control of the
Subcontractor's personnel.
Article XXVI– Applicable Laws

Artículo XXVI – Legislación Aplicable
A. The Subcontractor agrees that where a FAR or
USAID provision or clause or any other Federal
statute, regulation or clause is cited,
incorporated, or involved in this Subcontract,
Federal law shall govern the interpretation and
application thereof.

B. The Subcontractor agrees to perform in
accordance with the applicable laws and
regulations of the U.S. Government and the
cooperating country.

C. Where no Federal law is applicable, the
