Chairperson’s Message 46TH Annual Report . 2009 It has been a very important year for our Credit Union as we continue to solidify our financial foundations and provide quality products and services. You are probably aware of the economic and financial turmoil in the global marketplace. Your Credit Union is weathering this crisis very well since we are stable and prudent in our decision and policy making, and our actions. For example, we have a well defined lending policy and this allows us to provide financial products that fit our member’s needs. We do this because we care about our members and their financial health, and we believe in our mission which is: To provide reliable financial services of the highest quality, and deliver personalized solutions for you and your family worldwide. We have grown in many ways – our total assets are over US$137 million (as of December 2008) – an increase of US$ 6 million over the last year, and we currently have 5, 456 member accounts. This year two new organizations have joined our Credit Union – ATA-American Translator’s Association and in early 2009: RIMS-Risk and Insurance Management Society, and we welcome them as members. We continue to improve our service delivery via consistent technological innovations to help you reach your accounts via internet. Our e-Voting for Board of Directors and Credit Committee, for the first time this year, is via our well established on-line home banking capability. We also have more share branches to serve you when you are traveling, relocating, or away from the Credit Union office. Please check our website for a listing of national and international locations – you will be pleased to find share branching in Ecuador, Germany, Italy and others in addition to locations in the U.S.A. The ATM network that we belong to is growing more than ever and there are now over 28,000 locations where you can get free services. Each member can appreciate the hard work and efforts of our staff – these are reflected in the loyalty bonus that you received this March. This is our way of recognizing your support and of thanking you for your loyalty. We continue to be proactive in relationship building within the credit union movement in the U.S.A. Our CEO, Carlos Calderon, is currently serving as Chair, Board of Directors, NLCUP-Network of Latino Credit Unions and Professionals; member of the Hispanic Task Force, CUNACredit Union National Association, and on the Board of Directors of 5 the Credit Union Mortgage Association, Fairfax County, Virginia. This year, he was invited to make presentations at conferences sponsored by NAFCU-National Association of Federal Credit Unions in San Diego, California; and the National Foundation for Women Legislators annual conference held in Sarasota, Florida; and, National Federation of Community Development Credit Unions in Dallas Texas. I continue to serve on the Advisory Committee, Region II, NAFCU-National Association of Federal Credit Unions. These multiple results are due to the dedicated staff and their excellence in performance. Our staff is what distinguishes our Credit Union from others – they are friendly, caring, efficient, and place you as the focus of their services. We pause to again remember Andres Yelicie, colleague and friend, whose young life was taken too soon. This was an extraordinarily painful passing for all of us and we thank members for their understanding as we dealt with this tragedy. A special thank you is extended for all the Credit Union volunteers for giving of your time and advice. Soares Chairperson, Board of Directors OAS Staff Federal Credit Union 6 4 6 TH A N N U A L R E P O R T CEO’s Message Carlos Calderón, CEO Dear Members, Over the past year, the media has bombarded us with news about a crisis in the financial sector triggered by the subprime mortgage fiasco and about its impact on commercial banks and institutions such as Fannie Mae, Freddie Mac, American International Group, Inc. (AIG), among others. I would like to reassure our members that OAS STAFF FCU is in stable and sound financial condition since we adhere to prudent and conservative financial practices based on our Board of Directors policies and management practices. Our philosophy and competitive advantage is to provide exceptional service to members and help members reach their financial goals without putting their well-being or our institution’s stability at risk. In fact, due to our capital reserves and financial condition, we were able to distribute a “loyalty bonus” earlier this year. From time to time, some members may find higher yield opportunities elsewhere. However, a higher yield may also bring a higher risk. Our recommendation is not to “chase rates,” but to look for stability, especially facing the current economy. Remember, every member is insured up to $250,000*, which is backed by the full faith and credit of the National Credit Union Administration (NCUA), a U.S. government agency. NCUA has confirmed that: “Not one penny of insured savings has ever been lost by a member of a federally insured credit union.” That means that NCUA always pays out according to National Credit Union Share Insurance Fund (NCUSIF) requirements. Credit Unions are member-owned and not-for-profit cooperatives. Our primary objective is to provide fair and affordable financial services to our members. The ability to impact lives by providing fairly-priced products and the best possible return on investment is an integral part of being a trusted partner. As members of this Committee, we clearly understand the responsibility we have to you, our fellow member/owners, in protecting your investments and the future of this credit union, in line with our mission to provide reliable financial services of the highest quality, and deliver personalized solutions for you and your family worldwide. We are pleased to inform you that over a period of 46 years, from the Credit Union’s inception in June 1962 through December 2008, a total of 92,634 loan disbursements have been made representing a total of $497,484,279. During 2008, your Credit Committee met regularly and reviewed hundreds of loans. A record number of OAS FCU members took advantage of the various loans programs offered by the Credit Union: 1,986 loans were disbursed for a total amount of $26,884,659. As of December 31, 2008 the outstanding loan portfolio represented $79,687,919, a net decrease of $632,081 when compared to December 31, 2007. Subprime lending and the state of our economy continues to pose unprecedented challenges to our credit management. We are glad to report that the Credit Union did not engage in nor promote the subprime lending practices. However, we continue to recognize the impact and have seen the consequences that this unfortunate trend has brought to some of our members. Therefore, we have been providing advice and will continue to work with members who find themselves in this predicament. No financial institution or business is immune to the effects of the current economic environment; increase unemployment rate and other related issues would undoubtedly increase the rate of loan defaults. Fortunately, our Credit Union is well prepared and our reserves are well built up to confront this potential problem. We would like to re-emphasize that during these turbulent times, it is important to organize your personal finances and focus on savings in order to be prepared for financial emergencies. On behalf of the Credit Committee, we’re proud to be a part of a notfor-profit cooperative that provides financial services and guidance to make a real difference in so many lives. To this end the Committee establishes and maintains effective procedures and internal controls, ensures that management has properly administered the policies and procedures established by the Board of Directors, performs regular surprise audits on various aspects of the institution’s daily work, and participates in other committees’ meetings to stay current on issues related to the Credit Union. To ensure the best protection of your assets, we sponsor ongoing training to the staff of the Credit Union and also for members in the area of fraud trends. We also require all Committee members and Credit Union staff to receive ongoing training on internal controls, financial statements and regulatory issues. Furthermore, the Credit Union is constantly working to improve its internal control procedures and electronics systems with the assistance of experts in those fields. Please be patient and collaborative as we may need to request more personal information to confirm your identity, especially during electronic and telephone transactions; this to protect your assets and avoid fraud, and to be in compliance with federal law. We also must ensure that the Credit Union is in compliance with all rules and regulations that govern our industry. For this purpose, we monitor policy compliance, and the operations and standards of the Credit Union to ensure quality and effectiveness, and stay on the alert to safeguard against error and fraud. Salazar Secretary Bruce Rickerson Member Christine Bognar Member 11 We are pleased to report that during the past year the Federal NCUA Examiners and the External Auditors, DeLeon & Stang, completed an examination and audit of the Credit Union’s operations, and of our members’ accounts. Both concluded that our Credit Union continues to be in solid financial and operational condition. The administrative and internal control mechanisms, procedures and policies are being followed, as recommended by the Federal and External Auditors. In addition, as is done every year, the Committee had an audit performed by Larson-Allen, CPA Consultants & Advisors on our Automated Payments and Credit Systems (ACH) and Bank Secrecy Act (BSA) compliance. Once again, the results were favorable. During the past year, one of the Committee’s objectives was to ensure our continuing compliance with BSA (Bank Secrecy Act) requirements. 56% Share Certificates 4 6 TH The Credit Union’s mission of providing reliable financial services to our members depends on the financial stability of our Credit Union. Therefore now, more than ever, given the current economic conditions and the recent requirements imposed on all credit unions by our regulator NCUA (National Credit Union Administration) to help stabilize the credit union system, we will continue monitoring our Credit Union activities to maintain our financial health and operational stability. Por tanto, quisiera tranquilizar a nuestros socios en el sentido que la Cooperativa de Ahorro y Crédito de los empleados de la OEA goza de una condición financiera estable y sólida, pues adherimos a prácticas financieras prudentes y conservadoras basadas, además, en las políticas y las prácticas de gestión de nuestra Junta Directiva. Nuestra filosofía y ventaja competitiva es proporcionar servicio excepcional a nuestros socios al igual que ayudarles a alcanzar sus metas financieras sin poner en riesgo su bienestar o el de nuestra institución. De hecho, gracias a nuestras reservas de capital y condición financiera, pudimos distribuir una “prima de lealtad” a principios de este año. En ocasiones, algunos socios han encontrado algunas instituciones que ofrecen más altas tasas de rendimiento. Sin embargo, un rendimiento más alto puede también traer consigo un riesgo más alto. Nuestra recomendación es “no ir detrás de tasas de rendimiento” sino buscar la estabilidad, especialmente frente a la situación económica actual. * En base a la ley conocida como “Emergency Economic Stabilization Act of 2008”, a partir del 3 de octubre de 2008 y hasta el 31 de diciembre de 2009, el límite básico de cobertura federal de seguro para depósitos se incrementó temporalmente de $100,000 a $250,000 por depositante. Recuerde, cada socio está asegurado hasta por US$250,000* dólares, plenamente respaldados por la confianza y el crédito de la Administración Nacional de Cooperativas de Crédito (NCUA por sus siglas en inglés), que es la agencia del gobierno federal que constituye y supervisa las cooperativas de crédito federales. NCUA ha confirmado que: “Jamás un miembro, de una cooperativa de crédito federalmente asegurada, ha perdido un solo centavo de ahorros asegurados”. Eso significa que NCUA proporciona cobertura siempre de acuerdo con los requisitos del “Fondo Nacional de Seguro de Acciones de Cooperativas de Crédito (NCUSIF por sus siglas en inglés). Las cooperativas de crédito son instituciones sin ánimo de lucro, propiedad de sus socios. Nuestro objetivo principal es proporcionar a nuestros miembros servicios financieros razonables y asequibles. La capacidad de generar un impacto positivo en la vida de nuestros socios proporcionándoles productos con precios fijados en modo justo y la mejor rentabilidad de la inversión es una parte integrante de ser un socio confiable. Como integrantes de este comité, entendemos claramente la responsabilidad que tenemos con usted, nuestro compañero socio/dueño, en la protección de sus inversiones y del futuro de esta Cooperativa; afín a nuestra misión de brindar los servicios financieros confiables del más de alta calidad, y proporcionar soluciones personalizadas para usted y su familia en todo el mundo. El Comité de Crédito se complace en informarle que, en los últimos 46 años (desde la constitución de nuestra cooperativa, en junio del 1962 y hasta diciembre de 2008) se han desembolsado 92.634 préstamos representando un total de 497.484.279 dólares EE.UU. Durante 2008, su Comité de Crédito se reunió regularmente y revisó centenares de préstamos. Un número récord de miembros de la OAS FCU aprovechó los varios programas de los préstamos ofrecidos por la cooperativa de crédito: 1.986 préstamos fueron desembolsados por una cantidad total de 26.884.659 dólares EE.UU. Al 31 de diciembre de 2008, la cartera de préstamos sin amortizar representó 79.687.919 dólares EE.UU., una disminución neta de 632.081 dólares EE.UU. si se compara al 31 de diciembre de 2007. Los préstamos “subprime” y el estado actual de la economía han traído nuevos desafíos a nuestra gestión. Nos agrada informarle que la Cooperativa no se vio involucrada, ni promovió prácticas de créditos “subprime”. No obstante, continuamos observando el impacto y las consecuencias que esta tendencia desafortunada ha traído a algunos de nuestros socios. Por lo tanto, hemos brindado asesoría y continuaremos trabajando con los miembros que enfrentan este problema. Con este fin, el Comité se asegura que se hayan establecido procedimientos y controles internos eficientes, se asegura que la gerencia administre las políticas establecidas por la Junta Directiva, realizamos auditorias sin aviso previo en varias áreas operativas de la institución, y participamos en las reuniones de otros comités para mantenernos al día en los distintos temas relacionados al bienestar y desarrollo de la Cooperativa y sus socios. En adición, el Comité se asegura que la Cooperativa cumpla con las normativas, leyes y reglamentos que rigen a las cooperativas. Para este propósito verificamos el cumplimiento de las políticas y damos continuo seguimiento a las normas y operaciones de la Cooperativa para mejorar su calidad y eficacia, y mantenemos una vigilancia constante para prevenir tanto errores como fraude. Otra de las responsabilidades del Comité es la de verificar las cuentas de los socios y responder a las quejas y/o preocupaciones de los mismos. Con el fin de asegurar la mejor protección del dinero de los socios, promovemos y patrocinamos entrenamientos para todo el personal de la Cooperativa como también para los socios, especialmente en temas como el fraude y su tendencia y modalidad. Tenemos también un programa de capacitación permanente, tanto para el personal como para los miembros de nuestro comité, en relación a todos los asuntos que a los controles internos refiere, estados financieros y otros temas legislativos. Asimismo, la Cooperativa ha seguido mejorando el procedimiento en controles internos y de sistemas electrónicos con la ayuda de expertos en estos campos. Nos complace informarles que en el último año hemos tenido la visita de los auditores federales de NCUA y de los auditores externos de la firma de Leon & Stang, quienes han concluido un examen y auditoria del estado general de la Cooperativa, sus operaciones y las cuentas de los socios. Ambos han arrojado en su resultado final, que mantenemos una situación financiera y económica muy sólida. Además, se efectuó la auditoria anual del sistema ACH de pagos, créditos electrónicos y del cumplimiento (Bank Secrecy Act), realizada por la firma independiente Larson-Allen CPA. Estos resultados también fueron favorables. Uno de los principales objetivos del Comité durante la gestión pasada, fue asegurarse que la Cooperativa siguiera las normativas del Acta de Sigilo Bancario. Para esto, trabajamos de cerca con el personal de la Cooperativa, los auditores externos, y los auditores federales con el fin de desarrollar e implementar políticas y procedimientos diseñados para continuar con el cumplimiento de esta regulación. Actualmente continuamos trabajando para asegurar que nuestro plan de contingencia y plan en caso de pandemias estén completamente desarrollados y sometidos a prueba. La misión de la Cooperativa de proveer servicios continuos y confiables a nuestros socios, depende de la solidez financiera de la misma.
