Televisa is a leading media company in the production
of audiovisual content in Spanish, an important cable
operator in Mexico and a leading direct-to-home
satellite pay television system in Mexico.
Televisa’s cable business offers integrated
services, including video, high-speed data and
voice services to residential and commercial
customers as well as managed services to
domestic and international carriers through five
cable Multiple System Operators in Mexico.
Televisa distributes the content it produces through
several broadcast channels in Mexico, 26 pay-tv
brands in Mexico and abroad, and television
networks, cable operators and over-the-top or "OTT"
services in over 50 countries.
Televisa owns a majority interest in Sky, a
leading direct-to-home satellite pay television
system in Mexico, operating also in the
Dominican Republic and Central America.
In the United States, Televisa's audiovisual content is
distributed through Univision Communications Inc.
("Univision") the leading media company serving the
Hispanic market. Univision broadcasts Televisa's
audiovisual content through multiple platforms in
exchange for a royalty payment.
Televisa also has interests in magazine
publishing and distribution, radio production and
broadcasting, professional sports and live
entertainment, feature-film production and
distribution, and gaming.
In addition, Televisa has equity and warrants which
upon their exercise and subject to any necessary
approval from the Federal Communications
Commission of the United States would represent
approximately 36% on a fully-diluted, as-converted
basis of the equity capital in Univision Holdings Inc.,
the controlling company of Univision.

The corporate governance of Group Televisa is based on a set of principles and rules that
govern the design, integration and the functioning of the government bodies of the
company. It covers the existing power relations amongst the shareholders, the members
of the Board of Directors and senior executives and officials of the company.
The Board of Directors is responsible for the management,
administration and the definition of the strategic vision of the
company's business, with the authorities conferred upon it by
the applicable laws and the by-laws.
The Board of Directors is appointed by the General Ordinary
Shareholders´ Meeting and is comprised of up to twenty
directors and their respective alternates. It complies with the
number of directors that according to the Mexican Securities
Market Law (Ley del Mercado de Valores de México) and the
recommendations of the Code of Best Corporate Practices of
the Business Coordinating Council (Consejo Coordinador
Empresarial), must be independent.
The appointment of directors takes into account the
value added that they provide to the company through
their experience, integrity, honesty and professionalism.
It is assisted by the Audit & Corporate Practices
Committee in the monitoring of the management,
governance and performance of the businesses.
The Board of Directors meets at least four times during
the year.

The primary purpose of the Audit and Corporate Practices Committee is to support the Board of Directors in the performance
of some of its responsibilities, with regards to:
1. Monitoring the management, governance and performance of the company's business.
2. Activities in auditing and corporate practices.
3. Internal control systems of the company.
4. Approval of acts with related parties in compliance with the existing policies.
5. Opinions in regards to the remuneration of relevant directors, of the Chief Executive Officer, as well as severance payments for
the Chief Executive Officer of the company.
6. Selection, recruitment, removal and remuneration of the external auditor.
The Committee is composed exclusively of independent directors and of a minimum of 3 members, who shall comply with the
requirements established by the various applicable statutory and regulatory provisions.

Grupo Televisa has a Code of Ethics, whose performance is
monitored by the Audit and Corporate Practices Committee,

based on the individual responsibility of the directors, officials
and employees of the company, including all its divisions and
subsidiaries.
The directors, officials and employees of the Group, as well
as the employees of its subsidiaries, receive the Code of
Ethics and sign the Adherence Letter, as a sign of their
acceptance and commitment to respect the provisions of the
same.

During 2015, Televisa continued developing initiatives and actions to manage economic

In Grupo Televisa and its subsidiaries, a series of strategies have been implemented that are aimed at
optimizing the performance and productivity.
One of the elements of such strategies is the Assessment of Work Environment, an assessment tool that
combines all the elements of the organizational culture in order to assess the perception that the
employees have of it. This assessment is institutional and is carried out on a regular basis.
The purpose of the assessment is to impact the productivity and efficiency of the organization, improving
the current conditions of the organizational climate by strengthening the leadership skills, the performance,
the wellbeing and the commitment of its employees.

confidential survey. Factors inherent to the
organization and leadership are assessed, of
which the sense of belonging and strategic
alignment are those that stand out with the

• Human Development Program:

Grupo Televisa is deeply committed with strengthening the communities throughout Mexico, during the last 15 years, through
Fundación Televisa, the company has created and supported programs that provide educational opportunities, promote cultural
identity and encourage communal engagement.
Fundación Televisa offers a wide range of tools and opportunities that shape the lives of millions of Mexicans, and have taken
advantage of the company´s wide range of media platforms to promote social awareness campaigns, and digital platforms to foster
civic participation.
Fundación Televisa has developed various digital educational platforms that, though innovation and creativity, allow users to
substantially improve their abilities and capabilities. These no-cost, self-teaching tools are broadly available to many Mexicans that
would otherwise lack basic tools and access to opportunities. Many of these efforts have improved the lives of thousands of people.
The company believes that the best way to enhance quality of life, increase economic opportunities, and improve the well-being of
families across Mexico is through education.

Therefore, the company offers a range of programs tailored for every development stage, including early stimulation programs for
newborns to 3 year-olds, access to high-quality elementary and basic for 4 to 15 year-olds, programs to increase the middle and high
school completion rates for 16 to 22 year-olds, and programs that develop employability skills for adults above the age of 23.
These programs, which focus on enhancing the quality of education in Mexico, include scholarships, school infrastructure, media
labs, reading workshops, knowledge competitions, infrastructure for schools, and the promotion of entrepreneurship and universal
values. Fundación Televisa´s entrepreneurship program “Posible” has become the biggest non-governmental effort in Latin America,
enrolling more than 42,000 individuals in 2015.
Fundación Televisa also focuses on expanding the reach of Mexican culture. The company promotes values inside and outside of
Mexico, sponsoring and promoting various exhibition, collaboration, and investigative digital and editorial projects that benefit from
access to the company´s photography and audiovisual collection.

Grupo Televisa, committed with the society and providing continuity to achieve a culture of labor
inclusion for persons with disabilities, in 2015, decided to overcome barriers and presented the “Éntrale”
project before the companies of the Mexican Business Council.
The alliance for labor inclusion of people with disabilities "Éntrale", seeks to be a connecting factor
between the business sectors, strategic allies of the sector and people with disabilities to facilitate their
hiring, stay and development within the labor market.
Televisa has been committed with implementing and enforcing the labor inclusion program through a
recruitment and selection program of candidates based on our equal opportunities policy that promotes
non-discrimination, while considering for each one of our vacancies any person regardless of his/her
gender, marital status, age, religion, social and economic class, nationality, political preferences,
disability and personal convictions, amongst others.
Through the training and the internal communication campaigns, we have fostered the awareness of
our employees to generate an open organizational environment that promotes the correlation,
development and management of people with disabilities, as the generation of a sense of community.

Corporate Family Responsibility
In 2014, a Corporate Family Responsibility Committee was installed, which aims to adapt best practices
and create policies that serve as tools to employees of Grupo Televisa in order to lead a balanced family,
professional and personal life.
This Committee seeks to provide solutions to problems that include:
• The work-family balance.
• Gender equality.
• The fight against work violence and harassment.
To follow-up on our commitment with Corporate Family Responsibility, during 2015 we carried out the
following activities:
• Internal communication campaigns that promote the complaints website to prevent work harassment,
bullying and promote respect and team work within the employees.
• On the subject of equal opportunities and gender equality, we reviewed all policies related to hires,
salaries and compensation to ensure that there is no inequality between men and women.
A total of 769 families enrolled at the “Open Doors (Puertas Abiertas)” program, which focuses on the
reconciliation between family life and work of the Televisa employees.

care and protection of the environment, since it
is a responsible company with leadership in
the Spanish speaking world, aware of the fact
that its activities and/or processes can impact
the same; thus it has expanded its vision, to
meet the expectations and environmental
concerns of its stakeholders both internally and
externally.
Due to the commitment it made and its Code
of Ethics, Grupo Televisa has implemented a
series of actions aimed at accurately
monitoring and protecting the environment,
some which are detailed below:
As a result, the most relevant and specific,
both direct and indirect environmental aspects
have been identified, such as: power,
emissions to the atmosphere, drinking water,
waste in general, use of hydrocarbons,
wastewater discharges, chemicals and to a
lesser degree, the flora and fauna.
1. Have an area dedicated to the topic
of the environment, called “Corporate
Coordination of Environmental
Management and Protection” in
charge of the Director of Real Estate
and Maintenance.
The main purpose of the area is
to:

staff, stakeholders, customers
and suppliers.

of approximately 10 employees, involving members of different levels.

Conservation and Preservation
of the Environment
Grupo Televisa, concerned about the environment, carries out actions to promote the
preservation of the environment through the project "For the Planet (Por el Planeta)".
“For the Planet" is comprised of a series of features and documentaries that intend to
show the natural wealth of Mexico and the world.
Twelve chapters have been produced with a duration of one hour and 60 features for the
main newscasts of the largest audience of Grupo Televisa.
