International Program International Commercial and Investment Arbitration FORDHAM LAW SCHOOL Fordham Law School, situado en la calle del centro Lincoln para las artes escénicas y cercano a Central Park en el corazón de Manhattan, ofrece una completa formación jurídica desde hace más de 100 años, a través de sus programas universitarios de grado, masters y doctorados. La Universidad cuenta con un prestigioso claustro docente que pone a disposición de sus alumnos. En los últimos años, la Facultad de Derecho ha desarrollado programas internacionales que incluyen, por un lado, un programa LL.M., con más de 100 estudiantes de todo el mundo y, por otro lado, un programa internacional de formación e investigación judicial. Además cuenta con un instituto de verano en Nueva York y un programa especial para recibir profesores e investigadores internacionales. EL CENTRO DE ESTUDIOS GARRIGUES El Centro de Estudios Garrigues es una entidad vinculada al despacho Garrigues y promovida con el objeto de desarrollar un conjunto de actividades de formación, estudio e investigación. El propósito es trasladar la experiencia, conocimientos, y metodología propias de un moderno despacho a la formación de profesionales con experiencia. La vinculación con el despacho Garrigues permite al Centro mantener un contacto constante con el ejercicio profesional, de acuerdo con la cambiante realidad legal, económica y empresarial, y ofrecer una formación de calidad con características propias y diferenciadas, en el entorno global, en el que actualmente se realizan las transacciones más relevantes. El Centro cuenta con un claustro de más de 300 profesores pertenecientes a las principales empresas, despachos, entidades financieras e instituciones públicas. La participación de los ponentes del Despacho Garrigues se adecua a las características de cada programa. En la actualidad el prestigio del Centro y la calidad de sus programas, es reconocida por las principales empresas y entidades financieras y por los ranking más destacados en el ámbito de la formación de postgrado especializada. 32 OBJETIVOS PRESENTACIÓN El desarrollo creciente de los negocios con implicaciones internacionales y su cada vez mayor complejidad, tanto en la formación de estructuras societarias, como en la redacción de contratos internacionales, ha generado un importante crecimiento en el número de conflictos que finalmente son juzgados en cortes arbitrales internacionales. El arbitraje internacional es una práctica que exige de abogados que sean capaces de conocer en profundidad los procedimientos litigiosos internacionales y que tengan una amplia visión de la cobertura jurídica que las compañías pueden tener en sus operaciones fuera de su ámbito geográfico. Considerando que la mayor parte de las transacciones internacionales de negocio se realizan por motivos de exportación/importación, o de adquisición total o parcial de compañías de otros países, el programa que se desarrolla a continuación se centrará en la formación práctica de los abogados en arbitraje comercial y de inversión. Fordham Law School y Centro de Estudios Garrigues han unido experiencia y conocimiento para desarrollar conjuntamente el programa “INTERNATIONAL COMMERCIAL AND INVESTMENT ARBITRATION”. Ambas instituciones ofrecen la oportunidad a estudiantes de derecho de la Universidad San Ignacio de Loyola, de contar con una experiencia formativa única, desarrollada en formato intensivo durante una semana, que tendrá lugar en la sede universitaria de Fordham en Nueva York. Profundizar sobre los fundamentos del Arbitraje Internacional, especialmente en lo referente al procedimiento arbitral, en su especialidad comercial y de inversión. Estudiar el detalle de los acuerdos arbitrales para el desarrollo de contratos internacionales. Adquirir nuevos conceptos y expresiones clave en el campo del inglés jurídico profesional. Conocer la experiencia de abogados que han asesorado en procesos arbitrales internacionales. PROCESO DE ADMISIÓN La admisión al programa estará condicionada al resultado que el alumno obtenga en una prueba de nivel de inglés que se desarrollará en formato online. De esta forma, el grupo de participantes que conformen el grupo, partirán de un nivel adecuado de dominio del idioma, que les permitirá avanzar y participar correctamente de las dinámicas que se planteen. MATERIALES El programa se desarrollará con los materiales específicos elaborados por los profesores especialistas en cada materia. 3 METODOLOGÍA El programa se desarrollará de forma intensiva, durante una semana, en la que se abordarán las dos principales prácticas del arbitraje internacional: comercial y de inversión. Las sesiones lectivas se acompañarán de casos prácticos que permitirán al alumno situar la práctica arbitral dentro del marco de las problemáticas jurídicas que surgen habitualmente en el desarrollo de negocios internacionales. Adicionalmente, las clases se completarán con el desarrollo de habilidades necesarias para gestionar con éxito procesos arbitrales, como son la negociación, la redacción jurídica y la gestión de conflictos. El horario habitual de las sesiones será de 9.00 a 13.00 horas, contando con una hora para el almuerzo (de 13.00 a 14.00 horas), y de 13.00 a 15.00 horas. Posteriormente el programa lectivo se completará con interesantes visitas a entidades públicas y privadas que permitirán a los alumnos tomar contacto real con la práctica arbitral. El programa se desarrollará íntegramente en inglés. CERTIFICACIÓN Se hará entrega de un diploma emitido conjuntamente por el Centro de Estudios Garrigues, Fordham Law School, y la Universidad San Ignacio de Loyola, a los alumnos que hayan participado en el completo desarrollo del programa. 54 CONTENIDOS UNIT 1: Introduction to International Arbitration 1. Los participantes del programa tendrán la oportunidad de visitar la sede del despacho Garrigues en New York, y conocer de primera mano la realidad práctica de la asesoría jurídica en este país de la mano de destacados profesionales de la firma. 7 VISITA AL U.S. FEDERAL COURTHOUSE (SOUTHERN DISTRICT OF NEW YORK) Este Tribunal Federal es competente en los condados de Nueva York, Bronx, Westchester, Rockland, Putnam, Orange, Dutchess y Sullivan, y convoca a los miembros que han de integrar los jurados. El Tribunal del Distrito Sur de Nueva York sustancia procedimientos en Manhattan, White Plains y Middletown, Nueva York. El Distrito Sur de Nueva York, escindido del primer tribunal de distrito creado bajo la soberanía de los Estados Unidos, se creó en virtud de la Judiciary Act de 1789, principalmente para tratar asuntos de naturaleza marítima. Desde entonces ha ido evolucionando hasta convertirse en uno de los preeminentes Tribunales de Distrito, que se distingue no solo por la naturaleza de los asuntos que acoje, sino también por los renombrados magistrados que los han resuelto y que han honrado sus salas. Los participantes podrán conocer la operativa real entre abogados arbitrales, y la institución que regula y coordina los procesos en New York. 8 CLAUSTRO DE PROFESORES FORDHAM FACULTY Prof. Thomas H. Lee Leitner Family Professor of International Law at Fordham University School of Law. Leitner Family Chair in International Law since 2009. Professor Lee's fields of expertise are international law, international arbitration, comparative and U.S. constitutional law, civil procedure, and the U.S. federal courts. He has also been a Visiting Professor at Harvard Law School (2012-13), University of Virginia School of Law (2007), and Columbia Law School (2005-06). After receiving his J.D. in 2000, he clerked for Judge Michael Boudin of the U.S. Court of Appeals for the First Circuit and for Justice David Souter of the U.S. Supreme Court. During law school, he was Articles Chair of the Harvard Law Review and a Ph.D. candidate in Government. He has also worked at Munger, Tolles & Olson and Wachtell, Lipton, Rosen & Katz. He received an A.B. summa cum laude in East Asian Languages & Civilizations and Government and an A.M in Regional Studies-East Asia from Harvard in 1991. He is on the ICSID Panel of Conciliators and is Executive Director of the International Arbitration & Mediation Assistance and Training Institute. He has advised the Constitutional Court of Korea and consults on U.S. federal constitutional, jurisdictional, and procedural issues, international arbitrations, and multi-country litigation matters. Prof. Vera Korzun Ms. Vera Korzun is a Candidate for the Doctor of Juridical Science (S.J.D.) degree and a doctoral fellow at Fordham University School of Law. Her research focuses on international arbitration, antitrust, and the EC competition laws. From 2001 to 2007, she taught law courses, including international business law, international contracts law, private international law, and comparative labor and employment law, at the Universities in Belarus and the Netherlands. She then worked as a research assistant for Erasmus University Rotterdam in the Netherlands and interned for the Directorate General for Health and Consumers of the European Commission in Brussels, Belgium. In 2009-2010, she worked for a district attorney’s office in Madison, Wisconsin as a volunteer attorney. For her volunteer work, in April 2010 she was nominated for a pro bono award of the Dane County Bar Association. Ms. Korzun received a LL.M. degree from the University of Michigan Law School, where she was a Michigan Grotius Fellow. Prior to that, she earned a European Master degree in Law and Economics from the University of Hamburg, Germany, and a LL.M. degree in International Business Law from Central European University in Budapest, Hungary. In March 2007, she received her Candidate of Law Sciences, a postgraduate scientific degree, from the Belarusian State University, from which she also earned her first degree in law in June 2001. Ms. Korzun is admitted to practice law as an attorney in the State of New York and qualified as a lawyer in Belarus. 9 CLAUSTRO DE PROFESORES GARRIGUES FACULTY Prof. Patricia Cabrera Susana Cabrera is a partner at J&A Garrigues where she is a member of the EU and Competition Law Department. She has advised Spanish and international clients on a wide variety of EU and Spanish competition law matters, such as mergers and acquisitions, cartel investigations, abuse of dominance, distribution practices, state aids or compliance issues. She currently collaborates with the International Business Program organized by the Centro de Estudios Garrigues and Harvard Law School, Madrid (2012, 2011) and has been a lecturer in competition law at other postgraduate programs. She is actively involved in the Section of International Law of the American Bar Association, holding leadership positions as co-chair of the International Antitrust Law Committee, member of the Section’s Publications' Board and liaison to the Consejo General de la Abogacía (body representing and coordinating all Spanish Bar Associations). In 2010, Susana was elected as a fellow of the American Bar Foundation. She is recognized in international legal directories including Chambers & Partners, Global Competition Review, International Who’s Who Competition Lawyers & Economists, PLC Which Lawyer or Best Lawyers. Prof. Ferran Escayola Ferran Escayola is the partner in charge of the NY Office. Co-chair of the Firm’s US-Desk. Represents public and private companies, multinationals, investment banks, private equity funds (LPs, GPs and targets), hedge funds, private banking / family office clients and services and industrial companies in their investments in Spain and internationally in the US and Latin America. Among his main activities, Ferran advises purchasers and sellers in both share and asset deals, mergers, debt and corporate restructurings, jointventures, LBOs, MBOs, BIMBOs, strategic alliances and related transactions, with a particular emphasis on cross-border deals. Additionally, he provides legal advice in sports and transactional entertainment matters, image rights endorsements, sponsorships and film and other audiovisual financings. In 2005-2006, Ferran Escayola joined the M&A group of Skadden, Arps, Slate, Meagher & Flom LLP in New York as Foreign Associate. Since 2008, Ferran regularly appears in the Spanish edition of “Best Lawyers”.
