CONSORCIO MEREN Bogotá, 8 de marzo de 2015 Señores: CORPORACIÓN AUTÓNOMA REGIONAL DEL RÍO GRANDE DE LA MAGDALENA— CORMAGDALENA ,i0.4.AuJí Calle 93B No 17-25 Oficina 504 Bogotá D.C. — Colombia Referencia: Concurso de Méritos para la escogencia de un 115erntcd CRIntrato de Asociación Público Privada con CORMAGDALENA,para el P étto de "Recuperación de la Navegabilidad en el Río Magdalena". adt., i .3 Apreciados señores: Revisada las observaciones formuladas por el CONSORCIO INTERVENTORIA RIO MAGDALENA, respecto a la experiencia profesional acreditada al Ingeniero Pedro Gutiérrez Visbal y al Ingeniero Fabián Suarez Herrera dentro de la propuesta presentada por el CONSORCIO MAGDALENA, nos permitimos realizar las siguientes precisiones: 1. Referente a la observación emitida por el CONSORCIO INTERVENTORIA RIO MAGDALENA donde expresan que el Ing. Fabian Suarez y el Ing. José Eusebio de la Hoz participaron como Ingenieros Residente en el proyecto ejecutado por el CONSORCIO RESTREPO Y URIBE — INGECO, en el mismo periodo, es acertada su apreciación, mas no incide para este caso, teniendo que los dos profesionales se desempeñaron en el cargo de Ingeniero Residente en dicho proyecto, tal como consta en las actas de costo del proyecto lo cual pueden ser verificado ante la Entidad Contratante. No obstante para nos permitimos anexar el acta de costo mensual No. 41 donde se evidencia lo mencionado. 2. En la presente se adjunta documentación donde se evidencia que fue el Ing. Pedro Gutiérrez Visbal fue quien se desempeñó en el cargo de Director del proyecto: "INTERVENTORIA TÉCNICA, ADMINISTRATIVA, FINANCIERA, AMBIENTAL Y SOCIAL DE LAS OBRAS DE PREVENCIÓN CUENCA MEDIA RIO BOGOTÁ COMPRENDIDAS ENTRE CALLE 13 (K41+500) — PUENTE COMÚN (K98+200)" Adicional es de resaltar que los proyectos: "INTERVENTORIA AL MANTENIMIENTO DE LA PROFUNDIDAD DEL CANAL NAVEGABLE EN EL RIO MAGDALENA EN EL SECTOR COMPRENDIDO ENTRE PUERTO SALGAR/LA DORADA (CUNDIMARCA/CALDAS)BARRANCABERMEJA (SANTANDER)" y "INTERVENTORIA PARA EL DISEÑO Y CONSTRUCCION DE OBRAS PARA ATENDER LAS EMERGENCIAS EN LOS MUNICIPIOS RIBEREÑOS DEL RIO Barrio el Cabrero, Calle Real N° 43 — 138 Cra 2da Teléfono(s) 57+(5) 6644611 Fax: 57+(5) 6642270 Email: [email protected] - [email protected] Cartagena - Bolívar CONSORCIO WENN MAGDALENA — NACIONAL." Fueron contratos suscritos con Cormagdalena, por lo cual la información puede ser verificada ante la entidad. Con lo anterior se demuestra que la experiencia acreditada para el ingeniero Pedro Gutiérrez Visbal es totalmente veraz e inobjetable, de acuerdo a lo solicitado para este proceso. Con respecto a las apreciaciones del Observante en relación a la Hoja de Vida del Ing. José Eusebio de la Hoz, nos permitimos expresar que dicha hoja de vida no fue anexada a nuestra propuesta, motivo por el cual no debe ser objeto de verificación en el presente concurso de méritos. Además nos permitimos aclarar que en la estructura organizacional de Ingeniería de Proyectos S.A.S., el Ing. José Eusebio de la Hoz desempeña el cargo de Director de proyectos de Interventoría en y a su vez ejerce cargos como profesional de acuerdo a las necesidades o situaciones de la empresa. Estimados Señores: Por medio de la presente, me permito dar alcance a la respuesta efectuada a la observación presentada por el Consorcio Recuperación del Magdalena, de fecha 01 de abril de 2015, y publicada el día 7 de abril. Como se ha venido indicando en anteriores comunicaciones, INGETEC GERENCIA & SUPERVISIÓN S.A., cumplió a cabalidad con lo establecido en los pliegos de condiciones, en el numeral 5.12.2, en el que se indica "...El proponente y cada uno de los Integrantes de la Estructura Plural deben acreditar su capacidad financiera y capacidad organizacional a través del RUP vigente y en firme, con información financiera con corte a Diciembre 31 de 2014, o en defecto a Diciembre 31 de 2013, y diligenciado los Anexos 14 y 15 de este pliego de Condiciones. De igual forma deberá aportar copia de la tarjeta profesional y certificado de vigencia del contador y/o revisor fiscal." (subrayado fuera del texto) Teniendo en cuenta que el Pliego de Condiciones es la ley que rige el Concurso de Méritos, los miembros del Consorcio Interventoría Río Magdalena cumplimos a cabalidad lo preceptuado en dicha directriz acreditando nuestra capacidad financiera a través de los estados financieros con corte a diciembre 31 de 2014 o a diciembre 31 de 2013. AEREO 5099 FAX: 2884531 - 2856719 BOGOTA, D.C. - COLOMBIA En este aspecto, es importante destacar que los miembros de un consorcio, para efectos del concurso de méritos, y en especial, para efectos de cumplir con la capacidad financiera, no son sujetos contables independientes, sino que aúnan esfuerzos con el fin de cumplir lo solicitado por la entidad en el Pliego. La información de cada miembro no es comparable entre ellos, como quiera que lo que se busca es complementar y colaborar entre sí para obtener el resultado exigido por el Pliego. • Adicionalmente, la capacidad financiera no es un requisito evaluable sino habilitante, razón por la cual no puede ser considerada como objeto de comparación no solo entre los miembros mismos del Consorcio sino entre los demás proponentes, ya que si llegáramos al absurdo de pensar que la capacidad financiera es objeto de comparación en un propuesta, entonces, deberíamos concluir que el pliego incurrió en ambigüedades puesto que no fijó reglas claras entre los proponentes que permitirán una comparación objetiva, ya que no tendría sentido que un proponente se presentará con la información financiera de un año y otro proponente con la información financiera de otro año y pretender comparar esa información. No existe duda alguna que la entidad permitió la posibilidad de presentar los estados financieros del año 2013 o año 2014 bajo el supuesto que no sería información comparable entre proponentes y precisamente porque para la fecha de apertura y cierre del proceso era perfectamente posible que los proponentes se encontraran en proceso de actualización o renovación de su información financiera, de acuerdo con las normas comerciales y contractuales. Sobre el particular, es importante destacar que el artículo 8 del Decreto 1510 de 2013, establece: ARTÍCULO 80. INSCRIPCIÓN, RENOVACIÓN, ACTUALIZACIÓN Y CANCELACIÓN DEL RUP. Las personas naturales y jurídicas, nacionales o extranjeras, con domicilio en Colombia, interesadas en participar en Procesos de Contratación convocados por las Entidades Estatales, deben estar inscritas en el RUP, salvo las excepciones previstas de forma taxativa en la ley. La persona inscrita en el RUP debe presentar la información para renovar su registro a más tardar el quinto día hábil del mes de abril de cada año. De lo contrario cesan los efectos del RUP. La persona inscrita en el RUP puede actualizar la información registrada relativa a su experiencia y capacidad jurídica en cualquier momento. Los inscritos en el RUP pueden en cualquier momento solicitar a la Cámara de Comercio cancelar su inscripción" (subrayado fuera del texto) Página 2 de 4 CONSORCIO INTERVENTORÍA RÍO MAGDALENA CARRERA 6@ No. 30A - 30 TELEFONO: 3238050 APTDO. AEREO 5099 FAX: 2884531 - 2856719 BOGOTA, D.C. - COLOMBIA De acuerdo con lo anterior, la norma habilita a que se realice la renovación a más tardar el quinto día hábil del mes de abril, es decir, el procedimiento de renovación de la inscripción del RUP puede efectuarse desde el 1 de enero hasta el 5° día hábil del mes de abril del mismo año. En ese orden de ideas, INGETEC G&S S.A. habilitado por el artículo 8 del Decreto 1510 de 2013 efectúo el procedimiento de renovación radicando su solitud el 26 de febrero de 2015. Ahora bien, resulta indispensable reiterar lo indicado en el numeral 5.8.9 del Pliego: La inscripción en el RUP deberá estar vigente y en firme al momento de la adjudicación del presente Concurso de Méritos. De acuerdo con lo anterior, tanto el pliego como la circular No. 13 de Colombia Compra Eficiente permiten a los proponentes que su RUP se encuentre vigente y en firme al momento de la adjudicación del Concurso y no al momento de la presentación de las ofertas. • En ese orden de ideas, INGETEC radicó su solitud de renovación de la inscripción en el RUP el día 26 de febrero, es decir, 7 días calendario antes del cierre del Concurso, y obtuvo su firmeza el 13 de marzo de 2015, siendo totalmente coherente tanto con la normativa del Pliego, que no hacía sino reflejar el derecho otorgado por el artículo 8 del Decreto 1510 de 2013. Es importante destacar que la renovación del RUP es un acto público que goza de publicidad, en aras de garantizar transparencia en la realización del trámite. Siendo un registro público que goza de publicidad es claro que INGETEC G&S no actuó de forma desleal o deshonesta, ya que los actos eran totalmente conocidos y oponibles ante terceros, públicos o privados. • Finalmente, reiteramos que el acto de renovación es un acto tendiente a mantener vigente y en firme la inscripción en el RUP, por lo que resulta descabellado pretender separar los efectos que estas actuaciones tienen respecto de la actualización de la información del RUP. Si no se efectúa la renovación pues cesan los efectos de la inscripción, por lo que resulta a penas lógico que lo que se renueva es precisamente la inscripción con el fin de que permanezca vigente y en firme. Por lo anteriormente expuesto, se solicita a Cormagdalena desestimar las observaciones del Consorcio Recuperación Magdalena, como quiera que los miembros del Consorcio Interventoría Río Magdalena cumplen con los requisitos exigidos en el Pliego y en las normas. Pn :04 IttlAbiUU REF.: PRONUNCIAMIENTO SOBRE EL INFORME DE EVALUACION PUBLICADO EL 8 DE ABRIL DE 2014 — CONCURSO DE MERITOS ABIERTO CMA — 001 -15 • Respetados señores: Por medio del presente escrito y encontrándome en término para ello, en atención a que no se ha realizado aún la adjudicación del proceso de la referencia, acogiéndonos al Principio de Subsanabilidad y a evitar que se produzcan nulidades posteriores y actuaciones que inclusive podrían generar la revocatoria directa del Acto de Apertura del Proceso, me permito manifestar: 1. RESPECTO DE LA FIRMA DEL FORMATO 18 - FORMATO DE CONTRATO DE FIANZA PARA SITUACIONES DE CONTROL EFECTIVO. Sea lo primero manifestar que como su mismo nombre lo indica, éste es un FORMATO y no puede ser valorado en consecuencia como un requisito de fondo, como ahora pretende el Comité Evaluador, con la construcción habilidosa de un sofisma de distracción, para pretender darle ahora el carácter de puntuable y con base en ese "ingenioso" argumento, pretender descalificar nuestra propuesta. • El Anexo 18 está sometido a una condición SUSPENSIVA, es decir, tal y como ,lo aprendemos EN PRIMER SEMESTRE DE DERECHO, que es un hecho futuro e incierto, del cual depende el NACIMIENTO de una obligación. Entonces, pretender ahora argumentar que la supuesta subsanación del Anexo 18 invalida la experiencia. No tiene ningún asidero jurídico. De otra parte, reiteramos lo ya dicho en escrito del 24 de Marzo de éste año, cunado manifestamos que Disentimos de la posición asumida por el Comité Evaluador al pretender darle al Pliego una interpretación que de ninguna manera se deriva de lo escrito en el mismo, toda vez que el numeral 13.2.2., establece: "....13.2.2 La situación de Control Efectivo se verificará así: a) En el certificado de existencia y representación legal del Proponente o el Integrante de la Estructura Plural, si éste fuere colombiano. b) Si el Proponente o el Integrante de la Estructura Plural es extranjero: 1. Mediante el certificado de existencia y representación legal del Proponente o el Integrante de la Estructura Plural en el cual conste la inscripción de la situación de Control Efectivo, si la jurisdicción de incorporación de la sociedad controlada tuviere tal certificado y en el mismo fuese obligatorio registrar la situación de control; 2.Mediante la presentación de un documento equivalente al certificado de existencia y representación legal según la jurisdicción, siempre que en el mismo fuese obligatorio registrar la situación de Control Efectivo; o 3.Mediante certificación expedida por los representantes legales del Proponente o el Integrante de la Estructura Plural y de la sociedad controlante, la cual podrá constar en un único documento o documentos separados, en cuanto a la existencia de una relación de Control Efectivo. c) En el caso de acreditarse la experiencia de las matrices, de las subordinadas 12 de las subordinadas de las matrices del Proponente o Integrante de la Estructura Plural nacional o extranjero: 1.La persona jurídica cuya experiencia es invocada en calidad de matriz o la sociedad que simultáneamente controla al Proponente o el Integrante de la Estructura Plural, Q la subordinada de la matriz o de la sociedad que controla a la subordinada y al Proponente o el Integrante de la Estructura Plural, deberán suscribir conjuntamente el contrato de fianza que obra como Anexo 18. En el caso de acreditarse experiencia por parte de una sociedad subordinada del Proponente o de un miembro de la Estructura Plural, será la sociedad subordinada la que deberá suscribir el Anexo 17. • 2. La persona jurídica que suscriba el Anexo 18 deberá acreditar su existencia, representación legal y capacidad jurídica con los mismos documentos señalados en los numerales 5.6 y 5.7 y demás aplicables de este Pliego de Condiciones, considerando que la capacidad de la sociedad y del representante legal de ésta que deberá ser acreditada, será la necesaria para asumir la responsabilidad derivada del contrato de fianza contenido en el Anexo 18. ...." (subrayado y negrilla fuera de texto) Para el efecto resulta entonces importante recordar la definición del Pliego sobre Control Efectivo, en los términos del numeral 1.3.18., así: „ ....1.3.18. "Control Efectivo". Es la situación en virtud de la cual una persona natural o jurídica ejerce en relación con otra persona jurídica el control cuando: (i) posee de manera directa o indirecta más del cincuenta por ciento (50%) de su capital social con derecho a voto; (ii) posee de manera directa o indirecta en su Junta Directiva u órgano equivalente, una representación superior al cincuenta por ciento (50%) de sus integrantes o; (iii) por cualquier otro mecanismo o circunstancia controla el poder de decisión de la otra persona jurídica de manera efectiva ....." De las disposiciones del Pliego antes transcritas, podemos concluir principalmente: 1. Que el Pliego permitió y facultó para que la experiencia fuera acreditada: • • • Por Matrices, Por Subordinadas O Por subordinadas de las matrices Del Proponente o Integrante de la Estructura Plural nacional o extranjero • De lo anterior, claramente se deriva, que la interpretación que el Comité Evaluador , le ha pretendido dar al Pliego de Condiciones, es a todas luces, arbitraria y violatoria del Derecho de Defensa, del debido Proceso, del Principio de Igualdad y de el de Legalidad, entre otros, toda vez que el mismo Pliego definió que era FACULTATIVO, la entidad de Control Efectivo por medio de la cual se podía acreditar la experiencia y al utilizar la conjunción DISYUNTIVA O, era porque podía hacerse con una u otra y con cualquier de ellas era igualmente válido. 2. Que al permitir que la experiencia se acreditara con la matriz, con la subordinada o con subordinadas de las matrices, el cumplimiento de los requisitos de los numerales 5.6. y 5.7, debería darse por cumplido, dependiendo de si la experiencia que se pretendía acreditar, era la de la matriz o la de la subordinada. 3. En ningún momento el Pliego, exigió que se debía acreditar la existencia y representación legal de la Controlante de la Controlante, sino solo de la primera y ello se deriva de una interpretación textual del subnumeral 3 del numeral 13.2.2. • No obstante el Comité Evaluador, ahora está pretendiendo que se acredite la existencia y representación legal de la Matriz y lo que es aún más equivocado, que la Fianza sea suscrita por el representante legal de la controlante, alejándose diametralmente de lo exigido en el Pliego de Condiciones y dándole con ello una interpretación que genera una modificación al Pliego de Condiciones, aspecto totalmente proscrito por el Decreto 1510 de 2013 y de la Jurisprudencia. Llamamos la atención al Comité Evaluador para dejar de lado estas posiciones equivocadas que pueden dar origen a que se deba producir una revocatoria directa del acto de apertura del proceso o a nulidades posteriores. 4. Para el caso específico del Consorcio que represento, las experiencias de las sociedades miembros de la mismas, que acreditan experiencia mediante controlantes, entiéndase como WSP SERVICIOS S.A.S y Louis Berger de Colombia S.A.S, no están acreditando experiencia de la Matriz, sino de sus Controlantes directas y en consecuencia de manera alguna se le puede estar haciendo exigencias por fuera de lo definido en el Pliego de Condiciones, es por ello que resulta totalmente irregular la posición asumida por el Comité Evaluador e inclusive deja un tinte de violación al principio de igualdad al habernos exigido documentos que deben ser traídos del exterior, en un período de tiempo muy corto, sin que realmente se requieran. • 5. No obstante lo anterior y en aras de procurar ser perjudicados con la interpretación que no compartimos del Comité Evaluador, pero dado el alto interés que tenemos en el presente proceso adjunto al presente escrito y a otro enviado el día de hoy, estamos dando cumplimiento a lo que ahora quiere la Entidad y es que la Fianza del Anexo 18, vaya firmada por la Matriz. 2. RESPECTO AL CUMPLIMIENTO DE LOS NUMERALES 5.6. Y 5.7. DEL PLIEGO: El numeral 2° del literal c) del numeral 13.2.2., establece: "....c) En el caso de acreditarse la experiencia de las matrices, de las subordinadas º de las subordinadas de las matrices del Proponente o Integrante de la Estructura Plural nacional o extranjero: .... 2. La persona jurídica que suscriba el Anexo 18 deberá acreditar su existencia, representación legal y capacidad jurídica con los mismos documentos señalados en los numerales 5.6 y 5.7 y demás aplicables de este Pliego de Condiciones, considerando que la capacidad de la sociedad y del representante legal de ésta que deberá ser acreditada, será la necesaria para asumir la responsabilidad derivada del contrato de fianza contenido en el Anexo 18. ...."(subrayado y negrilla fuera de texto) Por su parte, los numerales 5.6. y 5.7., establecen: • "....5.6. EXISTENCIA Y REPRESENTACION LEGAL 5.6.1. EXISTENCIA Y REPRESENTACIÓN LEGAL PERSONAS NATURALES O JURÍDICAS NACIONALES O EXTRANJERAS CON DOMICILIO O SUCURSAL EN COLOMBIA..." • Y, " EXISTENCIA Y REPRESENTACIÓN LEGAL PERSONAS NATURALES Y JURÍDICAS EXTRANJERAS SIN DOMICILIO O SUCURSAL EN COLOMBIA 5.7.1 Las personas naturales extranjeras sin domicilio en Colombia deben acreditar su existencia mediante la presentación de la copia de su pasaporte en caso de no contar con domicilio en Colombia. Si se encuentra residenciado en Colombia, la existencia la acreditará mediante la presentación de copia de la cédula de extranjería expedida por la autoridad competente. 5.7.2 Las personas jurídicas extranjeras deberán cumplir los mismos requisitos de objeto y duración establecidos en el Pliego de Condiciones para las personas jurídicas domiciliadas en el territorio nacional, para lo cual deberán aportar los documentos que acrediten la existencia y representación legal de la sociedad extranjera, legalizados a más tardar dentro de los sesenta (60) Días Calendario anteriores a la fecha de apertura del presente Concurso de Méritos, en los que conste: • a) Existencia y representación legal con el documento idóneo expedido por la autoridad competente en el país de su domicilio, expedido a más tardar dentro de los tres (3) meses anteriores a la fecha de apertura del presente Concurso de Méritos, en el que conste su existencia, su fecha de constitución, objeto, vigencia, nombre o razón social completa, nombre del representante legal en la que se señale expresamente que el representante no tiene limitaciones para contraer obligaciones en nombre de la misma, o de la(s) persona (s) que tengan la capacidad para comprometerla jurídicamente y sus facultades o de la persona facultada para comprometer a la persona jurídica. En caso de que el representante legal tenga limitaciones para comprometer a la persona jurídica del Proponente o al Integrante de la Estructura Plural, el Proponente deberá aportar la autorización o documento correspondiente del órgano directivo que le faculte expresamente, señalando que la autorización al representante legal no tiene limitaciones para contraer obligaciones, o b) La autorización o documento correspondiente del órgano directivo que le faculte expresamente, en los que conste la siguiente información: • i) Tipo de sociedad y fecha del documento de constitución o creación. ii) Que su objeto social incluye las actividades principales objeto del Contrato de Interventoría. iii) Documento por el cual se reconoce la personería jurídica. iv) Duración de la persona jurídica. v) Acreditar la suficiencia de la capacidad de su apoderado o representante legal en Colombia, de conformidad con la Ley 80 de • 1.993, la Ley 1.150 de 2.007, el Decreto 1.510 de 2.013 y las demás disposiciones que regulan el tema, cuando sea del caso. 5.7.3 Los documentos otorgados en el exterior deberán presentarse legalizados en la forma prevista en las normas vigentes sobre la materia. 5.7.4 Las personas jurídicas Proponentes o Integrantes de Estructuras Plurales deben acreditar autorización suficiente del órgano social respectivo para contraer obligaciones en nombre de la sociedad. Dicha autorización debe haber sido otorgada previamente al cierre de Concurso de Méritos. 5.7.5 La ausencia definitiva de autorización suficiente o el no aporte de dicho documento, en el término establecido en este Pliego de Condiciones, determinará la falta de capacidad jurídica y/o legal para presentar la Oferta...." Del texto anteriormente transcrito se deriva: • 1. Que quien debe dar cumplimiento a lo establecido en los numerales 5.6. y 5.7, para estos efectos, son las personas que suscriben el Anexo 18. Si se tiene en cuanta que quien debe suscribir el Anexo 18, según ya ha quedado sustentado en el numeral anterior, son el proponente o el miembro del Consorcio y su controlante, queda claro que el cumplimiento de los numerales 5.6. y 5.7., con éstas mismas personas y no otras, como lo pretende ahora la posición interpretativa asumida por el Comité Evaluador. 2. Teniendo en cuenta que los particulares pueden hacer todo aquello que no les está expresamente prohibido, es claro que en tanto esa limitación no existe, los representantes legales que han suscrito los respectivos documentos están plenamente facultados para hacerlo y por lo tanto no se puede alegar una falta de capacidad pues se estaría pretendiendo que se acredite una prueba de algo que no existe, como es la limitación en la capacidad del representante legal, que es lo que en materia probatoria se entiende como la prueba de una negación absoluta no es susceptible de prueba. Al respecto cabe anotar que Los Particulares pueden hacer lo que no les está expresamente prohibido Conforme a lo dispuesto en el artículo 6 de la Constitución Política, a los particulares dentro de la democracia en Colombia les es permitido hacer todo aquello que la autoridad no haya prohibido de manera expresa. Al respecto señala la Carta Política: • "ARTICULO 6. Los particulares sólo son responsables ante las autoridades por infrinsiir la Constitución y las leyes. Los servidores públicos lo son por la misma causa y por omisión o extralimitación en el ejercicio de sus funciones." (Subrayado y negrilla fuera de texto) "En el Caso concreto de Colombia, el principio constitucional de libertad — consagrado en el Preámbulo de la Carta y explicitado en sus artículos 16, 28 y 84- faculta a las personas para hacer todo lo que el legislador no pueda legítimamente convertir en objeto de prohibición. Lo anterior significa que en nuestro país las prohibiciones legislativas sólo han de recaer en conductas que por su claro efecto lesivo de los presupuestos de la convivencia deban valorarse, en justicia como socialmente dañosas. En otras palabras, esas prohibiciones no pueden referirse sino a los comportamientos que sin justa causan vulneren o amenacen los intereses cuya existencia y mantenimiento son objeto de protección jurídica. "Ciertas conductas erróneas, censurables, heterodoxas o pecaminosas a la luz de la religión y de la moral tradicional, han de ser ignoradas por los códigos si con ellas no se perturba decisiva y gravemente el armonioso desarrollo de la vida en comunidad".1 Señala la Constitución Política: ARTICULO 16. Cuando un derecho o una actividad hayan sido reglamentados de manera general, las autoridades públicas no podrán establecer ni exigir permisos, licencias o requisitos adicionales para su ejercicio." (Subrayado y negrilla fuera de texto) En el mismo sentido, se ha expresado la Jurisprudencia: PRINCIPIO DE SEGURIDAD JURIDICA/IUS GENTIUM Toda la costumbre tiende, inexorablemente, a fortalecer el principio de seguridad jurídica, como expresión máxima del ius gentium. Es por ello que las formalidades y procedimientos tienden a ser un ritual que vivifica el principio de seguridad jurídica, de manera que todos saben que, al obedecer ciertas prácticas formales comunes, se efectivizan las garantías del hombre. Las autoridades sólo pueden hacer aquello que esté permitido por la ley -de manera que no pueden crear formas jurídicas-, al paso que los particulares pueden hacer todo aquello que no esté prohibido legalmente. Mientras en el Estado de Derecho el particular es creativo, las autoridades sólo son aplicativas."2 (Subrayado y negrilla fuera del texto) Con todo lo anterior es claro que este principio constitucional está plenamente ligado con el principio de seguridad jurídica, de manera que al cumplir con las formalidades y procedimientos ya establecidos, se aseguran las garantías de las personas. Sobre esta institución, la Corte Constitucional en Sentencia T-020 de 24 de enero de 2000, Magistrado Ponente José Gregorio Hernández Galindo expresó lo siguiente: "La confianza legítima es un principio que, como lo ha destacado la Corte, deriva de los postulados constitucionales de seguridad jurídica, respeto al acto propio y buena fe, y busca proteger al administrado frente a las modificaciones intempestivas que adopte la Administración, desconociendo antecedentes en los cuales aquél se fundó para continuar en el ejercicio de una actividad o en el reclamo de ciertas condiciones o reglas aplicables a su relación con las autoridades. Como lo destacó esta Corte en el Fallo C-478 de 1998 (M.P.: Dr. Alejandro Martínez Caballero), "se trata de situaciones en las cuales el administrado no tiene realmente un derecho adquirido, pues su posición jurídica es modificable por las autoridades", pero, "si la persona tiene razones objetivas para confiar en la durabilidad de la regulación, y el cambio súbito de la misma altera de manera sensible su situación, entonces el principio de la confianza legítima la protege", toda vez que "en tales casos, en función de la buena fe (C. P. art. 83), el Estado debe proporcionar al afectado tiempo y medios que le permitan adaptarse a la nueva situación. (d) The directora of any corporation organized under this chapter may, by the certificate of incorporation or by an initial bylaw, or by a bylaw adopted by a vote of the stockholders, be divided into 1, 2 or 3 classes; the term of office of those of the first class to expire at the first annual meeting held after such classification becomes effective; of the second class I year thereafter, of the third class 2 years thereafter; and at each annual election held after such classification becomes effective, directors shall be chosen for a full terco, as the case may be, to succeed those whose terms expire. If the corporation shall be authorized to issue more than one class of stock or more than one series of any class, the desígnations, preferences and relative , participating, optional or other special rights of each class of stock or. series thereof and the qualifications, limitations, or restrictions of such preferences and/or rights shall be set forth in full or summarized on the face or back of the certificate which the corporation shall issue to represent such class of series of stock, provided that, except as other wise provided in section 202 of the General Corporation Law of Delaware, in lieu of the foregoing requirements, there may be set forth on the face or back of the certificate which the corporation shall issue to represent such class or series of stock, a statement that the corporation will furnish without charge to each stockholder who so requests the powers, designations, preferences and relative, participating, optional or other special rights of each class of stock or series thereof and the qualifications, limitations or restrictions of such preferences and/or rights. Where a certificate is countersigned (1) by a transfer agent other than the corporation or its employee, or (2) by a registrar other than the corporation or its employee, the signatures of such officers may be facsimiles. SECTION 2. LOST CERTIFICATES --New certificates of stock may be issued in the place of any certificate therefore issued by the corporation, alleged to have been lost or destroyed, and the directors may, in their discretion, require the owner of the lost or destroyed certificate or his legal representatives, to give the corporation a bond, m such sum as they may direct, not exceeding double the value of the stock, to indemnify the corporation against it on account of the alleged loss of any such new certificate. • bi 7 • SECTION 3. TRANSFER OF SHARES. -- The shares of stock of the corporation shall be transferable only upon its books by the holders thereof in person or by their duly authorized attorneys or legal representatives, and upon such transfer the old certificates shall be surrendered to the corporation by the delivery thereof to the person in charge of the stock and transfer books and ledgers, or to such other persons as the directors may desígnate, by who they shall be cancelled, and new certificates shall thereupon be issued. A record shall be made of each transfer and whenever a transfer shall be made for collateral security, and not absolutely, it shall be so expressed in the entry of the transfer. • SECTION 4. STOCKHOLDERS RECORD DATE. -- In order that the corporation may determine the stockholders entitled to notice of or to vote at any meeting of stockholders or any adjournment thereof, or to express consent to corporate action in writing without a meeting, or entitled to receive payment of any dividend or other distribution or allotment of any rights, or entitled to exercise any rights in respect of any change, conversion or exchange of stock or for the purpose of any other lawful action, the Board of Directors may fix, in advance, a record date, which shall not be more than sixty nor less than ten days before the day of such meeting, nor more than sixty days prior to any other action. A determination of stockholders of record entitled to notice of or to vote at a meeting of stockholders shall apply to any adjournment of the meeting; provided, however, that the Board of Directors may fix a new record date for the adjourned meeting. SECTION 5. DIVIDENDS. -- Subject to the provisions of the Certificate of Incorporation the Board of Directors may, out of funds legally available therefor at any regular or special meeting, declare dividends upon the capital stock of the corporation as and when they deem expedient. Before declaring any dividends there may be set apart out of any funds of the corporation available for dividends, such sum or sums as the directors from time to time in their discretion deem proper working capital or as a reserve fund to meet contingencies or for equalizing dividends or for such other purposes as the directors shall deem conducive to the interests of the corporation. • SECTION 6. SEAL. -- The corporate seal shall be circular in form and shall contain the name of the corporation, the year of its creation and the words "CORPORATE SEAL DELAWARE. " Said seal may be used by causing it or a facsimile thereof to be impressed or affixed or otherwise reproduced. bl 8 • SECTION 7. FISCAL YEAR. -- The fiscal yeai. of the corporation shall be determined by resolution of the Board of Directors. SECTION B. CHECKS checks, drafts, or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation shall be signed by the officer or officers, agent or agents of the corporation, and in such manner as shall be determined from time to time by resolution of the Board of Directors. SECTION 9. NOTICE AND WAIVER OF NOTICE Whenever any notice is required by these By-Laws to be given, personal notice is not meant unless expressly stated, and any notice so required shall be deemed to be sufficient if given by depositing the same in the United States mail, postage prepaid, addressed to the person entitled thereto at his address as ít appears on the records of the corporation, and such notice shall be deemed to have been given on the day of such mailing. Stockholders not entitled to vote shall not be entitled to receive notice of any meetings except as otherwise provided by statute. • Whenever any notice whatever is required to be given under the provisions of any law, or under the provisions of the Certificate of Incorporation of the corporation or these By-Laws, a waiver thereof in writing signed by the person or persons entitled to said notice, whether before or after the time stated therein, shall be deemed proper notice. ARTICLE VI - CLOSE CORPORATIONS: MANAGEMENT BY SHAREHOLDERS If the certifícate of incorporation of the corporation states that the business and affairs of the corporation shall be managed by the shareholders of the corporation rather than by a board of directors, then, whenever the context so requires the shareholders of the .corporation shall be deemed the directors of the corporation for purposes of applying any provision of these by-laws.
