PC TOOLS END USER LICENSE AGREEMENT

NOTIFICATION: Permission to use this product (“Software”) is conditional upon you as the customer and
licensee (“You”) agreeing to the terms set out below (this “Agreement”)
YOU WILL NOT BE ABLE TO INSTALL THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL
THE TERMS OF THIS AGREEMENT BY CLICKING ON THE [“ I AGREE”] BUTTON. THIS WILL BE
DEEMED TO BE YOUR AND YOUR EMPLOYEES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT
AND YOU WILL BECOME THE LICENSEE OF THE SOFTWARE. PLEASE PRINT A COPY FOR YOUR
RECORDS.
If You do not wish to accept the following terms do not select the [“I AGREE”] Button and the Software will not
install on to Your computer, mobile or mobile computing device (“Device”). In circumstances where You
purchase the Software without accepting the terms of this Agreement and wish to return the Software please
contact PC Tools to determine whether You are eligible for a refund.
1. License
1.
1.1 The parties to this Agreement will be You and PC Tools S.à.r.l (“PC Tools”), the licensor of the
Software, a Luxembourg company.
2.
1.2 PC Tools has agreed to license use of the Software to You pursuant to this Agreement and the terms
and conditions set out below.
3.
1.3 PC Tools grants to You a non-exclusive, non-transferable, revocable license to:



(a) install and execute the Software;
(b) make one additional copy of the Software for backup purposes only; and
(c) use the Software strictly in accordance with the provisions of this Agreement during the
subscription period specified for that Software.
4.
1.4 The number of Devices on which You are entitled to install and execute the Software is specified at the
time of purchase. If You wish to install the Software on more than this number of Devices, You may only do
so upon receipt of written consent from PC Tools and upon payment of an additional license fee as
stipulated by PC Tools.
5.
1.5 Your license to use the Software as granted herein only permits You to use the version of the Software
which You have installed or purchased from PC Tools. Some products will include Your rights to receive
automatic updates, enhancements and improvements of the Software and these will be provided to You by
PC Tools at its sole discretion. Some products may require You to upgrade to a more recent version if You
wish to avail Yourself of the support services by PC Tools in relation to that particular product. These
upgrades are usually offered as part of the subscription provided to You or may be required as part of PC
Tools product lifecycle. If You receive such an update or improvement, such Software shall automatically
be deemed to be a part of the Software licensed to You under this Agreement. If You enter into a separate
agreement with PC Tools for the supply of any other product or updates of the Software then such a
separate Agreement will govern the use of those products and updates.
6.
1.6 You acknowledge that PC Tools may offer to maintain and update the Software but it is not obliged to
do so unless You have purchased a subscription that entitles You to updates for a specified period, or You
purchase a separate maintenance contract. If no subscription period is specified at the time You purchase
a license for this product, the subscription period will be one (1) year from the date You either first
purchased (in the case of online downloads) or first installed the Software (in the case of retail purchases).
Should You wish to receive information about updates please view PC Tools website on a regular basis at
www.pctools.com.
7.
1.7 If You have purchased a subscription that entitles You to updates, or You purchase a separate
maintenan+-ce contract, You acknowledge that after the specified subscription period or maintenance
period has expired, You have no further right to receive any updates without the purchase of a renewal or
new subscription or maintenance contract. You also acknowledge that PC Tools may limit the functionality
of the Software upon the expiry of any subscription period or maintenance period unless You purchase a
new subscription or maintenance contract.
2.
License Fee
1.
2.1 Where a license fee is payable by You in respect of the Software, You are not entitled to use the
Software until the license fee has been paid and then only for the period of the subscription (where
specified). In the case of payment by credit card, payment will not be deemed paid until the credit card
payment has been authorized by the billing provider. A separate license fee is payable in the circumstances
described in clause 1.4.
2.
2.2 However, You are not entitled to receive technical support nor the full functionality that comes with the
Software until a license fee has been paid.
3.
Licensee's Obligations
1.
3.1 As the Licensee You hereby undertake the following obligations:

(a) to not print, copy, reproduce, translate, adapt, vary, alter, change, reverse engineer, decompile or
modify the Software by any means or in any other form, other than to make one temporary copy of the
Software for back-up and security purposes, without the express consent of PC Tools, except as
expressly authorized by this Agreement and subject to Your rights under applicable law;


(b) to supervise and control the use of the Software in accordance with the terms of this Agreement;
(c) to ensure Your employees, sub-contractors and other agents who have authorized access to the
Software are made aware of the terms of this Agreement;

(d) to not provide or otherwise make available the Software in any form to any person other than those
referred to in paragraph (c) without the written consent of PC Tools;

(e) to not give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate or publish
the Software in any form to any other person or attempt to do any of these acts;

(f) to not alter, change, remove or obscure any notices or other indications (including copyright
notices) as to ownership of the Software;

(g) not to access or use the Software on more than one personal stand-alone Device, or otherwise
allow the Software to be accessed or used by more than one user at any one time except as expressly
authorized by this Agreement;


(h) to not engage in any acts which infringe PC Tools intellectual property rights in the Software; and
(i) to not use the Software in automatic, semi-automatic or manual tools designed to create virus
signatures, virus detection routines, any other data or code for detecting malicious code or data.

3.2 You acknowledge that the License granted by clause 1 does not make You the owner of the Software
nor does it cause any transfer or assignment of any copyright or any other intellectual or industrial property
rights subsisting in the Software to You.
3.
3.3 If you have licensed antivirus Software, you acknowledge that the Software will seek to remove codes
such as viruses, spyware, adware and malware. In some circumstances removal of detected code may
result in You breaching a license to use the host software which originally installed the code and may result
in host programs to cease operating. You agree to consult the terms of any license agreement for the host
program before authorizing the removal of any viruses, spyware, adware or malware associated with that
program.
4.
Warranty
1.
4.1 You hereby acknowledge that the Software may not be uninterrupted and cannot be guaranteed error
free and further acknowledge that the existence of any such errors shall not constitute a breach of this
Agreement by PC Tools. In particular, PC Tools does not guarantee that the Software will (i) detect and/or
remove all known viruses, spyware, adware, malware, Trojans, keyloggers and trackware, or locate all
browser infections and tracking cookies on Your Device, nor that the Software will not occasionally
erroneously report a virus in a file or system not infected by that virus; (ii) recover or detect all undeleted
files which are present on Your Device; (iii) block all threats on Your Device, including from malicious
websites or potential hackers; (iv) detect and/or filter all spam or junk email; or (v) detect, remove or rectify
any errors on Your Device, including, without limitation any errors in Your Windows registry file or other
operating system errors. If the Software is a beta version, You acknowledge and agree that (i) the Software
may contain errors and defects and may not function as intended or in accordance with its specifications;
and (ii) You assume all risk in using the Software and agree to take due care in the installation, execution
and testing of the Software on Your Device’s system.

4.2 The particular operating systems upon which the Software has been designed to execute will be
published by PC Tools from time to time ("Compatible OS"). You agree that You will not execute or install
the Software on any operating system other than a Compatible OS. You acknowledge and agree that the
Software may not execute correctly and may interfere with other software if executed on an operating
system which is not a Compatible OS.

4.3 In the event that any terms, conditions, representations or warranties are implied by statute, common
law or equity ("Prescribed Terms") into this Agreement which cannot be lawfully excluded, the Prescribed
Terms will apply to this Agreement, save that the liability of PC Tools for breach of any Prescribed Terms
will be limited, to the extent permitted by law, at the option of PC Tools, to any one or more of the following:





(a) the replacement of the Software to which the breach relates or the supply of equivalent Software;
(b) the repair of the Software;
(c) the payment of the cost of replacing the Software or of acquiring equivalent Software; or
(d) the payment of the cost of having the Software repaired.
4.4 If the liability of PC Tools for breach of any Prescribed Terms is capable of exclusion, they are hereby
excluded to the fullest extent permitted by law.
5.
4.5 Except as provided by the Prescribed Terms (if any), which are not capable of exclusion or limitation, or
as expressly set out in these terms:

(a) PC Tools makes no warranties in relation to the Software, including warranties as to the
performance or fitness for purpose of the Software (other than that PC Tools is entitled to grant to You
the rights set out in this Agreement);

(b) You will not under any circumstances have any cause of action against, or right to claim or recover
from, PC Tools for or in respect of any loss, damage or injury (including without limitation any loss of
profit, indirect or consequential loss, damage or injury) arising from the supply or use of the Software
or any breach of these terms; and

(c) subject to paragraph (b) above, the maximum liability of PC Tools to You in respect of any breach
of this Agreement or otherwise in respect of Your use of the Software will be the amount You have
paid PC Tools for the Software and if You have not paid PC Tools any amount for the Software, will be
the amount of US $1 (one US dollar).
6.
4.6 PC Tools will not be liable for any indirect or consequential damages arising out of a breach of this
Agreement or arising out of the supply of the Software.
7.
4.7 You acknowledge that You have exercised Your independent judgment in acquiring the Software and
have not relied upon any representations made by PC Tools which have not been stated expressly in this
Agreement or upon any descriptions or illustrations or specifications contained in any document including
catalogues or publicity material produced by PC Tools.
5.
Copyright and Trade Marks
1.
5.1 You acknowledge that the Software and all related products (including but not limited to Device
manuals and Device literature) ("Products") are the subject of copyright. You therefore, shall not during or
any time after the expiry or termination of this Agreement, permit any act which infringes that copyright and,
without limiting the generality of the foregoing, You specifically acknowledge that You may not copy the
Software or Products except as otherwise expressly authorized by this Agreement.
2.
5.2 You shall not during or at any time after the expiry or termination of this Agreement permit any act
which infringes the trademarks used in connection with the Software.
3.
5.3 You shall indemnify PC Tools fully against all liabilities, costs and expenses which PC Tools may incur
to a third party as a result of Your breach of this clause 5.
6.
Term of License and Subscription
1.
6.1 This Agreement commences upon payment of the license fee (in the case of online downloads) or upon
Your first installation and use of the Software (in the case of retail purchases or trialware) and may be
terminated in the following circumstances:
1.
(a) if You are in breach of any term of this Agreement;
2.
(b) if You, being a corporation, become the subject of insolvency proceedings or have a liquidator,
receiver or examiner appointed to You or become unable to pay Your debts;
2.
3.
(c) if You, being a person rather than a company, become bankrupt;
4.
(d) if You, being a firm or partnership, are dissolved; or
5.
(e) if You destroy the Software and/or the Products for any reason.
6.2 Upon termination, You or a representative nominated by You shall destroy any remaining copies of the
Software and Products or otherwise return or dispose of such material in the manner directed by PC Tools.
3.
6.3 Termination pursuant to this clause shall not affect any rights or remedies which PC Tools may
otherwise have under this Agreement or at law.
7.
Export Restrictions
1.
7.1 PC Tools, its employees and its agents are subject to U.S. export control laws that prohibit or restrict (i)
transactions with certain parties, and (ii) the type and level of technologies and services that may be
exported. You agree to comply fully with all laws and regulations of the United States and other countries
(Export Laws) to assure that neither the Software, nor any direct products thereof are (1) exported, directly
or indirectly, in violation of Export Laws, or (2) are used for any purpose prohibited by Export Laws,
including, without limitation, nuclear, chemical, or biological weapons proliferation.

7.2 None of the Software or underlying information or technology may be downloaded or otherwise
exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Sudan, Syria or any
other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's
List of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, Unverified
List, Entity List, Nonproliferation Sanctions or General Orders. By downloading or using the Software, You
are agreeing to the foregoing and You are representing and warranting that You are not located in, under
the control of, or a national or resident of any such country or on any such list, and that You acknowledge
You are responsible to obtain any necessary U.S. government authorization to ensure compliance with
U.S. law.
8.
Assignment
The benefit of this Agreement shall not be dealt with in any way by You (whether by assignment, sub-licensing
or otherwise) without PC Tools' written consent and this Agreement shall be binding on Your successors and
assigns.
9.
Waiver
Failure or neglect by either party to enforce at any time any of the provisions of this license Agreement shall not
be construed or deemed to be a waiver of that party's rights under this Agreement.
10. Amending These Terms
PC Tools may amend any of the terms of this Agreement by (a) providing written notice to You of such
amendments by email, Product smart alert; and/or (b) displaying such amendments or an amended copy of this
Agreement to You during Your installation and/or execution of the Software or on the PC Tools Website. Without
limiting the methods by which You may be notified of such amended terms, You acknowledge and agree that
Your ongoing use of the Software after the date You are notified of any such changes of this Agreement, will
constitute Your acceptance of such amended terms
If You do not agree to any amendments made by PC Tools to the terms of this Agreement, then You must
uninstall the Software from Your Device and cease any further use of the Software. In such circumstances, You
may also contact PC Tools to determine if You are eligible for a refund or partial refund of any purchase price
paid to PC Tools in respect of the Software (subject to any conditions which PC Tools may place in respect of
paying such a refund).
11. Governing Law and Jurisdiction
This Agreement will be governed by and construed according to the laws in force in the Republic of Ireland and
You irrevocably submit to the exclusive jurisdiction of the Courts of the Republic of Ireland.

NOTIFICACIÓN: LA AUTORIZACIÓN PARA UTILIZAR ESTE SOFTWARE (“SOFTWARE”) ESTÁ
CONDICIONADO A QUE USTED, COMO CLIENTE Y LICENCIATARIO (“USTED”), ACEPTE LAS
CONDICIONES EXPUESTAS A CONTINUACIÓN (“ESTE ACUERDO”).
ANTES DE INSTALAR EL SOFTWARE DEBERÁ LEER Y ACEPTAR TODAS LAS CONDICIONES DE ESTE
ACUERDO HACIENDO CLIC EN EL BOTÓN ["ACEPTO"]. MEDIANTE ESTA ACCIÓN SE CONSIDERARÁ
QUE USTED Y SUS EMPLEADOS ACEPTAN LAS CONDICIONES DE ESTE ACUERDO, Y USTED SE
CONVERTIRÁ EN LICENCIATARIO DEL SOFTWARE. IMPRIMA UNA COPIA PARA CONSERVARLA EN
SU REGISTRO.
Si usted no desea aceptar las siguientes condiciones, no seleccione el botón ["ACEPTO"] y el software no se
instalará en su equipo, dispositivo móvil o dispositivo informático móvil ("Dispositivo"). En los casos donde
usted adquiera el software sin aceptar las condiciones de este Acuerdo y desee devolver el software, póngase
en contacto con PC Tools para determinar si cumple los requisitos para recibir un reembolso.
1.
Licencia
1.
1.1 Las partes de este Acuerdo serán usted y PC Tools S.à.r.l (“PC Tools”), el emisor de licencias del
Software, una empresa de Luxemburgo.
2.
1.2 PC Tools ha aceptado autorizarle el uso del Software en conformidad con este Acuerdo y las
condiciones expuestas a continuación.
3.
1.3 PC Tools le concede una licencia revocable no exclusiva e intransferible para:



(a) instalar y ejecutar el programa;
(b) realizar una copia adicional del Software para copia de seguridad solamente; y
(c) utilizar el software exclusivamente de acuerdo con las disposiciones de este Acuerdo durante el
período de suscripción especificado para el software.
4.
1.4 La cantidad de dispositivos en los que usted tiene el derecho a instalar y ejecutar el software se
especifica en el momento de la compra. Si usted desea instalar el software en una cantidad mayor de
dispositivos, solo podrá hacerlo después de recibir el consentimiento por escrito de PC Tools y mediante el
pago de un cargo por licencia adicional estipulado por PC Tools.
5.
1.5 La licencia para utilizar el software concedida en este documento solo permite que usted utilice la
versión del software que usted ha instalado o adquirido de PC Tools. Algunos productos incluirán su
derecho a recibir actualizaciones y mejoras automáticas del software, las cuales serán proporcionadas por
PC Tools a su entera discreción. Es posible que algunos productos requieran que usted actualice a una
versión más reciente si desea recibir los servicios de soporte de PC Tools con relación a ese producto en
particular. En general, estas actualizaciones se ofrecen como parte de la suscripción proporcionada o se

1.6 Usted reconoce que PC Tools puede ofrecerse a mantener y actualizar el software, pero no está
obligado a hacerlo, a menos que usted haya adquirido una suscripción que le autoriza a recibir
actualizaciones por un período especificado, o que usted adquiera un contrato de mantenimiento
independiente. Si en el momento de adquirir una licencia para este producto no se especificó ningún
período de suscripción, dicho período será de un (1) año a partir de la fecha en la que adquirió (en el caso
de descargas en línea) o instaló (en el caso de compras minoristas) por primera vez el software. Si desea
recibir información sobre actualizaciones, visite de manera periódica el sitio web de PC Tools en
www.pctools.com.
7.
1.7 Si adquirió una suscripción que le autoriza a recibir actualizaciones o adquirió un contrato de
mantenimiento independiente, usted reconoce que una vez caducado el período de suscripción o de
mantenimiento especificado, usted no tendrá más derecho a recibir actualizaciones sin la adquisición de
una renovación o un nuevo contrato de suscripción o mantenimiento. También reconoce que PC Tools
puede limitar la funcionalidad del Software al caducar cualquier período de suscripción o mantenimiento, a
menos que adquiera un nuevo contrato de suscripción o mantenimiento.
2.
Cargo por licencia
1.
2.1 En los casos en los que deban pagarse cargos por licencia con respecto al software, usted no estará
autorizado a utilizar el software hasta que dichos cargos sean pagados, y solamente podrá utilizarlo
durante el período de suscripción (cuando sea especificado). En caso de pago con tarjeta de crédito, los
cargos no se considerarán pagados hasta que el pago de la tarjeta de crédito haya sido autorizado por el
proveedor de facturación. En los casos descritos en la cláusula 1.4., se deberá pagar un cargo por licencia
independiente.
2.
2.2 Si descarga una versión del software gratuita o de prueba, usted puede utilizarla en uno o varios
dispositivos durante un período ilimitado (sujeto a cualquier restricción de tiempo o funcionalidad que se
pueda incorporar a la versión de prueba). Sin embargo, usted no tiene derecho a recibir soporte técnico ni
la funcionalidad completa que viene con el software hasta que pague el cargo por licencia.
3.
Obligaciones del licenciatario
1.
3.1 Por el presente acuerdo, como licenciatario asume las siguientes obligaciones:

(a) no imprimir, copiar, reproducir, traducir, adaptar, variar, alterar, cambiar, descompilar o modificar el
software, ni utilizar técnicas de ingeniería inversa, por ningún medio ni de otra forma que no sea para
realizar una copia temporal del software para copias de seguridad y con fines de protección, sin el
expreso consentimiento de PC Tools, salvo que se autorice expresamente en este Acuerdo y sujeto a
sus derechos conforme a la ley aplicable;


(b) supervisar y controlar el uso del software de acuerdo con las condiciones de este Acuerdo;
(c) garantizar que sus empleados, subcontratistas y otros agentes que disponen de acceso autorizado
al software conocen las condiciones de este Acuerdo;

(d) no proporcionar el software ni de otro modo ponerlo a disposición de ninguna persona distinta de
las mencionadas en el párrafo (c) sin el consentimiento por escrito de PC Tools;

(e) no entregar, alquilar, ceder, transferir, distribuir, divulgar, difundir o publicar el software, ni
conceder licencias ni sublicencias para utilizarlo, de ninguna forma a ninguna persona, ni intentar
realizar cualquiera de estas acciones;

(f) no alterar, cambiar, eliminar ni ocultar notificaciones ni otras indicaciones (incluidas las
notificaciones de copyright) relacionadas con la propiedad del software;

(g) no acceder al software ni utilizarlo en más de un dispositivo personal independiente, ni permitir de
otro modo el acceso al software, o su uso, por parte de varios usuarios en ningún momento, salvo que
se autorice expresamente en este Acuerdo;

(h) no realizar ninguna acción que pueda infringir los derechos de propiedad intelectual de PC Tools
sobre el software; y.

(i) no utilizar el software en herramientas automáticas, semiautomáticas o manuales diseñadas para
crear firmas de virus, rutinas de detección de virus o cualquier otro dato o código para detectar
códigos o datos maliciosos.

3.2 Usted reconoce que la Licencia concedida mediante la cláusula 1 no lo convierte en propietario del
software, ni le transfiere o cede copyright ni derechos de propiedad intelectual o industrial existentes en el
software.
3.
3.2 Si tiene software antivirus con licencia, reconoce que el software intentará eliminar códigos como virus,
spyware, publicidad no deseada y software malicioso. Es posible que, en algunos casos, como resultado la
eliminación de código detectado, usted infrinja una licencia para utilizar el software de host que
originalmente instaló el código, y que los programas de host dejen de funcionar. Usted acepta consultar las
condiciones de cualquier acuerdo de licencia del programa de host antes de autorizar la eliminación de
cualquier virus, spyware, publicidad no deseada o software malicioso asociados con ese programa.
4.
Garantía
1.
4.1 Por medio del presente acuerdo, usted reconoce que el software puede funcionar con interrupciones y
no se puede garantizar que estará libre de errores. Asimismo, reconoce que la existencia de esos errores
no constituirá una infracción de este Acuerdo por parte de PC Tools. En especial, PC Tools no garantiza
que el software (i) detectará o eliminará todos los virus, spyware, publicidades no deseadas, software
malicioso, troyanos, registradores de pulsaciones y software de seguimiento conocidos, ni que localizará
todas las infecciones del navegador y las cookies de seguimiento en su dispositivo, ni que el software,
ocasionalmente y de manera errónea, no informará la presencia de un virus en un archivo o sistema no
infectado por ese virus; (ii) recuperará o detectará todos los archivos no eliminados presentes en su
dispositivo; (iii) bloqueará todas las amenazas de su dispositivo, incluidas las amenazas de sitios web
maliciosos o posibles hackers; (iv) detectará o filtrará el spam o el correo electrónico no deseado; o (v)
detectará, eliminará o rectificará cualquier error en su Dispositivo, incluidos, entre otros, errores en su
archivo de registro de Windows u otros errores del sistema operativo. Si el software es una versión beta,
usted reconoce y acepta que (i) el software puede contener errores y defectos, y es posible que no
funcione de la manera prevista o de acuerdo con sus especificaciones; y (ii) usted asume todos los riesgos
inherentes al uso del software y acuerda actuar con el debido cuidado respecto de la instalación, ejecución
y prueba del software en el sistema de su dispositivo.
2.
4.2 Ocasionalmente, PC Tools publicará los sistemas operativos especiales con relación a los cuales el
software se ha diseñado para ser ejecutado(“SO compatible”). Usted acuerda que no ejecutará ni
instalará el software en ningún sistema operativo que no sea un SO compatible. Usted reconoce y acepta
que es posible que el software no se ejecute correctamente y que puede interferir con otro software si se
ejecuta en un sistema operativo que no es un SO compatible.

4.3 En caso de que en este Acuerdo existan términos, condiciones, declaraciones o garantías implícitas
por ley, el sistema de Common Law o de Equity ("Condiciones establecidas") que no se puedan excluir
legalmente, las Condiciones establecidas se aplicarán a este Acuerdo, salvo que la responsabilidad de PC
Tools por el incumplimiento de cualquier condición establecida se limite, en la medida que lo permita la ley
y a opción de PC Tools, a uno o varios de los siguientes casos:

(a) el reemplazo del software con el que se relaciona el incumplimiento, o el suministro de un software
equivalente;




(b) la reparación del software;
(c) el pago del costo de reemplazar el software o de adquirir un software equivalente; o
(d) el pago del costo de reparación del software.
4.4 Si la responsabilidad de PC Tools por el incumplimiento de cualquier condición establecida permite la
exclusión, por medio del presente acuerdo, se excluyen hasta el máximo alcance permitido por ley.
5.
4.5 Salvo estipulación de las Condiciones establecidas (si existen), que no pueden excluir ni limitar, o
expresamente establecido en estas condiciones:

(a) PC Tools no otorga ninguna garantía con relación al software, incluso garantías con respecto al
rendimiento o la adecuación para un fin del software (salvo los derechos establecidos en este
Acuerdo que PC Tools está autorizado a concederle);

(b) En ningún caso iniciará una acción judicial contra PC Tools, ni tendrá el derecho de reclamar o
recibir una indemnización con respecto a pérdidas, daños o lesiones (incluidos, entre otros, pérdidas
de ganancias, pérdidas indirectas o consecuentes, daños o lesiones) que surjan del suministro o del
uso del software o del incumplimiento de dichas condiciones; y

(c) sujeto al párrafo (b) anterior, la responsabilidad máxima de PC Tools frente a usted con respecto
al incumplimiento de este Acuerdo, o de otra forma con respecto al uso del software, será el monto
que usted pagó a PC Tools por el software, y de no haber pagado ningún monto a PC Tools por el
software, será la cantidad de 1 USD (un dólar estadounidense).

4.6 PC Tools no será responsable de ningún daño indirecto o consecuente que surja del incumplimiento de
este Acuerdo o del suministro del software.
7.
Usted reconoce que ha aplicado su criterio independiente para adquirir el software y no ha dependido de
ninguna declaración realizada por PC Tools que no se haya indicado expresamente en este Acuerdo, ni se
ha basado en ninguna descripción o especificación incluida en ningún documento, como catálogos o
material de publicidad creado por PC Tools.
5.
Copyright y marcas comerciales
1.
5.1 Reconoce que el software y todos los productos relacionados (incluidos, entre otros, manuales y
documentación del dispositivo) (“Productos”) están sujetos a leyes de propiedad intelectual. Por
consiguiente, usted no permitirá, durante o en cualquier momento después de la caducidad o terminación
de este Acuerdo, ningún acto que viole ese registro de propiedad y, sin limitar la generalidad de lo ya
expuesto, usted reconoce de forma concreta que no puede copiar el Software o Productos excepto que se
autorice lo claramente expresado en este Acuerdo.

5.2 Durante la vigencia de este Acuerdo o después de su caducidad o terminación, usted no debe permitir
ningún acto que infrinja las marcas comerciales utilizadas con relación al software.

5.3 Usted deberá indemnizar a PC Tools con respecto a todas las responsabilidades, los costos y los
gastos en los que PC Tools pueda incurrir con un tercero como consecuencia de su incumplimiento de
esta cláusula 5.
6.
Plazo de licencia y suscripción
1.
6.1 Este Acuerdo comienza con el pago del cargo por licencia (en el caso de descargas en línea) o al
instalar y utilizar el software por primera vez (en el caso de compras minoristas o software de prueba), y se
puede rescindir si se cumplen las siguientes condiciones:


(a) si usted incumple cualquiera de las condiciones de este Acuerdo;
(b) si usted es una empresa y se declara insolvente o designa un síndico, un administrador judicial o
un examinador, o no puede pagar sus deudas;




(c) si usted, como persona en lugar de empresa, presenta la quiebra;
(d) si usted, como empresa o asociación, se disuelve; o
(e) si usted destruye el software o los productos por cualquier motivo.
6.2 Al hacerse efectiva la rescisión, usted o un representante designado por usted deberán destruir
cualquier copia del software y de los productos, o de otra manera devolver o eliminar dicho material del
modo que establezca PC Tools.

6.3 La rescisión conforme a esta cláusula no afectará ningún derecho o recurso que PC Tools pueda tener
conforme a este Acuerdo o a la ley.
7.
Restricciones sobre la exportación
1.
7.1 PC Tools, sus empleados y sus representantes están sujetos a las leyes de control de exportación de
EE.UU., que prohíben o restringen (i) las transacciones con ciertas partes y (ii) el tipo y el nivel de las
tecnologías y servicios que puedan exportarse. Usted se compromete a cumplir en su totalidad todas las
leyes y reglamentos de los Estados Unidos y otros países (“Leyes de Exportación”) para garantizar que
ni el Software ni ninguno de los productos directos mencionados (1) se exportarán, directa o
indirectamente, en violación de la Leyes de Exportación o (2) se utilizarán para cualquier fin prohibido por
las leyes de exportación, incluyendo, sin limitación, la proliferación de armas nucleares, químicas o
biológicas.

7.2 No se puede descargar ni de otro modo exportar o reexportar tecnología, información subyacente o
partes del software para (i) Cuba, Corea del Norte, Irán, Sudán, Siria o para cualquier otro país para el que
EE. UU. tenga bienes embargados, o para ciudadanos o residentes de tales países; o (ii) para cualquiera
que figure en la lista denominada Ciudadanos especialmente designados (Specially Designated Nationals)
del Departamento del Tesoro de los Estados Unidos o en las listas Personas denegadas (Denied
Persons), No verificadas (Unverified) y Entidades (Entity), Sanciones contra la proliferación y Órdenes
generales del Departamento de Comercio de los Estados Unidos. Mediante la descarga o el uso del
software, usted acepta lo antedicho y declara y garantiza que no se encuentra en ninguno de esos países
ni bajo su control, que no es ciudadano ni residente de ninguno de esos países y que no figura en ninguna
de esas listas. Asimismo, reconoce que usted es responsable de obtener cualquier autorización
gubernamental necesaria de los EE. UU. para garantizar el cumplimiento de la ley estadounidense.
8.
Asignación
Usted no debe negociar de ninguna manera el beneficio que genera este Acuerdo (ya sea mediante cesión o
concesión de sublicencias, o de otro modo) sin el consentimiento por escrito de PC Tools, y este Acuerdo será
vinculante para sus sucesores y cesionarios.
9.
Renuncia de derechos
En caso de que cualquiera de las partes no aplique las disposiciones de este Acuerdo de licencia o se niegue a
hacerlo en cualquier momento, no se considerará una renuncia a los derechos de esa parte conforme a este
Acuerdo.
10. Modificación de estas condiciones
Para modificar cualquiera de las condiciones de este Acuerdo, PC Tools debe (a) enviarle una notificación por
escrito de dichas modificaciones por correo electrónico o alertas inteligentes del Producto; y (b) mostrar esas
modificaciones o una copia modificada de este Acuerdo durante la instalación o la ejecución del software o en
el sitio web de PC Tools. Sin limitar los métodos mediante los cuales usted puede recibir la notificación de
dichas condiciones enmendadas, usted reconoce y acepta que el uso continuo del software después de la
fecha en que recibe la notificación de dichos cambios de este Acuerdo constituirá la aceptación de las
condiciones enmendadas.
Si no acepta alguna de las modificaciones realizadas por PC Tools a las condiciones de este Acuerdo, debe
desinstalar el software de su dispositivo y dejar de utilizar el software. En ese caso, usted también puede
comunicarse con PC Tools para determinar si reúne las condiciones para recibir un reembolso o un reembolso
parcial del precio de compra pagado a PC Tools por el software (sujeto a las condiciones que PC Tools pueda
establecer con respecto al pago de dicho reembolso).
11. Ley vigente y jurisdicción
Este Acuerdo se regirá y se interpretará de conformidad con las leyes que correspondan en la República de
Irlanda y Usted se somete irrevocablemente a la jurisdicción exclusiva de los tribunales de la República de
Irlanda.
