on Conduct for the Legal Profession
A working session presented by the IBA Bar Issues Commission (BIC)
The IBA International Principles on Conduct for the Legal Profession
adopted on 28 May 2011, part of the BIC Programme for Excellence,
will inspire legal professionals who are involved in framing of rules,
regulations and policies for the legal profession in their jurisdictions.
Delegates will learn about some of the key specifications of the content
provided in the legal instruments and the challenges facing the legal
profession. Participants will have the opportunity to share their experiences
and provide examples of best practice in their jurisdiction. Based on the
principle ‘not to advise and be content, but to devise and implement’,
this session is designed for bar associations that are keen to achieve
organisational excellence. Associations of lawyers, as well as law firms
across Latin American will be welcome to use the IBA legal instruments
that make up the Programme for Excellence which offers an approach
in identifying organisational strengths and areas of improvement and
recognises successful efforts to implement excellence and best practice.

Overview of the M&A market and trends
for 2014
Mergers and acquisitions continue to be an area of significant growth in
the region. This panel will identify which sectors are becoming increasingly
attractive and which new players are eyeing the region for acquisition
opportunities. The session will also cover key differences between
transactions involving strategic or financial investors, the challenges
facing buyers making outbound acquisitions, and the impact of increasing
regulatory costs.

‘Greasing palms’ – a legal review of current
regulatory and enforcement trends in anticorruption in Latin America
The impact of corruption on Latin American economies has increased
over the past few years as a side-effect of the region’s economic progress
and development. The perception of corruption in Latin America is
demonstrated by the region’s rankings in the Transparency International
Corruption Index. Recent investigations and enforcement actions by the
US Department of Justice (responsible for the application of the Foreign
Corrupt Practices Act) against Latin American companies and individuals
in addition to local enforcement, new anti-corruption legislation in many
countries, and multi-jurisdictional collaboration among government
agencies give this topic current prominence.
Attorneys working in-house or in law firms must constantly improve
their skills to ensure competent support on issues related to anticorruption. These include understanding the legislative and regulatory
landscape, supporting clients’ compliance efforts and ensuring the proper
investigations and defence of companies if the need arises. This panel
will address the most pressing issues on anti-corruption which face Latin
American practitioners today.

SESSION THREE
Infrastructure challenges in Latin America: PPPs
Latin American countries have recently approved ambitious infrastructure
programmes and legal frameworks to funnel the massive amounts of
investment needed to improve the region’s infrastructure, mainly through
PPP schemes. This presents an extraordinary challenge for both the
public and private sector to design, contract, finance and execute a large
number of PPPs in a relatively short space of time. This session will include
participation from Latin American infrastructure legal experts who will
focus on current trends and opportunities, leading sectors and challenges.

Antitrust
In recent years, Latin American countries have experienced rapid
development and increasing sophistication in competition law
enforcement. This panel will discuss the main subjects that usually arise
for competition practitioners. From a litigation approach, the discussion
will focus on private enforcement of competition laws (including damages
claims) and application and effectiveness of the leniency programs and
other cartel enforcement measures recently included in Latin American
legislation. From a transactional approach, the discussion will be focused
on the problems arising from merger control, especially on cross-border
transactions.

Renewable energy: overview of the current
situation in the region and its impact on the
energy matrix
Renewable energy is becoming a hot topic around the world and it’s easy
to see why. It reduces pollution, global warming and dependence on oilproducing countries as well as creating a more economically stable world
due to reduced fluctuation in oil prices. The use of renewable energy
requires a set of new rules and legislation that create a framework for
correct implementation. This session will give the participants an overview
on how renewable energy resources are being treated in different countries
within the region.

Structuring private equity and venture capital
investments
Private equity in Latin America has grown consistently in recent years.
Interest in the region is high compared to developed countries, presenting
an optimistic picture for the years to come. The industry is maturing
rapidly: there are more local funds ready to invest, while foreign investors
are changing their role from involvement-free investors seeking cheap
multiples, to more committed investors willing to participate actively in the
company after the deal is secured. However, there are still many limitations
including restricted level of leverage, lack of diversity in the financial
products, underdeveloped capital markets and difficulty in exiting. Latin
American lawyers are a key factor in bringing the right expertise and the
right tools to structure the deals, develop the business and secure effective
exit strategies.

Labour court decisions: a new source of law in
civil law countries?
In many Latin American countries, the number of labour lawsuits has
recorded a substantial growth, which resulted in the birth of the so-called
‘labour lawsuit industry’. This litigation area is characterised by the fact that
courts base their decisions on the previous rulings they, or a different court
has issued. This increased use of case law represents a major change in civil
law countries.
This panel will present the latest trends in labour court decisions and will
examine whether case law has stepped up to become a new source of law.
The panel will also discuss the risks faced by the judicial community as this
trend consolidates and the means envisaged for the mitigation of such
risks.

Confidential information and bank secrecy in the
light of international tax information exchange
In recent years, there has been a dramatic expansion in cross-border
financial services and financial flows following the opening of new
markets, the development of new financial products and new advances
in technology. One significant challenge for governments is the increased
scope for illicit use of financial systems, especially for tax evasion.
This session will address some of the most relevant ways in which Latin
American governments have tried to avoid the abuse of bank secrecy by
organised crime, corruption and drug trafficking, through international and
local legislation.

How to use social media in times of crisis
Law firms are increasingly coming to understand how social media can help
them build relationships that could lead to further business. Today, a firm’s
online image represents a significant part of its reputation. In fact, a recent
survey of US general counsel showed that two-thirds of law firms had
checked their LinkedIn accounts in the past day or week.
Should law firms also be engaging social media when crisis strikes?
Whether it’s a natural disaster such as Hurricane Sandy, a malpractice
lawsuit, loss of client data, allegations of discrimination or harassment or
a negative news story about the culture of the firm, there are social media
tools that can be used effectively to avert a crisis or for crisis management
and communication. A panel of experts will share their experiences on how
social media can help stop the ‘bleeding’ and can be used to communicate
with critical audiences at all stages of a crisis.

Mining: environmental and social concerns as
main challenges in the industry today
The mining industry has a long tradition of being considered deeply
detrimental towards both the environment and society in general.
Recent global surveys confirm that ‘environmental concerns’ (40 per
cent) closely followed by ‘social concerns’ (28 per cent) continue to be
the top sustainable development issues for the mining industry agenda.
This worldwide unease is being addressed by mining companies and
governments.
This panel will present and review the latest Latin American trends relating
to the environmental and social issues faced by the mining industry. It
will place special emphasis on the impact of mining on local communities
and the long-term relationships needing to be built with each community
where individual projects take place.

Law firms: how not to become a commodity
Law firms are probably facing one of their biggest financial challenges in
history: the commoditisation of high-end legal services and the reduction in
fees that will most likely follow. Questions this session will address include:
• How are law firms differentiating themselves from one another?
• What are the key elements considered by multinational companies or
international law firms to select local counsel?
• To what extent are legal fees key to determining which law firm to use? • What happened to trust, reliability and institutional relationships?
• Do niche practices, specialisations, personal branding and teamwork

A guest must not be a member of the legal profession or seek to use
the Conference as a business networking opportunity. Access to working
sessions is not permitted for guests. Checks are made to ensure members
of the legal profession are not registered as guests, if this is the case,
registration will be refused unless the guest registers as a full delegate for
the conference. Only registered guests (ie, those paying the guest
fee) are eligible to participate in the social programme.

List of participants
In order for your name to appear in the list of participants, which will be
made available seven days prior to the conference, your registration form
must be received by 28 February at the latest.
Registration confirmation
All documentation regarding your attendance at the conference can now
be obtained from the IBA website. Upon receipt of your payment for the
conference a confirmation email will be sent containing instructions on
how to download the documents. Registration confirmation will not be
distributed by post.
Promotional literature
Please note that no individual or organisation may display or distribute
publicity material or other printed matter during the conference, unless
by prior arrangement with the IBA. Organisations and companies wishing
to discuss promotional opportunities should contact the Sponsorship

Full payment must be received in order to process your registration.
The organisers may at any time, with or without giving notice, in their absolute discretion and without giving any reason, cancel or postpone the conference, change its venue
or any of the other published particulars, or withdraw any invitation to attend. In any case, neither the organisers nor any of their officers, employees, agents, members or
representatives shall be liable for any loss, liability, damage or expense suffered or incurred by any person, nor will they return any money paid to them in connection with the
conference unless they are satisfied not only that the money in question remains under their control but also that the person who paid it has been unfairly prejudiced (as to
which, decision shall be in their sole and unfettered discretion and, when announced, final and conclusive).

No deductions or withholdings
All fees payable to us by you in accordance with the terms contained in
this ‘Information’ section shall be paid free and clear of all deductions or
withholdings whatsoever. If any deductions or withholdings are required
by law to be made from any fees payable to us by you under the terms
contained in this ‘Information’ section you shall pay such sum as will, after
the deduction or withholding has been made, leave us with the same
amount as we would have been entitled to receive in the absence of any
such requirement to make a deduction or withholding.
Conference sell-outs
The IBA places its conference in venues of a suitable size for the event;
however there are times when our conferences may sell out. Should this
happen, prospective delegates will be informed and a waitlist will operate.
The waitlist will function on a ‘first come, first served’ basis, subject to
receiving registered delegate cancellations. The IBA will not be liable for
any travel or accommodation expenses incurred by an individual who
travels to the conference without a confirmed place at the event.
Cancellation of registration
If cancellation is received in writing at the IBA office by 31 January, fees
will be refunded less a 25 per cent administration charge. We regret that
no refunds can be made after this date. Registrations received after 31
January will not be eligible for any refund of registration fees.
Provided you have cancelled your registration to attend an IBA conference
in accordance with the terms of the ‘cancellation of registration’
clause included in the ‘Information’ section of the relevant conference
programme, you must then confirm to us in writing at the IBA office as
soon as possible but in no event later than one year (12 calendar months)
from the date of any such conference all necessary details to enable any
reimbursement owed to you to be paid. We regret that no refunds will be
made after the date that is one year (12 calendar months) after the date of
the relevant conference.
If we obtain the benefit of any tax credit or other relief by reference to any
such deductions or withholdings, then we shall repay to you such amount
as, after such repayment has been made, will leave us in no worse position
than we would have been had no such deductions or withholdings been
required.
Weather
The climate in Punta del Este in mid-March is usually warm with sunny
days, low humidity and temperatures averaging 19-30oC (66-86oF). The
nights can be a little bit cooler but generally, it is very comfortable. Showers
are not common in this time of year.
Travel arrangements and visas
Participants are responsible for making their own travel arrangements. It
is recommended that you check your visa requirements with your local
embassy or consulate. We are unable to dispatch visa invitation letters to
support your visa application prior to receipt of your registration form and
full payment of registration fees.

Direct flights to/from Uruguay
Direct flights to Punta del Este are available from Buenos Aires and São
Paulo. Please check with your travel agency for flight options availability
from other cities. The distance between Aeropuerto Internacional
Capitán de Corbeta Carlos A. Curbelo de Laguna del Sauce (Aeropuerto
Internacional de Punta del Este) and the Conrad Punta del Este is 6 km (3.7
miles).
Direct flights to Montevideo are available from: Asunción, Buenos Aires,
Lima, Madrid, Miami, Panama City, Paris, Porto Alegre, Rio de Janeiro,
Rosario, Salto, Santiago and São Paulo. The distance between Aeropuerto
de Carrasco (Aeropuerto Internacional de Montevideo) and the Conrad
Punta del Este is 120 km (75 miles).
Taxi
The best form of transport available from the Aeropuerto Internacional
Capitán de Corbeta Carlos A. Curbelo de Laguna del Sauce to the Conrad
Punta del Este is taxi. The journey costs around US$38 plus ten per cent tip.
From the Aeropuerto de Carrasco to the Conrad Punta del Este, the taxi
fare costs around US$219 plus ten per cent tip.
We recommend that those arriving in Montevideo contact the Conrad
Punta del Este to book a shared transfer at discounted fares.

perspective is addressed during relevant special sessions. The Forum is closely affiliated with the North American
Forum as the regions are geographically adjacent and share many issues.
