Applus+ firma un acuerdo de refinanciación de su deuda
Barcelona, 6 de julio de 2015. Applus+ anuncia que ha refinanciado con éxito su
préstamo sindicado mediante un “Amend and Extend” mejorando los términos del
anterior acuerdo.
La nueva financiación responde a la mejora de condiciones del mercado de crédito
desde que se firmó el préstamo sindicado de 850 millones de euros en abril del 2014.
Los principales cambios en la financiación son la reducción del tipo de interés, la
extensión de la fecha de vencimiento y el mantenimiento del actual nivel del ratio
financiero (deuda neta / ebitda):

Reducción en el tipo de interés de entre 50 y 60 puntos básicos dependiendo del
nivel de endeudamiento. Con el nivel actual de endeudamiento, la reducción es
de 60 puntos básicos pasando de Euribor/Libor +225 puntos básicos a
Euribor/Libor + 165 puntos básicos.
Extensión de la fecha de vencimiento en 1 año hasta mayo del 2020 y de 2 años
en el mantenimiento del ratio financiero de 4,5x (de junio 2015 a junio 2017),
pasando a 4,0x posteriormente. La extensión del vencimiento está sujeta al
cumplimiento de ciertos aspectos legales que se espera finalizar en las próximas
semanas.

Applus+ signs an Amendment and Extension agreement on the
debt facility
Barcelona, July 6, 2015. Applus+ is pleased to announce that it succesfully
refinanced its bank debt facility through an amendment and extension agreement with
its syndicate of leading international banks on improved terms than the prior facility.
The amendment and extension was entered into in order to take advantage of
improved credit market conditions since the 850 million euros facility was placed in April
of last year.
Key changes to the facility are a reduction in the margin and an extension of the
maturity and financial leverage covenant (Net Debt / EBITDA):

Margin - reduction in the margin between 50 bps and 60 bps depending on the
level of leverage. At the current leverage, the reduction is equal to 60 bps from
225 bps to 165 bps over EURIBOR or LIBOR.

Extension - the maturity of the facility has been extended by one year to May
2020 and the financial leverage covenant at 4.5x has been extended by two
years to June 2017; thereafter at 4.0x. The maturity extension is subject to
certain legal conditions which are expected to be met in the coming weeks.
