All our product lines undergo strict quality control before reaching final consumers. ➔ CEMENTOS PACASMAYO MEMORIA ANUAL | ANNUAL REPORT | 2008 ➔ ENTORNO ECONÓMICO ECONOMIC ENVIRONMENT “ EL PBI MOSTRÓ UN CRECIMIENTO DE 9.8%, MAYOR AL CRECIMIENTO OBTENIDO EN EL PERÍODO ANTERIOR DE 8.9% Y MUY POR ENCIMA DE LOS ÍNDICES DE CRECIMIENTO PROMEDIO DEL MUNDO E INCLUSO DE LATINOAMÉRICA. Durante el año 2008 se produjo lo que algunos analistas consideran como una de las crisis financieras mundiales más severas de los últimos 100 años. La crisis hipotecaria de los Estados Unidos de Norteamérica alcanzó niveles insostenibles y algunos de los principales bancos de inversión se declararon en quiebra. El gobierno de los Estados Unidos se vio en la necesidad de, no sólo hacerse responsable de importantes entidades financieras, sino también de financiar al sistema para evitar peores consecuencias. Esta crisis mundial de liquidez afectó a muchas de las economías del mundo y provocó caídas en los precios de casi todos los commodities así como en diversas bolsas de valores del mundo. Por ejemplo, el precio del petróleo Brent a mediados del año 2008 llegó a niveles históricos de USD 143.9 por barril y cerró el año en niveles de USD 35.8 por barril. Los precios del cobre y el zinc se contrajeron 56.5% y 53.0% respectivamente y los índices del Dow Jones y S&P 500 cayeron 32.7% y 37.5%. Todos estos factores incidieron en el crecimiento de la economía mundial. El crecimiento del Producto Bruto Interno (PBI) del mundo, según datos del Banco Mundial (BM), durante el 2008 fue de sólo 2.5% (4.0% durante el año 2006 y 3.7% en el año 2007) y el pronóstico del BM es que la economía mundial crezca sólo 0.9% durante el año 2009 para recién mostrar una recuperación con un crecimiento de 3.0% durante el año 2010. En el caso de las economías latinoamericanas el crecimiento del producto bruto fue de 4.4% durante el año 2008 y el Banco Mundial espera un crecimiento moderado de 2.1% para el año 2009. ” THE GDP SHOWED A 9.8% INCREASE, UP FROM THE 8.9% OF THE PREVIOUS YEAR, AND FAR ABOVE THE WORLD AVERAGE GROWTH INDEXES AND EVEN THOSE OF LATIN AMERICA. Sin embargo, debido a la política económica y a la inercia con la que venía creciendo la economía en el Perú, los índices de crecimiento continuaron en el año 2008 con la tendencia de los años anteriores. El PBI mostró un crecimiento de 9.8%, mayor al crecimiento obtenido en el período anterior de 8.9% y muy por encima de los índices de crecimiento promedio del mundo e incluso de Latinoamérica. Se espera que la economía peruana crezca alrededor de 4.5% y 5.5% durante el año 2009. Los sectores que lideraron este crecimiento durante el año 2008, fueron construcción (16.5%), comercio (12.8%) y servicios (9.0%). La Balanza Comercial mostró un superávit de USD 3,162 millones ya que las exportaciones alcanzaron los USD 31,594 millones y las importaciones sumaron USD 28,432 millones. An event took place during 2008, which analysts consider one of the worst world crises of the last 100 years. The mortgage crisis in the United States of North America reached unsustainable levels and some of the leading investment banks declared bankruptcy. The government of the United States found itself in the need to not only assume the responsibility over important financial entities, but also to finance the system to prevent worse consequences. This world cash crisis affected many of the world economies and caused the downfall of most commodities and of different stock exchanges around the world. For example, the price of Brent oil during mid 2008 reached historical levels of US$ 143.9 per barrel and closed the year at US$ 35.8 per barrel. Copper and zinc prices fell 56.5% and 53.0% respectively and the Dow Jones and S&P indexes went down 32.7% and 37.5%. All these factors had an impact on the growth of the world economy. According to data from the World Bank (WB) during 2008 the world GDP grew only 2.5% (4.0% during 2006 and 3.7% in 2007) and the forecast of the WB is that the world economy will just grow 0.9% during 2009, only showing some recovery in 2010, with a 3.0% growth. In the case of the Latin American economies, the GDP growth was 4.4% during 2008 and the World Bank expects a moderate 2.1% growth during 2009. Nevertheless, due to the economic policy and the inertia of the economic growth in Peru, growth indexes continued evidencing the same trend in 2008 as in the previous years. This production used 924,946 MT clinker and 401,178 MT aggregates, among them gypsum, blast-furnace slag, limestone and diatomites. La producción de cemento en la fábrica de Rioja fue de 156,856 TM, para lo cual se utilizaron 126,807 TM de clinker y 30,049 TM de adiciones. Continuing with the corporate policy of permanent innovation and taking hold of consumer recognition of the Company’s products, Cementos Pacasmayo S.A.A. renewed its corporate image, stressing the concept of “cement specialist”, that is, offering a portfolio of products with special characteristics, according to their application in the works, and with denominations that explain the differential benefit offered to consumers. Este monto será amortizado en los próximos 10 años. 3.5 CSSA: VENTA DE BLOQUES CSSA: BLOCK SALES Las inversiones efectuadas por Cementos Selva se destinaron principalmente a incrementar la capacidad de la planta iniciándose la construcción del Horno III y un segundo muelle de despacho. También se destinaron recursos al reemplazo y optimización de diversos equipos. The EBITDA was S/.25.9 million in 2008. During 2007, the EBITDA reached S/.19.2 million. The net result of the Company in 2008 was S/. 10.6 million. The investments made by Cementos Selva were primarily to increase the plant’s capacity thus commencing the construction of the third vertical kiln and a second dispatch dock. Resources were also allocated to the replacement general maintenance and upgrading of various pieces of equipment. Regarding the liabilities, the Company still keeps pending the payment of the debt acquired by the purchase of the Rioja plant which was S/.15.6 million as of December 31, 2008. Corianta S.A. vendió a Cementos Pacasmayo 68,284.20 TMS de mineral con un contenido promedio de 23.8% de Zinc. A la fecha el stock de mineral en el almacén temporal de Yambrasbamba es de 31,713 TMS con una ley promedio de 20.0% de Zinc. El producto de las ventas alcanzó la suma de S/. 5.0 millones y el resultado neto de la gestión del año 2008 mostró una pérdida de S/. 19.1 millones. En sesión de directorio del 9 de diciembre de 2008 se acordó suspender temporalmente las actividades extractivas de mineral de CORIANTA S.A. zinc de Corianta S.A. debido, entre otros factores, a la caída del precio internacional del mineral. Asimismo, en la citada sesión de directorio se acordó transferir a Corianta S.A., la planta de calcinación de óxidos de zinc ubicada en Pacasmayo y demás activos vinculados al negocio de zinc con el fin de unificar todo el referido negocio en una sola empresa. Se tiene previsto durante la suspensión temporal mantener únicamente las actividades de exploración en la zona y continuar produciendo calcina de óxido de zinc hasta agotar el stock de mineral que se encuentra en la Planta. En ese mismo período, Cementos Pacasmayo S.A.A tomó diversos préstamos bancarios por un total de USD 7.4 millones y S/. 23.9 millones para cumplir con su plan de inversiones y financiar otras obligaciones. Así mismo, durante el año se contrataron dos nuevas operaciones de arrendamiento financiero por un total de hasta USD 28.0 millones para maquinaria y equipo; y hasta USD 7.0 millones, o su equivalente en nuevos soles, para obras civiles, destinados a la ampliación de la capacidad de molienda de la fábrica de Pacasmayo. Al 31 de diciembre del 2008 se habían desembolsado un total de USD 4.5 millones de estas operaciones. PATRIMONIO DE LA COMPAÑÍA El capital social está representado por 419’977,479 acciones comunes de un valor nominal de S/. 1.00 cada una y las acciones de inversión de la compañía están representadas por 49’575,341 acciones del mismo valor nominal. Como resultado final de los procesos de auditoria, los auditores recomendaron se renueve nuestra Certificación Internacional ISO 9001 por un período de 3 años. Salud Nuestra empresa ha financiado el Proyecto Integral de Agua y Desagüe para la ciudad de Pacasmayo, con lo que se contribuye a la salubridad local. Además, mediante convenios de apoyo con el Ministerio de Salud, se ha logrado realizar campañas médicas enfocadas a las instituciones educativas de las comunidades cercanas a nuestras operaciones. En el año 2008 se ha beneficiado a 10,461 estudiantes. Health Our Company has funded the Integral Water and Sewage Project for Pacasmayo, in an effort to contribute to local health. Al 31 de diciembre del año 2008 y como consecuencia de la firma de un Contrato de Fideicomiso, entre la Compañía, La Fiduciaria S.A. y el Banco de Crédito del Perú en calidad de representante de los acreedores garantizados, existen activos fijos e intangibles garantizando las obligaciones de la Compañía. Con fecha 21 de diciembre de 2006, la Compañía ha firmado los siguientes contratos que regulan la relación entre acreedores (orden de prelación) y las garantías asumidas por la Compañía. Contrato marco entre acreedores garantizados: Contrato firmado entre el Banco de Crédito del Perú y el Citibank N.A. con la intervención de Cementos Pacasmayo que tiene por objeto regular las relaciones entre los acreedores garantizados de Cementos Pacasmayo (los existentes y los nuevos acreedores como consecuencia de la futura emisión de los Bonos del Primer Programa de Emisión de Bonos Corporativos). En dicho contrato los acreedores reconocen y aceptan que los bienes fideicometidos mencionados en el párrafo siguiente han sido transferidos en dominio a la Fiduciaria S.A. y que garantizan las obligaciones de la Compañía, las mismas que tendrán el mismo rango, sin privilegio o prelación alguna. Contrato de Fideicomiso: La Compañía, la Fiduciaria S.A. y el Banco de Crédito del Perú en calidad de representante de los acreedores garantizados, firmaron un Contrato de Fideicomiso en Garantía. Mediante dicho contrato la Compañía entrega a la Fiduciaria S.A. activos fijos y concesiones mineras a un valor de realización ascendente a aproximadamente USD 364 millones para garantizar las siguientes obligaciones: Primera y Segunda Emisión de Bonos Cementos Pacasmayo, el contrato de préstamo con el Banco de Crédito del Perú, el contrato de préstamo firmado con el Citibank (préstamo cancelado en el 2007), los bonos a ser emitidos como parte del Primer Programa de Emisión de Bonos Corporativos Cementos Pacasmayo hasta por USD 75 millones, así como cualquier otra deuda que no incumpla el ratio de cobertura. Durante todo el período de vigencia de estas obligaciones la Compañía debe mantener un ratio de cobertura de garantías con respecto a dichas deudas, de por lo menos 2 a 1, calculado a partir de sus estados financieros individuales trimestrales y anuales de la Compañía. As of December 31, 2008 and as a result of the signing of a Trust Agreement between the Company, La Fiduciaria S.A. and Banco de Crédito del Perú in its capacity as representative of secured creditors, there are fixed and intangible assets guaranteeing the obligations of the Company.
