1) SCOPE.
These terms and conditions apply to the purchase by you (also referred to here as “Customer”) and sales by
IDT Energy of electric and/or natural gas as specified herein.
2) AGENCY.
Customer designates IDT Energy as its agent for receiving customer billing information from local
distribution company ( your Utility, and for procuring and scheduling the transmission and ancillary
services necessary to deliver electricity and/or natural gas purchased by you to your utility system.
3) RATES. Variable Price:
The variable price for all electricity and natural gas sold under this Agreement and established on an
approximately monthly basis based upon electricity and natural gas market pricing, transportation or
transmission, and other market and business price related factors. This price may be higher or lower than
your utility’s price in any particular month. There is no ceiling price. Rebates and Special Promotions:
From time to time IDT Energy may offer a Rebate Program. If a Customer participates in IDT Energy’s
Rebate Program, the Customer must remain in the program for the entire agreed upon term in order to
qualify for the rebate. If a Customer cancels at any time prior to the agreed upon term, the Customer shall
forfeit all rights and claims to any and all rebate offers. ** All Rebate amounts advertised and presented to
Customers are estimates based upon Customer’s prior electric and/or natural gas usages. Actual rebate
amounts will be based on Customer’s actual usage over the term of this agreement, which may vary from
any estimate provided. From time to time IDT Energy may offer eligible new customers an Introductory
Price, which will be in effect for the introductory price term, at which point it shall revert to the variable
price. IDT will send any rebate or promotion payment to the customer address given to IDT at the time of
sign up. It is the responsibility of the customer to notify IDT of any changes to the customers billing
address either in writing to: 550 Broad Street, Newark NJ 07102 or by calling IDT customer service at
1.877.887.6866. IDT will send all rebates and promotional payments and notices via first class mail and is
not responsible for invalid addresses or undelivered items. SmartBudget Plan -If you have chosen IDT
Energy’s SmartBudget Guaranteed Rate Promotion, your price will be effective starting with your first date
of service with IDT and will remain fixed for all bills issued within 12 months of your starting date. You
will receive a notice within 30 days prior to the expiration of the term advising you of your renewal
options. You may cancel this agreement at any time with no penalty. Green Supply Option: Green Energy
refers to energy that is generated from, renewable sources, such as solar, wind, water or biomass. If a
customer chooses a renewable supply option, IDT Energy will ensure that 100% of the customer’s
electricity usage is matched with renewable energy certificates or renewable energy attributes. IDT Energy
shall have up to 24 months from the end of each calendar year to address any deficiency that may have
arisen in the renewable content of electricity sold under this Agreement during such calendar year. The
price for renewable energy will be comprised of the IDT Energy variable price plus an amount that
represents IDT Energy’s cost in acquiring the renewable energy certificates or renewable energy attributes
which shall not exceed three (3) cents per kwh. Customer can cancel the green option of this agreement
with at least fourteen (14) calendar days’ notice of its intent to cancel by calling IDT Energy at 1-877-8876866. The requested drop of the green supply option will occur on the next available according to the
utility’s switching/change request rules.
4) BILLING AND PAYMENT.
You will normally receive one bill each month issued by your utility, or by IDT Energy. Unless otherwise
provided herein, payment terms are governed by the terms of your utility tariff if your utility issues the bill.
If IDT Energy issues the bill, payment of the full amount of billed is due 25 days after the date the bill is
mailed. Late payments or partial payment balances will be subject to collection fees and / or reasonable
attorney’s fees and court cost, as allowed by law. All accounts, which are overdue, may be referred to a
collection agency consistent with New Jersey Law. Your bill will be based on scheduled meter readings
and / or estimates provided by your utility. The parties agree to accept, for purpose of accounting for
electricity and natural gas delivered under this Agreement, the quantity, quality, and measurement
determined by your utility. A twenty- dollar ($20) fee will be charged for all returned checks.
5) TITLE AND TAXES.
Under this Agreement, title to the electricity shall pass from IDT Energy to you prior to delivery to your
utility, and title to gas shall pass from us to you prior to delivery to New Jersey. Our price does not include
sales taxes that may apply, and these taxes generally will appear as a separate item on your bill. You shall
reimburse IDT Energy for sales and other taxes. However designated, imposed with respect to the sales or
transportation of electricity and or natural gas unless prior to execution of this Agreement, you have given
us a valid tax exemption certificate(s).
6) TERM/TERMINATION;AND EARLY TERMINATION FEES.
This Agreement shall continue until either party provides notice of its intent to cancel. The distribution
utility will complete the termination on the next available date in accordance with its rules. IDT Energy
shall have the right to match any bona fide competing offer at the end of any term or anniversary date, A
residential customer may cancel this Agreement at any time during the seven (7) days following receipt of
this Agreement by calling IDT Energy at 1-877-887-6866 or by contacting your utility company.
7) ASSIGNMENT.
ASSIGNMENT. IDT ENERGY may assign or transfer its rights or obligations under this Agreement after
first informing you in writing of such transfer or assignment. You may not assign or transfer your rights or
obligations under this Agreement.
8) CHOICE OF LAW.
This Agreement shall be constructed in accordance with and be governed by the laws of the State of New
Jersey with regard to the conflicts of law provisions thereof.
9)NO WARRANTIES.
THERE ARE NO WARRENTIES OR REPRESENTATIONS OTHER THAN THOSE EXPRESSLY SET
FORTH HEREIN, AND NO OTHERS SHALL BE HONRED. Should any part of the Agreement be
declared invalid for any reason, such decision shall not in any manner affect the validity of the remaining
portion of this Agreement , which shall remain in full force and effect as if the part determined to be invalid
has not been contained herein at the time of the execution of this agreement. If at some future date there is a
change in a law, rule, or regulation, whereby IDT Energy is prevented, prohibited or frustrated from
carrying out the terms of this Agreement, then at the sole discretion of IDT Energy, this agreement may be
cancelled. If at some future date, there is a change in a federal or state approved tariff affecting IDT
Energy’s cost to purchase electricity and / or natural gas required to provide your service, then, at the sole
discretion of IDT Energy, this agreement may be modified to reflect those cost.
10) FORCE MAJEURE.
Except as otherwise set forth herein, force majeure is the only excuse for non performance and all other
excuses (at law or in equity) are waived. Except from payment obligations, a force majeure event will,
upon notice, excuse both parties performance during the event. “ Force Majeure” means those events not
reasonably anticipated on the effective date hereof and outside the control of the claiming party and include
force majeure events associated with your utility or the commodity supplier or other used to deliver
electricity and / or natural gas to customer’s residence.
11) LIMITATION OF LIBILITY.
In no event shall IDT Energy or customer be liable to the other or to any third
party for any indirect, incidental, consequential, punitive, reliance or special damages, including without
limitations, damages for lost profits, advantage, savings or revenues of any kind or increased cost of
operations, whether or not
IDT Energy or Customer has been advised of the possibility of such damages, including without limitation,
damage, exclusive remedies against IDT Energy, for any damaged cause by any service outage, defect or
failure shall be the termination provisions set forth above in Section 6. IDT Energy’s liability for other
claims arising in connection with any service of this agreement, if not otherwise limited by another
provision of this agreement, shall be limited to
proven direct damages not to exceed per claim or in the aggregate during any 12-month period, the total net
payments made by the customer for the applicable service during the 12-month’s proceeding the months in
which the damage occurred.
12) INDEMNIFICATION.
Customer is responsible for the willing indemnification of IDT Energy against any and all liabilities
resulting from customer’s failure to fully comply with the Agreement, and damage or injury caused by the
electricity and/or natural gas after its delivery to the customer’s residence.
13) DISPUTES.
Customers agree first to contact IDT Energy in writing and attempt to resolve all billing disputes or service
problems directly. All disputes regarding transmission, distribution, power outage, and bills from your
utility should be directed to your utility. Both customer and IDT Energy shall try submitting the dispute to
small claims court or any other court of competent jurisdiction.
14) PROTECTION OF CUSTOMER RIGHTS.
IDT Energy hereby provides notice that its services are governed by the terms of this Agreement, the rules
and regulations issued by your utility, and The Board of Public Utilities (BPU). The BPU Bureau of
Consumer Relations can be contacted at 1-800-624-0241. Your utility transmission and distribution
functions will continue to be regulated by the BPU. Electric and natural gas service may be disconnected
only by your utility and only in compliance rules set by the BPU.
15) IDT ENERGY CONTACT INFORMATION.
Any questions regarding these terms and conditions or your service with IDT ENERGY should be directed
to us in writing at IDT Energy Inc, 550 Broad Street, Newark, New Jersey, 07102. IDT Energy may also be
contacted at 1-877-887-6866. Your Utility Company will continue to deliver Electric and or Natural Gas to
you, you still make payment to your Utility Company for this service and you will still call your Utility
Company in the case of an energy related emergency. You may contact your Utility Company at the
information provided in the Customer Disclosure included with this document.

1) AMBITO DE APLICACION.
AMBITO DE APLICACION. Estos términos y condiciones aplican a la compra realizada por usted (a
quien se conocerá aquí también como “Cliente”) y a la venta por parte de IDT Energy de electricidad y / o
gas natural según se especifica en este documento.
2) AGENCIA.
El cliente designa a IDT Energy como su agente para recibir información de facturación del cliente por
parte de la compañía de distribución local (su Utilidad), para procurar, programar la transmisión y los
servicios auxiliares necesarios para la entrega de la electricidad y / o gas natural comprado por usted a su
sistema de servicios públicos.
3) TARIFAS.
Precio Variable
: El precio variable para toda la electricidad y gas natural vendido bajo este Acuerdo y establecido sobre
una base aproximadamente mensual basado en los precios de la electricidad y gas natural del mercado,
transporte o transmisión, y otros factores relacionado con el mercado y precio de negocio. Este precio
puede ser mayor o menor que el precio de la utilidad en cualquier mes en particular. No hay precio
máximo. Reembolso y Promociones especiales: De vez en cuando IDT Energy puede ofrecer un Programa
de Reembolso. Si el Cliente participa en el Programa de Reembolso de IDT Energy, el Cliente debe
permanecer en el programa para todo el plazo acordado con el fin de calificar para el reembolso. Si un
Cliente cancela en cualquier momento antes del plazo acordado, el Cliente perderá todos los derechos y
créditos a cualquiera y todas las ofertas de reembolsos. **Todas las cantidades de reembolso anunciado y
presentado a los Clientes son estimaciones basadas en el uso anterior de electricidad y/o gas natural del
Cliente. Cantidades actuales de reembolso se basará en uso actual del Cliente sobre el plazo de este
acuerdo, que puede variar de cualquier estimado proveído. De vez en cuando IDT Energy puede ofrecer a
nuevos clientes elegibles un Precio de Introducción, que estará en vigor por el término del precio de
introducción, momento en el que será devuelto al precio variable. IDT Energy enviará cualquier reembolso
o pago de promoción a la dirección dada por el cliente en el momento de inscribirse con IDT Energy. Es
responsabilidad del cliente notificar a IDT de cualquier cambio en la dirección de facturación ya sea por

Energy enviará todos los reembolsos, pagos de promoción y avisos por correo de primera clase y no es
responsable por direcciones inválidas o los artículos no entregados. Plan SmartBudget – si ha elegido la
promoción de Precio Garantizado Smart Budget de IDT Energy, su precio será efectivo a partir de su
primera fecha de servicio con IDT y permanecerá fijo para todas las facturas emitidas dentro de los 12
meses siguientes a su fecha de comienzo. Usted recibirá una notificación dentro de 30 antes de la
expiración del término avisándole sus opciones de renovación. Usted puede cancelar este acuerdo en
cualquier momento sin penalización. Opción de Suministro Verde: Energía verde se refiere a la energía que
se genera a partir de fuentes renovables, como la solar, viento, agua o biomasa. Si un cliente elige la opción
de suministro renovable, IDT Energy se asegurará de que el 100% del consumo eléctrico del cliente será
igualado con energía renovable certificada o los atributos de energía renovable. IDT Energy puede tardar
hasta 24 meses después del final de cada año natural para corregir posibles deficiencias que puedan surgir
en el contenido renovable de la electricidad vendida en virtud del presente Acuerdo durante dicho año
calendario. El precio de la energía renovable estará compuesto por el precio variable de IDT Energy más
una cantidad que representa el costo de IDT Energy en la adquisición de los certificados de energía
renovable o atributos de energía renovable que no excederá de tres (3) centavos por kilovatio hora. El
cliente puede cancelar la opción verde de este acuerdo por lo menos con catorce (14) días calendario de su
intención de cancelar llamando a IDT Energy al 1-877-887-6866. La solicitud de cancelación de la opción
de suministro verde se producirá en su próxima disponible lectura al contador de acuerdo con las reglas de
cambios y solicitud de su utilidad.
4) FACTURACION Y PAGO.
Usted recibirá una factura separada por la entrega de la energía y por el suministro de energía. Su utilidad
le facturará por la entrega de la energía; IDT le facturará por el suministro de la energía. Al menos que se
estipule lo contrario en este documento, los términos de pago se rigen por los términos de tarifas de su
utilidad si su utilidad emite la factura. Para una factura emitida por IDT Energy, el pago total facturado es
debido 15 días después de la fecha en que la factura fue enviada por correo. Pagos tardíos o balances de
pagos parciales estarán sujetos a cargos por pago tardío de 1.5% por mes, cargos por colección y/u
honorarios razonables de abogados y costos judiciales, según lo permitido por la ley. Todas las cuentas, que
están vencidas, pueden referirse a una agencia de colección conforme a la Ley de New Jersey. Su
facturación se basará en lecturas programadas del medidor y / o estimaciones provistas por su utilidad. Las
partes convienen en aceptar, para propósitos de la contabilidad de la electricidad y el gas natural entregado
bajo este Acuerdo, la cantidad, calidad, y medición determinada por su utilidad. Para todos los cheques
devueltos, se cobrará un cargo de veinte dólares ($20).
5) TÍTULO E IMPUESTOS.
Bajo este Acuerdo, el título de la electricidad deberá pasar de IDT Energy a usted antes de la entrega a su
utilidad, y el titulo de gas deberá pasar de nosotros a usted antes de la entrega a la puerta de las utilidades
de la ciudad. El precio unitario de IDT por la energía no incluyen impuestos de ventas que pueden aplicarse
y estos impuestos en general aparecerán como una partida separada en su factura. Usted deberá reembolsar
a IDT Energy por ventas y otros impuestos, independientemente de su denominación o impuestos con
respecto a la ventas o el transporte de la electricidad y / o gas natural al menos que antes de la ejecución de
este Acuerdo nos haya entregado un (os) certificado (s) de exención de impuesto válido (s).
6) TÉRMINO/FINALIZACION; Y HONORARIOS DE FINALIZACION TEMPRANA.
Este Acuerdo deberá continuar hasta que alguna de las partes notifique su intención de cancelar. La utilidad
de distribución completará su finalización en la próxima fecha disponible de acuerdo con sus reglas. IDT
Energy tendrá el derecho de igualar cualquier oferta competitiva de buena fe al final de cualquier término o
fecha de aniversario. Un cliente residencial puede cancelar este Acuerdo en cualquier momento durante los
siete (7) días siguientes a la recepción de este Acuerdo llamando a IDT Energy al 1-877-887-6866.
7) ASIGNACION.
IDT ENERGY puede asignar o transferir sus derechos u obligaciones bajo este Acuerdo luego de
informarle primeramente por escrito de tal transferencia o asignación. Usted no puede transferir o asignar
sus derechos u obligaciones bajo este Acuerdo.
8) OPCION DE LEY.
Este Acuerdo deberá ser construido de acuerdo con y regirse por las leyes del Estado de New Jersey con
respecto a los conflictos de las disposiciones de ley.
9) SIN GARANTIAS.
En caso de que alguna parte de este Acuerdo se declare inválida por alguna razón, tal decisión no deberá de
ninguna manera afectar la validez del resto de este Acuerdo, las cuales permanecerán en pleno vigor y
efecto como si la parte considerada inválida no había sido contenida en el presente acuerdo en el momento
de la ejecución de este acuerdo. Si en alguna futura fecha hay algún cambio en la ley, regla o regulación
por el que IDT Energy es prevenido, prohibido o frustrado de llevar a cabo los términos del Acuerdo,
entonces, a la sola discreción de IDT Energy, el presente Acuerdo podrá ser cancelado. Si, en una fecha
futura hay un cambio en la tarifa aprobada federal o estatal que afectan los costos de IDT Energy para la
compra de electricidad y / o gas natural necesario para proporcionar su servicio, entonces, a la sola
discreción de IDT Energy, el presente Acuerdo podrá ser modificado para reflejar estos costos.
10) FUERZA MAYOR.
Excepto que se establezca lo contrario en este documento, una fuerza mayor es la única excusa por
incumplimiento y todas las otras excusas (en derecho o en equidad) se anulan. Excepto por las obligaciones
de pago, un evento de fuerza mayor, previo aviso, excusa el desempeño de ambas partes durante el evento.
“Fuerza Mayor” significa esos eventos no razonablemente anticipado en la fecha de vigencia del presente y
fuera del control de la parte que solicita e incluyen casos de fuerza mayor asociados con su utilidad o el
proveedor u otros utilizados para entregar la electricidad y / o gas natural a la residencia del cliente.
11) LIMITACIÓN DE RESPONSABILIDAD.
En ningún caso IDT Energy o el Cliente se hace responsable del otro o a cualquier tercera parte por ningún
daño indirecto, incidental, consecuencial, punitivo, dependencia o daño especial, incluyendo sin limitación,
daños por perdidas de beneficios, ventajas, ahorros o ingresos de cualquier tipo o aumento del costo de
operaciones, sea o no IDT Energy o el Cliente informado de la posibilidad de tales daños, incluyendo sin
limitación, daño, remedios exclusivos contra IDT Energy, por cualquier daño causado por interrupción del
servicio, defecto o falló serán las disposiciones de terminación establecidas en la Sección 6. La
responsabilidad de IDT Energy para otras reclamaciones que surjan en relación con cualquier servicio en
este acuerdo, sino es limitado por otra disposición de este acuerdo, se limitará a daños directos probados
que no exceda por reclamación o en el agregado durante un periodo de 12 meses, los pagos netos totales
hecho por el cliente por el servicio durante los 12 meses anteriores al mes en que ocurrió el daño.
12) INDEMNIZACIÓN.
El cliente es responsable de la indemnización dispuesta de IDT Energy en contra de cualquier y todas las
responsabilidades derivadas del incumplimiento del cliente para cumplir plenamente con el Acuerdo, y
daño o perjuicio causados por la electricidad y/o gas natural después de su entrega a la residencia del
Cliente.
13) DISPUTAS.
Los clientes están de acuerdo en contactar primeramente a IDT Energy por escrito y a tratar de resolver
todas las disputas relacionadas con la facturación y problemas de servicio directamente. Todas las disputas
relacionadas con la trasmisión, distribución, cortes de energía y facturación por parte de su utilidad deberán
dirigirse a su utilidad. Tanto el cliente como IDT Energy puede presentar la disputa en el tribunal de
reclamos menores o en cualquier otro tribunal de jurisdicción competente.
14) PROTECCIÓN DE LOS DERECHOS DEL CONSUMIDOR.
IDT Energy por medio del presente informa que sus servicios están gobernados por los términos de este
Acuerdo, las reglas y normas emitidas por su utilidad, y La Junta de Servicios Públicos (BPU). Las
funciones de transmisión y distribución de su utilidad seguirán siendo reguladas por BPU. Solamente su
utilidad puede desconectar el servicio eléctrico y de gas natural, solamente en cumplimiento con las normas
establecidas por la BPU.
15) INFORMACION DE CONTACTO DE IDT ENERGY.
Cualquier pregunta con respecto a estos términos y condiciones o su servicio con IDT Energy debe ser
dirigida a nosotros por escrito a IDT Energy, Inc, 550 Broad Street, Newark, New Jersey 07102. IDT
Energy también puede ser contactado al 1-877-887-6866. Su Compañía de Utilidad continuará entregando
la Electricidad y/o Gas Natural a usted, usted todavía hará el pago a su Compañía de Utilidad para este
servicio y usted todavía llamará a su Compañía de Utilidad en el caso de una emergencia relacionada con
su energía. Usted puede ponerse en contacto con su Compañía de Utilidad a la información proporcionada
en la Divulgación de Cliente incluido con este documento.
